Group and Plans on
Canceling Their Shares

ROANOKE RAPIDS, N.C.--(BUSINESS WIRE)--Dec. 23, 2003--Roanoke
Technology Corp. (OTCBB:RNKE) announced today plans to repay the NIR
Group - this would mean that Roanoke Tech would give the NIR Group the
repayment in cash not stock. This would also mean they would not be
able to convert on their convertible debenture in Roanoke Tech stock.
"This plan is not part of the stock buy-back program already in
place, we still are planning to buy in the open market up to $2
million dollars of our own stock back in the open market once
completion of bond is in place. The repayment back to NIR Group is
something that we feel will help the company and shareholders, in
addition this plan will eliminate some of our debt and will not let
the NIR Group put more stock into the float," says David Smith CEO.
