I know one thing the press release said there are 6% of unrestricted shares. And if it's any more floating around then issues should be addressed. I'll even post the text, rather than mouth it off. So it will be clear to you broads.

the total issued and outstanding post merger is 605,400,387 of which 567,146,124 (94%) are restricted and 38,254,263 (6%) are registered "free trading."

Can anybody show me where they are missing without just saying I told you so?

Bill would crack down on illegal 'naked short selling'

Overstock.com and other small, publicly traded Utah companies concerned about so-called "naked short selling" got a boost when state legislators voted Wednesday to crack down on the illegal practice.
With little debate, SB3004 quickly wound its way to overwhelming approval in both the Senate and House during Wednesday's special session.
"I'm glad to see Utah is taking this vanguard role," Overstock Chairman and CEO Patrick Byrne said. "And I predict this will make Utah the most attractive state for entrepreneurs and small companies in America."
Now awaiting Gov. Jon Huntsman Jr.'s signature, the law would get tough on stock brokers, dealers and investment advisers who engage in naked shorting of stocks - an illegal practice in which shares supposedly on loan are sold but not delivered.
Such "failure to deliver" transactions can result in counterfeit volume that can push down prices for a company's real shares. SB3004 would require sellers caught in such unredeemed short sales to report the incidents to the Utah Division of Securities - and reveal the identities of sellers and buyers, along with dates, locations and prices involved in the bogus transactions.
The bill calls for daily fines ranging from $10,000 to the sum of the sales prices for every bogus share sold. The bill also allows for victimized companies to sue perpetrators of the sales - but only as long as the alleged offending stock firm is registered in Utah.
Sponsoring Sen. Curtis Bramble, R-Provo, is uncertain how effective the law will be outside of Utah. But he hopes other states - and the federal government - will follow suit.
Overstock currently is embroiled in a California state lawsuit against market researcher Gradient Analytics and hedge fund Rocker Partners. The Utah company claims Gradient wrote false reports about Overstock in collusion with Rocker,
which then profited by short-selling the company's stock.
Bramble insisted his bill was not just to appease Overstock, a $1 billion company employing thousands of Utahns.
"It's not only [Overstock Chairman and CEO] Patrick Byrne," he said. "This is a problem that exists for all of Utah's publicly held companies when these 'bad actors' engage in illegal naked short selling."
Still, lawmakers clearly knew Wednesday that Byrne badly wanted the legislation: He said so in a letter sent to lawmakers.
"For the past 17 months, Overstock has shown up almost daily on a list published by [the Nasdaq exchange] that shows that Wall Street sharks are selling our stock to unwitting investors, taking their money, but then not delivering the promised stock," Byrne wrote in a letter dated Tuesday.
"I have been unable to stop this illegal activity," added Byrne. "I cannot even determine the identity of these miscreants or the actual volume of 'fake' shares sold each day. I believe transparency is crucial."
Utah Securities Director Wayne Klein agrees.
He said his division is engaged in "gathering information from the industry about short selling practices to determine whether violations are occurring now and, if so, what enforcement actions should be taken."
A nearly identical bill (SB269) fell short of a final vote in the House as the general session expired last March.

the SEC filing indicates only 337 million shares out with with only 500 million authorised by the corporation, so when you start seeing 605 million issued in aPR? then you have to start digging around to find out how they were able to exceed their charter authorization of 500 million...

also? who was talking to Makarov on the phone today? cuz this is in the filing too:

The current board of directors is being changed to include 4 members appointed by the North-West Oil Group shareholders out of a total of 7 board members. Effective May 11,2006, Mr. Makarov will have resigned his functions of President and CEO and Mr. Ernest Malyshev, President of North West Oil Group has been appointed the new President.

All shares are restricted except the 38 million which are free trading. The float is approximately 38 million right now unrestricted. Feb 1,2006 is when NDOL stock was restricted and it is for 1 year until Feb 1, 2007 unless their are other restrictions which would make it until Feb 1, 2008. These figures and restrictions you can find in the filings and PR's. All new issued stock of approximately 337 million for 59% of the company to North_West are restricted for at least 1 year from the date of the merger if not longer.
Their are approximately 605 million total shares of which all but 38 million are restricted.
The financials were just fine and when the 8K comes out we shall see the figures be what they said they would be in regard to a company valued at approx. 1.25 billion. They have reserves etc. that are not always figured into filings as value assets like other assets are figured. If you need to check with SEC concerning their rules about valuing reserves present and possible etc.
Do your own DD. Do not depend on anyone here or elsewhere to do the work for you. When you have done or if you already have done DD you will know what you have and you will be buying more at these prices.
Be patient and don't let anyone shake your resolve like MM's and others shook people out of their shares today. Float is small so this can be quite a ride. In the long run you will be happy you kept this fine oil play.

somewhere there should be a notice increasing the Authorised shares over and above the 500 million listed in the 10Q dated 5-24.... if NOT? then there's too many shares outstanding....
(i've seen that before too)
i don't see the filing, and? since i'm not in? i'm done DD'ing for you guys....


the thing you have to remeber is that even tho the shares are restricted? the MM's still sell 'em (naked short) and wait to cover...
DON'T BLAME ME or PG or Dusty for that... the MM's do it all the time i've been burned on it before... they don't mind sitting on it for a year as PROVEN by MSO and quite few other companies...

so before you start getting mad at the messengers? maybe you should dig a little deeper...

OK Glassman, how bad is it...Did they set themselves up for big trouble with the shareholders?

Printing press activity is what I have always been afraid of here...Typical Pink Sheet behavior, all the way around.

That helps me at least understand your posts. I do my own DD and invest on what I beleive is correct. I am happy with my investment here and I do understand the MM's short these things thus my article about shorting stock previous from Salt Lake Tribune yesterday.
I wish you and everyone well in whatever they chose to invest in now or in the future.
I do wonder why people would spend their time on a board when they have not invested in that particular thread's stock. Well I guess I know but that is beside the point.

getting back up and dusting myself off. I understand your traders that point did not escape me I was quoting glassman who said he was not in.
I wonder why a person not in a stock on a specific thread would bother to post about and do DD on a stock they are not quote in.

WHAT don't add up? We acquired only two divisions of NorthWest. The 450m is the total revenue of the entire northwest last year.
