FT. LAUDERDALE, Fla -- 247MGI, Inc. (OTC:TOFS.PK) ("247MGI") is pleased to announce the Company has sent via FedEx (tracking # 848364124304) the certificate for 300 million shares of Common stock to its transfer agent Continental Stock Transfer. The shares where returned to the Company by the Company's CEO Matthew Dwyer in exchange for convertible Preferred stock. Within the next week the Company hopes to overnight an additional 40 million shares previously announced which shall also convert to Preferred stock.
After the transfer agent receives the certificate and returns the shares to the Company, the outstanding shares shall be reduced to 99 million shares. When the additional 40 million is returned the Company can move forward with its plan to reduce the Authorized shares to 90 million.
247MGI reported record web stats for the month of May and is on a run rate to exceed May's traffic and set a new record for the month of June. Web traffic will continue to grow as the Company looks to begin advertising and launches it new format with two new voices.

I sold out during the last run and figured at 006 I should be able to flip it for a little green. Not sure if somebody just wanted out or if they dumped a million shares out their to make up for their share descrease. Does seem a little odd but I'm just in for the flip.

Recently the Company canceled 300 million shares of Common stock and issued convertible Preferred stock to the shareholder, thereby reducing the outstanding share count to 99 million. The Company had also made arrangements with SOYO to convert their 40 million shares of Common stock to Preferred to avoid any accounting issues for SOYO, at this time SOYO has not yet converted any of its Common Stock.

As of 12:00 AM ET 6/25/08 247MGI, Inc. (OTC:TOFS) is pleased to announce it has been working to help resolve pending and past legal actions against the company. The Company is pleased to announce the pending issue with Dr. Martin Peskin has been resolved and a settlement agreement has been entered into and filed with the courts.
The Company currently does not have any pending legal actions at this time and is working to resolve matters resulting from a prior Stock Purchase Agreement the Company entered into in 2003 to avoid any further legal action.
With no pending legal actions 247MGI has been in talks with several candidates to join the Company as Officers and Directors. Once new members have joined the Company the new Board will decide what to about bringing the Company current with its financials to resume trading on the OTCBB. Due to the pending legal actions it was not in the Company's best interest to maintain its listing or to build the company. Now with this issue resolved the Company will proceed with building the business and shareholder value.
