Yesterday I spoke over the phone to the SEC and the OTCBB Market Integrity Department. I spoke to a few different people. I found this hard to believe, but here is what I got. Before reading any further, please understand that I do not want to create something that is not as I have explained my thoughts on CBAY earlier, but they have changed for the better. I do not know if CBAY is a scam or not. I do not know the previous CBAY CEO although he is notoriously known. The new CEO appears to be a good guy.
Please, I ask that everyone just don't believe me and call the SEC to hear it for themselves as someone just might get something different. I am not trying to add confusion, but rather inform of my findings. Call the SEC at the number 1-202-942-8088 Information Line (General SEC Information), but don't press any buttons to get to another department. Just hold as if you don't have a touch-tone phone. Explain to the person that answers the phone your thoughts about SEC filings and their process for determining the validity of a filing. That section won’t have your answers, but they will transfer you to some other department in which I didn't think to ask where I was being transferred to each time I called. I called a few times because I could not believe my initial response from my first conversation. I elected not to use the ticker to eliminate any potential discrimination against CBAY although it did slip out a time or two. I tried to stick to explaining the situation. In short, through all of my conversations with explaining what is happening here with CBAY to the SEC, I was told to go with whatever CBAY filed and will file for being their reported Outstanding Shares (OS) and any other things they state. I explained the situation with a few different examples to a few different people to show how the OS could even be up to 4 billion shares right now. Bottom line, even if the Authorized Shares (AS) is 4 billion shares, I was informed how the OS could be lower and again, I was told to go with what the company filed with the SEC.
So I hung up and called back again to get transferred to a different person because I could not believe that I was being told to go with what the company is filing as the gospel. This next person I spoke with I explained the situation a few different ways as to how if A + B = C, then shouldn’t C – B = A? I threw out a variety of explanations of what was going on here with CBAY because much of what was going on with CBAY is too good to be true and hard to believe.
Again, I was told to go with whatever they file because they have a process for determining if what a company files is legit or not and if it’s not then they would deal with the company. I asked if I could have explained to me their process for determining if a filing is legit or not and I was told that he will not do so. The guy told me that he can't discuss that and is not going to talk to me about what all they do to verify what is being filed, but he told me again to go with what the company is filing. Still, I could not believe my ears especially after I explained what was going on.
I did get out of some people from the SEC that a company coordinates with the DTC and their Transfer Agent (TA) to get their legitimate share structure before putting through approval from the SEC. So officially, what is filed is legitimate in the eyes of the SEC. This led me to do some further research because I had informed them that CBAY’s registration had been terminated. All that means is that CBAY is not required to file any of their financials with the SEC. In short, all securities that trade within the US markets fall under the governing authority of the SEC. Terminating your registration is just a way for the company to get around not being required to file financials while still being allowed to trade.
I called the Market Integrity Department at the OTCBB at 1-203-375-9609. I might have gotten transferred to that section, but just call. I asked about CBAY showing up in the OTCBB data base with a terminated registration. The lady at the Market Integrity Department further confirmed and told me that when a stock’s registration is terminated, it only means that they are not required to file their “financials” with the SEC.
I asked the lady about the two asterisks next to CBAY under the comments section. She told me that it means that although their registration has been terminated, they must go through a department of the DTC, the NSCC (National Securities Clearing Corporation), to be listed as a eligible security. So I ask… What does that mean? She said that it means that CBAY must go through the DTC/NSCC on the clearing side for the clearing of their shares and that all of it has to be done electronically only. She specifically stated that they can’t take physical possession of their certs and that the DTC/NSCC must do and have been doing their coordination on legitimate shares outstanding for CBAY.
Then this is when it really dawned on me that no matter what I originally believed about CBAY, if all of these regulatory authorities are already aware and involved with what CBAY have been doing and filing with the SEC, then who am I to question it?
Bottom line, I will go with whatever CBAY has and will be filing. If it is wrong, then that is the risk that I have chosen to take as it will be between CBAY and the SEC. This is a situation that I did not create as it was only recently brought to my attention. From doing my research, I like CBAY much more now. I ask that everyone please do their own due diligence (DD) to make their own investing decision as I still have no idea of the outcome of CBAY. However, there is more to consider now in which I will explain in some upcoming posts.
