We'll see how this plays out. I have been watching for lower entries. got my first fill at .0076. there is a lot of potential for this to absorb the dilution and make a run. Conferences and more exposure may hold this up. here is a bit from the sb-2. not a buy or sell recommendation - i'm just trying to be in front of the right teller window when it's time.

From the good faith estimate...

ONLY 34,475,395 TO GO to the Total 298,833,334

if it goes all the way it could go to

Common stock to be
outstanding after the
offering......................... Up to 396,362,491 shares

until I see a 10-k who knows.

Cyberlux Corporation Receives BrightEye System Order from the New York State National Guard
Monday May 21, 3:05 pm ET
Cyberlux high-performance visible and covert lighting system to be used in National Guard deployments

RESEARCH TRIANGLE PARK, N.C., May 21 /PRNewswire-FirstCall/ -- Cyberlux Corporation, (OTC Bulletin Board: CYBL - News), a leading provider of LED lighting solutions, announced today that the Company has received a new order for the BrightEye Visible and Covert Portable Illumination System from the New York State National Guard. The BrightEye VaC Portable Illumination System is the latest portable, battery-powered visible and covert lighting system developed by Cyberlux to address the needs across the United States Armed Forces. The light weight BrightEye System can be rapidly deployed and operational by one service person as a "stadium-type" illumination source in under 5 minutes of set-up time.

The New York State National Guard is the first of the fifty state-level Guard units to purchase a BrightEye system. Last month, the National Guard Bureau, the federal-level Guard organization, purchased two BrightEye systems for field trials. Across all States, the National Guard require rapidly deployable portable covert and visible lighting systems for disaster response, border patrol support, homeland defense operations, and global military deployments. The New York Unit will utilize the BrightEye system for Night Vision and Night Vision Goggle (NVG) operations during their upcoming deployment in June.

"Having our first state-level National Guard customer order within a month of the National Guard Bureau orders signifies the importance of our BrightEye System's capability and field performance," said Mark Schmidt, president and chief operating officer for Cyberlux. "The New York State Guard order demonstrates the commitment to excellence within the New York Guard leadership and equips their Guard unit with the most advanced lighting technology. Additionally, this order, totaling $24,824, represents an important first step in the deployment of our BrightEye light-weight, portable battery-powered solid-state lighting system to the standing Guard units in all 50 states, the District of Columbia and Puerto Rico."

The BrightEye VaC Portable Illumination System is designed as a portable visible and night-vision compatible illumination system for general mission lighting, force protection, maintenance lighting, expeditionary base protection, disaster first responders, and other rapidly deployable high- intensity lighting applications. Using advanced optics, advanced solid-state lighting technology, and light-weight battery power, all contained in an easily transportable wheeled case, the BrightEye system is capable of eliminating the space-consuming bulk, noise and energy consumption of the current generator-powered incandescent lighting systems. Unique to the marketplace, the BrightEye provides both visible white lighting and night- vision compatible covert lighting, capability not available in traditional lighting systems.

The BrightEye System is available through the General Services Administration (GSA) Federal Supply Schedule 56 for Specialty Lighting products under Cyberlux GSA Contract GS-07F-9409S and orderable part number 2CP0170.

About The National Guard

The National Guard, the oldest component of the Armed Forces of the United States and one of the nation's longest-enduring institutions, celebrated its 370th birthday on December 13, 2006. The Guard stood on the frontiers of freedom during the Cold War, deploying soldiers and airmen to fight in Korea; during the Berlin crisis of 1961-1962, the Guard reinforced NATO; during the Vietnam war, the Guard called almost 23,000 Army and Air Guardsmen to active duty, and during Desert Storm 1991, 75,000 Army and Air Guardsmen were called to help bring a swift end to the conflict.

Recently, the National Guard has seen the nature of its Federal mission change, with more frequent call ups in response to crises in Haiti, Bosnia, Kosovo, and the skies over Iraq. Most recently, following the attacks of September 11, 2001, more than 50,000 Guard members were called up by both their States and the Federal government to provide security at home and combat terrorism abroad. In the largest and swiftest response to a domestic disaster in history, the Guard deployed more than 50,000 troops in support of the Gulf States following Hurricane Katrina in 2005.

Today, tens of thousands of Guard members are serving in harm's way in Iraq and Afghanistan, as the National Guard continues its historic dual mission, providing to the states units trained and equipped to protect life and property, while providing to the nation units trained, equipped and ready to defend the United States and its interests, all over the globe.

News for 'CYBLE' - (Cyberlux Corporation Completes First Hybrid Lighting Technology Prototype Demonstration Company Demonstrates Exclusive Hybrid Organic/Inorganic Lighting Technology and Achieves 'Proof of Principle' Milestone)

RESEARCH TRIANGLE, N.C., May 23, 2007 /PRNewswire-FirstCall via COMTEX/ -- Cyberlux Corporation (OTC Bulletin Board: CYBL), a developer and manufacturer of
solid- state lighting solutions, announced today that the Company has produced the first prototype of its Hybrid Lighting Technology (HTL) and demonstrated the initial capabilities in a laboratory environment. The prototype lighting device combined the Scattered Photon Extraction(TM) (SPE) technology acquired from Rensselaer Polytechnic Institute with the hybrid organic / inorganic white and multi-color lighting technology acquired from the University of California-Santa Barbara to achieve the Company's 'Proof of Principle' milestone. This one-of-a-kind lighting technology is exclusively licensed and proprietarily owned by Cyberlux Corporation.

The prototype lighting device was constructed from an SPE-optimized reflective fixture encapsulating a 465nm solid-state photon pump emitter that excited the downconversion lens to produce visible light in a range of color temperatures.
The HTL lighting device was tested with two downconversion lens types, including a luminescent polymer lens and two hybrid inorganic/organic lenses for performance comparison and prototype optimization purposes. As the HTL technology progresses through the next series of commercialization milestones, the Company will publish results that are anticipated to exceed existing lighting fixture efficiencies. Cyberlux will commercialize the resulting proprietary lighting technology as "Hybrid White Light" (HWL) and "Hybrid Multi-color Light" (HML).

"Achieving the Proof of Principle milestone for the HTL technology is an important step in our commercialization plans. These early results are ahead of schedule and are quite exciting for the Cyberlux team," said Mark D. Schmidt, president and chief operating officer of Cyberlux. "Our objective is to commercialize this innovative, proprietary lighting technology through both an OEM licensing model and in the production of our own unique products, where low cost, energy efficient lighting solutions will address global energy conservation needs," concluded Schmidt.

In November 2006, Cyberlux acquired the worldwide exclusive rights to the pending patents for the Scattered Photon Extraction(TM) technology and methods developed at Rensselaer Polytechnic Institute. The SPE technology enables light-emitting sources to operate at a higher luminous efficacy where traditional phosphor or downconversion materials such as luminescence polymers and/or organic films as defined by University of California -- Santa Barbara patent 5,966,393 are placed at locations remote from the photon-emitting solid-state inorganic light source.

In January 2007, the Company acquired the worldwide exclusive rights to patent
5,966,393 "Hybrid Light-Emitting Sources for Efficient and Cost Effective White Lighting and for Full-Color Applications" from the University of California -- Santa Barbara. The technology patent defines the method and practice for creating a white or multi-colored lighting source by combining the photoluminescence of polymers and/or organic films with photon emissions from a solid-state inorganic light source. The principle inventors include Nobel Laureate Dr. Alan Heeger and Dr. Steven DenBaars, Professor of Materials and Co-Director of the Solid-State Lighting Center at the University of California-Santa Barbara, who will advise the Company on the hybrid organic/inorganic lighting technology commercialization.

RESEARCH TRIANGLE PARK, N.C., June 26, 2007 /PRNewswire-FirstCall via COMTEX/
-- Cyberlux Corporation (OTC Bulletin Board: CYBL), a developer and manufacturer of solid- state lighting solutions, announced today that the Company has completed the valuation process of its Hybrid White Light (HWL) and its Hybrid Color Light (HCL) by an independent third party. The value in its "proof of concept" or pre-commercialization state was estimated at 5.0 million dollars, almost twice the current market capitalization of the company. Adding to that the EverOn valuation from second quarter 2006, worth 4.8 million, the current IP portfolio valuation for Cyberlux is approaching a conservative ten million dollars, more than five times the current market value of the security.

"This partial valuation reflects both a segment of our existing product line, as well as our one-of-a-kind lighting technology that is exclusively licensed and proprietarily owned by Cyberlux Corporation," said Mark Schmidt, President and COO of Cyberlux. "Having both our flagship retail product, the EverOn, and our innovative HWL and HCL technology valued was an important step toward presenting our intellectual properties in a proper context. As our patent values increase in parallel with generation of higher revenues, we become a much more valuable company to the benefit of our shareholders. We recognize the significant effort required in reaching our ultimate goals, but we are encouraged with the progress to date," added Schmidt.

In November 2006, Cyberlux acquired the worldwide exclusive rights to the pending patents for the Scattered Photon Extraction(TM) technology and methods developed at Rensselaer Polytechnic Institute. The SPE technology enables light-emitting sources to operate at a higher luminous efficacy where traditional phosphor or downconversion materials such as luminescence polymers and/or organic films as defined by University of California - Santa Barbara patent 5,966,393 are placed at locations remote from the photon-emitting solid-state inorganic light source.

In January 2007, the Company acquired the worldwide exclusive rights to patent
5,966,393 "Hybrid Light-Emitting Sources for Efficient and Cost Effective White Lighting and for Full-Color Applications" from the University of California - Santa Barbara.

The EverOn contains 6 bright white and 4 amber diodal(tm) lighting elements that never require replacement. The EverOn has three light settings including a low, nightlight level; a medium, room-filling light level; and a high, spotlight level. The EverOn builds on the Cyberlux patent for lighting systems capable of generating long-term interim lighting, including the lighting device and associated methods for providing emergency or temporary lighting. Specifically, the patent addresses an electrochemical lighting system capable of providing prolonged illumination with the use of light emitting diodes (LEDs) as the illumination source. The patent embodies lighting devices capable of providing long-term interim lighting via an array of LEDs, the means for providing electrical energy to the LED array, the capability of multi-level light intensity consistent with light longevity and power source relationships including conventional A/C, solar, various electrochemical assemblies or all other means of electrical energy support.

Cyberlux Corporation Gains Army Procurement System Authorization for the BrightEye Portable Illumination System
Monday July 9, 8:00 am ET
High-performance BrightEye Visible and Covert Lighting System Approved for Army procurement after Successful Blackhawk Helicopter Landing Zone Demonstration

RESEARCH TRIANGLE PARK, N.C., July 9 /PRNewswire-FirstCall/ -- Cyberlux Corporation, (OTC Bulletin Board: CYBL - News), a leading provider of LED lighting solutions, announced today that the Company has received authorization by the United States Army Materiel Command's Logistics Support Activity (LOGSA) for the inclusion of the BrightEye Visible and Covert Portable Illumination System in the United States Army's procurement and logistic system. LOGSA provides procurement system support for all Army, Army Aviation and National Guard supply chain logistics.
In a recent field demonstration at the Army Aviation Support Facility in Latham, New York, the BrightEye System provided covert landing zone lighting for a UH-60 Blackhawk helicopter while the flight crew was operating with Night Vision Goggles (NVGs) during a night vision training exercise. The flight crew reported that the landing zone was well illuminated by a single BrightEye Unit and that the Unit created a 90 degree field of view which greatly aided the flight crew in locating the landing zone and improved their capability during the actual helicopter landing. After this successful landing zone lighting test, Army Aviation Support requested LOGSA authorization for the BrightEye System.

Since the BrightEye System is a commercially procured item, LOGSA authorization requires and assigns a Nonstandard Line Item Number (NSLIN) and a Management Control Number (MCN) to the BrightEye System for LOGSA system- wide procurement availability. The BrightEye is now available for purchase as:

NSLIN: FE303R
NSLIN Nomenclature: LIGHTING SYSTEM

MCN: 623001C054037
MCN Nomenclature: LIGHTING SYSTEM: 2CP0170 CYBERLUX

"Receiving the US Army LOGSA authorization for the BrightEye will make the standard Army procurement process available to all Army, Army Aviation and National Guard customers who are purchasing the BrightEye Systems. This should also improve our ability to provide the BrightEye capability wherever it is needed," said Mark Schmidt, president and chief operating officer for Cyberlux. "With the Blackhawk landing zone lighting performance, the BrightEye System again proves to be a best-in-class, flexible, field-ready covert and visible lighting systems capable of providing general mission lighting, force protection, maintenance lighting, expeditionary base protection, disaster first responders and other rapidly deployable high-intensity lighting applications."

The BrightEye VaC Portable Illumination System is the most advanced portable, battery-powered visible and covert lighting system developed by Cyberlux to address the portable lighting needs within the United States Armed Forces. The BrightEye System is a light weight, rapidly deployable illumination system that provides "stadium-type" illumination with an under 5 minute set-up time by a single service person. Unique to the marketplace, the BrightEye provides both visible white lighting and night-vision compatible covert lighting capability not available in traditional lighting systems.

The BrightEye System is available through the General Services Administration (GSA) Federal Supply Schedule 56 for Specialty Lighting products under Cyberlux GSA Contract GS-07F-9409S and orderable part numbers are 2CP0170 and 2CP0179.
