Rx Processing Corp. on Track to Complete Direct Labs Services Inc. Acquisition
Update: 4:01 PM ET Feb 22, 2006
WILMINGTON, DE, Feb 22, 2006 (MARKET WIRE via COMTEX) -- Rx Processing Corporation (RXPC : rx processing corp com News , chart, profile, more Last: 0.11+0.07+175.00%

RXPC0.11, +0.07, +175.0%) , a leading source of low-cost prescription medications for millions of Americans who are under-insured or have no prescription insurance coverage, will complete acquisition of Direct Lab Services Inc. in second quarter 2006. Rx Processing Corp. optioned in 2005 for the acquisition of Direct Laboratory Services Inc., a 17-year-old Louisiana company, a pioneer and innovator in the Direct Access Laboratory testing Industry. This strategic acquisition will help us provide U.S. citizens more personal control over their wellness testing needs including CBCs, PSAs, and a host of blood test panels. Direct Labs Services is a multi-million-dollar acquisition with limited competition, strength in its intellectual property, and an effective competitor in this market. Due diligence performed on Direct Labs Services Inc., verified all claims that warrant and support the 4 million dollar acquisition with a few welcomed surprises. Of note, a contract with the State of Louisiana Office of Group benefits (260+ thousand clients), the credentialing as a Health Savings Account (HSA) provider and enough cash in the bank to pay laboratory vendors 6 months in advance for client services ordered in 2006. Peter Fiorillo commented, "This acquisition broadens our ability to deliver value added laboratory service products and focus on helping to stabilize and support traditional domestic prescription medication supply lines. These added services will enhance support of independent pharmacies, sustain local markets through high margin residual ordering of laboratory products, and allow U.S. Citizens access to laboratory testing from their trusted health care provider." John Bell, founder of Direct Laboratory Services, stated, "My interest in selling solidifies the future of this company and the Direct Access Laboratory Testing industry. My continued support of Rx Processing Corp. as a shareholder and corporate officer, post acquisition, will further guide the principles at the helm, ensure our future success and provide needed health care benefits to our current and future clients." http://www.rxprocessingcorp.com About Rx Processing Rx Processing is positioned to become a market leader in providing prescription medications and preventive health laboratory tests to U.S. citizens, corporations, and members, through CLIA-certified patient service centers, for their lab testing and licensed pharmacies in the United States and around the world. The PR states that shareholders of record on June 12th will be entitled to the divi's.....if I get in on monday, does that count?
News sounds good overall.....why do u think it dropped 50% on Friday after a couple days of nice news?

No...had to buy before the ex-dividend date which was the 8th. But might be the last chance to get cheap shares with all the things shakin' in the next couple weeks. Company's don't get much more transparent than this one. GLTY!

Just remember it's a very hard fill because of the low float I had trouble buying last week so imagine how hard a fill it will be when the news comes out

This looks like a great play IMO...looking at the chart, it doesn't seem to drop below .03 very often this year, so if you could get in at this level I think it would be a good play. My main concern in deciding whether or not to try and jump in is the fact that looking at the chart, it seems that with a few exeptions, the volume tends to be extremely low most days and it may be hard to sell when I'm ready. With the float being so low and not much volume, I'm just a little scared of getting stuck holding the bag here. Gonna do a little more research tonight and decide what to do.

Peter called me back. Everything is fine and going well As always he would not give me a specific date. I asked LOL. He said he would not give out information until it was time for all the shareholders to be informed. Just keep an eye on BUSINESS WIRE. He sounded very, very opimistic. He also reminded me that this is not your typical Pink Sheet company that will put out PR's just to dump shares till there is so much dilution that it is worthless. RXPC has not increased it's share structure in the two (2) years it has been in business. As you know they have actually cancelled the O/S down to about 67 million. Float is about 13-15 million after the divvy is my guess. RXPC is trying to build the business the right way with the goal of moving to the NASDAQ (sc) and bring long term growth to the company and all shareholders. The prescription side of the business has been in place and once the DLS acquisition is completed the lab testing will also be owned by RXPC. That is all I can report at this time. I did ask specific questions but no comment till we can all be informed.

Spoke to Peter. He knows it is undervalued but the way he sounded he knows it won't change much til we get off the pinks. That's why I have changed my opinion that we will see this week. I think we should see some upward movement but the real fireworks won't come til the financials are out, probably 30-45 days. It's only time. Peter said he didn't want to put a price on the pps but that in 5 years he would love to see $20. I told him short term I would settle for .20.

GH talked to him earlier Things are being finalized. SHEEZE you guys would never make it as gardeners... things will ripen at their own pace. I'm in at .05 so I am not looking at green either, a matter of fact a WHOLE lot of red. Most people will buy into a scammy POS and not worry as much.... we got a great CEO who is up front and from all I have found out about him is as honest as he seems. Transparancy that is unheard of in pinky land reduced the OS and Just received a divi that they increased from 1% to 3.5% Come on! Business does not happen on a time table there are too many variables. Give the guy a break and let him get some work done. FWIW
