ORLANDO, FL, Mar 15, 2006 (MARKET WIRE via COMTEX) -- International Energy, Ltd. (ILGY), formerly BDW Holdings, Ltd., has finalized an agreement with Transworld Oil & Gas (TWOG). Under the new finalized agreement, International Energy, Ltd. will purchase all assets of Transworld Oil & Gas for stock and Transworld Oil & Gas will dividend out these shares to its shareholders.

Each Transworld Oil & Gas shareholder will receive one (1) share of International Energy, Ltd. for every ten (10) shares of Transworld Oil & Gas. Shareholders of record on March 25, 2006 are expected to receive the dividend by the second week of April 2006. Further transaction dates and details will be announced in the near future.

Why isn't this listed on the OTCBB daily list? Has this been filed with the NASD?

Also if I remember correctly if the value of the dividend is over 25% of the PPS the EX-date would be the day after the dividend is paid. According to the PR that won't happen until the second week of April.

If I'm correct in my assumption you would have to hold the shares until the dividend is paid and can only sell your position after it takes place.

I think the real question is when is the last day that TWOG shares can be traded?

Any newbies who decided to play this, please sell some on Thursday and get some money out if you are determined to get the "divy".

I don't think your divy will be worth much by the time you get to sell.

If I am wrong and it does go through the roof you will have made a little bit less but if I am right you will be very happy to have taken some profit.

So the last day I can trade shares is Thursday? That's good to know, I thought it was Friday, and I was going to either get my intial investment back or pull most of my shares out if it's still around .02.

If your not on the books by Friday most likely, which means you gotta be holding for 3 days before the record date for the shares to settle or you won't get the divy. Probably safest point to get in would be tommorow, so we'll see how much want there will be for the divy tommorow [Smile]

Stick that is not right. As soon as you purchase the shares the date is based. You can buy up until Friday. The settlement date is only for the brokerage firm to solidify the records that you made the purchase and that funds were transferred. The trade + 3 was put into affect so that money can be followed. They are now trying to get a change to trade + 1.
