MSSI-TeleScience Signs L.O.I. to Acquire Nurses PRN, LLC: Projected $20 Million Health Care Staffing Agency
12/6/2004 7:30:00 AM

VIENNA, Va., Dec 6, 2004 /PRNewswire-FirstCall via COMTEX/ -- MSSI-TeleScience International, Inc. (MSSI), a provider of long-term medical personnel, homeland security and technology services to federal, state and local governments, announced today that it has signed a letter of intent to acquire Nurses PRN, LLC, (www.nurses-prn.com) a large and rapidly growing healthcare staffing agency.
Nurses PRN, LLC operates a network of 10 staffing locations in 6 states that provide medical staffing services to over 250 clients. Based in West Palm Beach, Florida, the company employs over 1,000 nurses and 25 executive, management and administrative staff. Nurses PRN has been providing supplemental nurse staffing services since June 2002. The company has grown organically since its inception, and has 2005 projected revenues of $20 million, independent of MSSI's projected revenue.

Nurses PRN's rapid growth is attributed to its use of technology to blend centralized and decentralized functions together creating a highly efficient and streamlined delivery system. This cost effective staffing model has been embraced by hospitals throughout the country, with some of the national hospital systems specifically requesting that Nurses PRN open in their markets.

Nurses PRN's newest initiative, Nurses PRN Onsite, was officially launched on December 1, 2004, with a 120-bed facility in Newnan, Georgia. Nurses PRN Onsite will manage all nurse staffing for the facility, providing a single source solution. This new program will be introduced to similar size facilities in rural and second-tier markets throughout the country.

Dr. Sahay, President and CEO of MSSI said, "Nurses PRN has perfected the healthcare staffing model, by offering state-of-the-art immediate staff placement capabilities. This is a highly attractive feature to hospitals and other healthcare facilities that seek to quickly fill open shifts, and are forced to juggle between multiple agencies to fill the staffing voids. By acquiring Nurses PRN, not only can MSSI meet the open demands of its existing government clients, but can also more smoothly expand its business in the private healthcare arena (non-government clients). This is a big move for MSSI, and sets the stage for expansion and growth plans in 2005."

"We are very excited about the growth opportunity this partnership with MSSI will create," said Robert Murphy, CEO of Nurses PRN. "We will now have the ability to accelerate the execution of our plan to expand our footprint nationally in the acute care medical staffing arena. Dr. Sahay and his team at MSSI have built a scalable infrastructure capable of supporting our growth, and taking both companies to the next level. Our cost effective delivery model, combined with MSSI's existing medical systems platform, will allow us to rapidly roll out our services to more of the nation's 6,500 hospitals."

In another development, Dr. Sahay said that the intended transaction that MSSI had to acquire Physician Informatics, Inc., d.b.a. PracticeOne, a medical software company, has been terminated.

Tinker Air Force Base is home to the Oklahoma City Air Logistics Center. The facility supplies installation, maintenance, and support for 31 weapons systems, 10 commands, 93 Air Force bases and 46 foreign countries. They are the largest single-site employer in Oklahoma, employing more than 24,000 military and civilian personnel.

The primary mission of Tinker Air Force Base is maintenance on aircraft, including Air Force One. They also provide maintenance on engines, components and accessories. To give you some idea of the scope of operations, they have primary responsibility for almost 22,000 aircraft engines alone, with a total value of more than 31 billion dollars.

27.12.2004 13:31:
MSSI-TeleScience Awarded Contract Extension at Tinker Air Force Base

Feb 2005

MSSI-TeleScience International Inc., Vienna: $6.1 million through September 2007 from the California State Department of Corrections for providing temporary nursing services at 32 correctional facilities.

This is an additional and separate award from the recently announced California Department of Corrections award to MSSI, which had a ceiling value of $50 million:

The new multiple vendor award, which provides medical staffing services for 32 correctional facilities across the state of California, has an estimated ceiling value of $50 million and is effective for three years starting October 1, 2004.

This is an example of one facility:

Grants & Contracts

APPROVE and AUTHORIZE execution of agreements between the County and the following agencies for receipt of funds and/or services:

C.57 APPROVE and AUTHORIZE the Health Services Director, or designee, to execute a contract with TeleScience International, Inc., in an amount not to exceed $55,000 to provide continuing nursing registry services at the Martinez Detention Facility for the period November 1, 2002 through October 31, 2003.

March is the month MSSI will start to show massive strength imo, we should be getting a PR on the final take over very soon.

number 1---On December 30, 2004, Medical Staffing Solutions, Inc. (the "Company") entered into a non-binding letter of intent (the "Letter of Intent") with A&T Systems, Inc. ("A&T"). Pursuant to the Letter of Intent and upon the consummation of a definitive agreement, the Company will acquire certain assets of A&T. A&T is based in Silver Spring, MD and is a Total Solutions Provider in IT Solutions, telecom, e-solutions, and professional services.

On January 5, 2005, the Company issued a press release announcing that the Company has entered into the Letter of Intent.

number 2----On December 1, 2004, Medical Staffing Solutions, Inc. (the "Company") entered into a non-binding letter of intent (the "Letter of Intent") with Nurses PRN LLC ("Nurses PRN") and the shareholders of Nurses PRN (the "Shareholders"). Pursuant to the Letter of Intent and upon the consummation of a definitive agreement, Nurses PRN will become a 100% wholly-owned subsidiary of the Company.

On July 15, 2004 the Company entered into a non-binding letter of intent to acquire Physicians Informatics, Inc., d.b.a. PracticeOne, a Virginia corporation ("PracticeOne"), operating in a similar industry. This letter of intent was terminated on December 3, 2004.

On December 6, 2004, the Company issued a press release announcing that the Company has entered into the Letter of Intent and has terminated the letter of intent with PracticeOne.

number 3---On January 11, 2005, Medical Staffing Solutions, Inc. (the "Company") entered into a non-binding letter of intent (the "Letter of Intent") with Staff Relief, Inc. ("Staff Relief") and its sole shareholder. Pursuant to the Letter of Intent and upon the consummation of a definitive agreement, the Company will purchase all of the issued and outstanding common stock of Staff Relief.

On January 13, 2005, the Company issued a press release announcing that the Company has entered into the Letter of Intent with Staff Relief.

This is for those who thought they were only working on two aquisitions. If you noticed the sequence and what type of companies it looks to me like MSSI is fixated on growing extremely large.

MSSI-TeleScience MSSI-TeleScience International Inc (Vienna, Va) has been awarded a 5-year contract from the United States Air Force Medical Logistics Agency to fulfill staffing requirements at Keesler Air Force Base (Biloxi, Miss). The contract is expected to generate more than $386 million in revenue for MSSI throughout the contract period, which includes a base year and 4 option years. MSSI’s contract work for the Air Force Medical Logistics Agency began more than 3 years ago with a medical staffing assignment through a federal program for disadvantaged businesses.

When that deal gets signed the pps will take care of its self, till then im loading up on MSSI. ive been hearing they intended to announce the PRN deal after the 10k release. so, just gotta wait for the PRN deal for now.

California Hospitals Scramble to Meet New Nurse Ratio
By ROBERT JABLON, AP

LOS ANGELES (April 5) - California hospitals are struggling to meet a new, first-in-the-nation requirement that they have one nurse on duty for every five patients at all times, and officials say most institutions are falling short.

Some hospitals have tried to close the gap by hiring nurses from outside agencies and making staffers work more hours. Others are closing beds or keeping people longer in the emergency room to prevent other parts of the hospital from becoming overcrowded.

The new requirement comes amid a severe nationwide shortage of nurses.

''Even if money came down from heaven and paid for all of the extra costs, you still can't find the nurses,'' said Jan Emerson, a spokeswoman for the California Hospital Association.

Several states have minimum staffing levels for certain hospital wards, such as intensive care. California is the only state to establish mandatory levels in all areas, said Ken August, spokesman for the California Department of Health Services.

The law, backed by California's biggest nurses union and signed by then-Gov. Gray Davis in 1999, said hospitals must adhere to a staffing level set by the Department of Health Services. DHS then decided on a 1-to-6 ratio beginning in 2004 - a rule that took effect with similar difficulty - and 1-to-5 starting in January 2005.

Gov. Arnold Schwarzenegger tried to have the 1-to-5 requirement delayed for three years. But a judge ruled against him in March, and DHS notified the state's nearly 400 public and private medical centers that they must immediately comply.

The 60,000-member California Nurses Association said the ratio will make hospitals safer.

Mary Bailey, a nurse in a diabetic ward at Long Beach Memorial Medical Center, said that years ago, some nurses had to handle 10 patients at a time.

''Those were the crying days - when it gets so overwhelming that you go home crying,'' she said. ''We're not chopping broccoli. These are people's lives here, and there's nothing worse than going home and saying, 'I didn't pick up on that symptom.'''

But hospitals complain that it is virtually impossible to obey the law around the clock, when, say, a nurse takes a coffee break, or a ward is suddenly swamped with patients.

John Wallace, a spokesman for the Los Angeles County Department of Health Services, said county hospitals are closing beds when necessary and spending millions to hire nurses from outside agencies.

At Methodist Hospital of Sacramento, more patients are being held in the ER - though not just because of the staffing new requirement, said Holly Worley, an emergency room nurse.

''There just aren't enough RNs, period, and that was happening way before we had nursing ratios,'' she said.

The nurses union has accused hospitals of exaggerating the difficulty in finding nurses. And Bailey said her hospital has had little trouble meeting the requirement, whether through overtime, reassigning of nurses to the overnight shift, or having a nurse take a paid ''working lunch'' in a room within earshot of her patients.

The state law carries no fines or other punishments for violating the new ratio. DHS can shut down a hospital that poses an immediate and serious threat to patient safety, but that is rare. One complaint has been filed, officials said last week.

Critics of the ratio argue that California's hospitals need to find as many as 4,000 new nurses, at a cost in salary and benefits that Jim Lott of the Hospital Council of Southern California put at $400 million a year.

MSSI has 136 million O/S as of 3/16/05. 47 million of the O/S is owned by Dr. Sahay, the CEO of MSSI. so, that leaves 89 million shares. Dr. Sahay acquired 17 million of those shares on 1/12/05 at .05 a share and hasn't sold one share. so, apparently he believes MSSI is worth more than .05 a share.

This looks prime to run. I really like the looks of the charts. Like to see RSI drop below 28 but not necessary. Like to see a gravestone doji or inverted hammer tomorrow. But this is in my watch list for sure. I believe it will run next week.

MSSI is my only long term hold in pennyland, its very under valued, simular companies trade above $6 or $7 a share. so, i think its very possible for MSSI to trade at .30 or .40 in the future. they bring in about $7 million in revenue a year and the PRN deal would put it closer to $30 million a year. and they also have several other bids for new contracts.

i bought at .037 in mid-november and sold at .08 on the run to .098 in late november. i left it on my quote list since then and have waited months for it to go back down to these levels. i bought back in a month ago, im averaged in at .029 and im buying more if it stays at this price next week. MSSI has been shorted like hell the past few weeks but, im taking advantage of the low prices. but yes thier IR department is very poor but, they are a reporting company and cant give out inside information till all investors are informed. as for the PRN deal, heres a response from PRN i got on 4/6/05.

Thanks for your note, please contact Rich Meccarelli at MSSI Investor
relations for information.
