American Commerce Solutions, Inc. Reports Preliminary Mid-Year Results of Operations


BARTOW, Fla., Sept. 24 /PRNewswire-FirstCall/ -- American Commerce Solutions, Inc. (OTC Bulletin Board: AACS) today released preliminary results of operations for the second quarter ending August 31, 2003.

Daniel L. Hefner, President and Chief Executive Officer of American Commerce Solutions, Inc. stated, "Based upon our preliminary review, we are pleased to announce that ACS' wholly owned subsidiary, International Machine and Welding, Inc. will report substantial improvement in the efficiency of the operation compared to the same six-month period last year. Although sales have been sluggish in the first half of the year, our employees have made the most effective use of the resources available to them and maximized the revenue available."

"With revenue off by over $218,000 or 19.3% for the six-month period, one should expect that all would be disappointed. However, that is not the case with International Machine and Welding, Inc.," Hefner continued. "Cost of sales was reduced by $241,000 from 59.0% to 46.69%, more than making up for the lower revenue. Additionally, gross profit increased from 41.0% to 53.31% over the same period in 2002. Finally, the net operating loss for the six months ended August 31, 2003 is $106,843 compared to same-period losses from operations of $559,316 at August 31, 2002. Losses were reduced by $452,443 or 80.9%," Mr. Hefner explained.

According to Hefner, the Board of Directors of American Commerce Solutions, Inc. has endorsed and implemented, through an experienced management team, a program of sales and operation that places emphasis on generating sales that make use of the more unique machinery in the shop. A horizontal lathe capable of turning a 55-foot long metal shaft with an 11-foot outside diameter and a vertical boring mill that can hold a component equivalent in size to a full size sports utility vehicle are just two of the pieces of equipment that make International Machine and Welding, Inc. an industry standout in the Southeast. By generating more high profit sales, the reduced revenue had substantially less impact than would normally be expected. Hefner emphasized that the results are preliminary and subject to adjustment before the filing of the 10QSB in October.

American Commerce Solutions, Inc. Announces Chariot Closing Date


BARTOW, Fla., Sept. 25 /PRNewswire-FirstCall/ -- American Commerce Solutions, Inc. (OTC Bulletin Board: AACS) today announced that it will close on the acquisition of Chariot Manufacturing Company, Inc. (Chariot) on October 4, 2003.

Daniel L. Hefner, President and Chief Executive Officer of American Commerce Solutions, Inc. stated, "We have received response from the attorney representing Chariot Manufacturing Company, Inc. and have negotiated the minor changes suggested by his review. Unfortunately, the schedules of the parties will not allow closing before October 4th, 2003. Chariot assets have already been moved to the location where production will be commence immediately upon closing. In reality, we have already taken over scheduling responsibility for warranty and repair work for Chariot."

Mr. Hefner continued, "We are excited that we will finally get this first acquisition under our belts. I have received numerous calls and e-mails from stockholders and news organizations wanting to know 'when and if" the acquisition would actually take place. This much anticipated acquisition will bring additional credibility to the American Commerce Solutions, Inc. Board of Directors and the business model we are implementing. The terms and conditions of the purchase will be reported in the appropriate 8K filing following the closing."

Hefner further commented, " Meanwhile, we will continue the process of updating the printed promotional material and brochures and evaluating any tooling requirements for the molds and jig fixtures. Upcoming trade shows and opportunities to aggressively market these lightweight, easy-pull, durable fiberglass trailers are also being assessed. Our confidence that the acquisition would be completed has caused us to continue to prepare, so that no time will be lost when it is time to gear up."

Mr. Hefner stated that although Chariot is about trailers, it is also about fiberglass. Other contemplated acquisitions will also feature fiberglass manufacturing, but fiberglass recycling will also be part of this new division of American Commerce Solutions, Inc. through acquisition, if plans go as intended. The anticipated timeframe for the next acquisition is the beginning of the fourth quarter or sooner.

AACS is going to the moon!!! It will be at .40 to .50 by August IMHO. Buy more in the low .03's, it won't be their very much longer.

American Commerce Solutions, Inc.'s (OTC Bulletin Board: AACS) wholly owned subsidiary, Chariot Manufacturing Company, Inc., today announced shipment of its first Original Equipment Manufacturers order.

American Commerce Solutions, Inc. Chief Executive Officer, Daniel L. Hefner, stated, 'Under the OEM program, Chariot trailers will be packaged with our customer's products and sold as a complete unit. Chariot's first shipment under this program was to Atlanta based AmeriVap Systems. AmeriVap Systems manufactures dry steam cleaning equipment. The company offers several models from small residential units to large industrial systems. These systems are used to both clean and sanitize. Food and Beverage packagers are examples of one prime market for their equipment. AmeriVap Systems has combined a power generator and one of its larger industrial units with a Chariot Trailer for sale to representatives as well as to cleaning contractors.'
