The 144 selling is over. Now is the time to load the truck up as the earnings run is expected to unleash at any time. No overhead resistance now and the float at record lows for the company.

The brand was launched by the Company in New York in October, followed by a launch in Florida in November. The glistening 24K, with already 1000 cases of pre-orders, is designed and targeted for the premium club and luxury account market.

Item 3.02 UNREGISTERED SALES OF EQUITY SECURITIES.
On January 30, 2007 (the "Closing Date") we sold to five investors (the "Investors") an aggregate of 4,444,444 shares of our common stock, $.001 par value ("Common Stock"), at a price of $1.80 per share generating gross proceeds of $8,000,000, and warrants to purchase an aggregate of 3,777,778 shares of our Common Stock for a purchase price of $3.00 per share (the "Warrants"). The Warrants which are exercisable for a five year period commencing on the sixth month anniversary of the Closing Date, contain cashless exercise provisions, which apply in certain circumstances, and full ratchet anti-dilution provisions. Out of the gross proceeds of this Offering, we paid Midtown Partners & Co., LLC (the "Placement Agent") $640,000 in commissions and $160,000 for non-accountable expenses. We will also pay the Placement Agent commissions equal to 10% of the purchase price of Common Stock acquired on the exercise of the Warrants, if and when that occurs. We also issued to the Placement Agent, warrants to acquire 444,444 shares of our Common Stock for a purchase price of $3.00 per share (the "Placement Agent Warrants"), which warrants are substantially similar to the Warrants issued to the Investors, except they do not contain full ratchet anti-dilution provisions.

On March 6, 2007, the audit committee of the Company's Board of Directors agreed with management's determination that the Company's consolidated financial statements for the periods indicated above should be restated to make the adjustments indicated above. The audit committee has discussed this conclusion with the Company's independent registered public accounting firm.
In light of the foregoing, the Company has concluded that its consolidated financial statements for the above-referenced periods should no longer be relied upon. This conclusion was reached by the audit committee on March 6, 2007, following the recommendation of the Company's management and discussion with the Company's independent registered public accounting firm. The aggregate of all the adjustments as of October 31, 2006 result in an increase in accumulated deficit of $1,629,000, a decrease in intangible assets of $15,000, an increase in deferred expenses of $229,000, an increase in notes payable of $280,000 and an increase in additional paid-in capital of $1,563,000, but will not affect the net cash flows from operating, investing, or financing activities which were previously reported.
