I think BUGS may be become a major take over target for a buyout or hostile takeover..

This company would fit nicely in a company like Halliburton.

However a more likely scenario is Halliburton will put BUGS under contract.

I like this stock...made some bucks on this run....but in the interest of being fair to folks...the T/A says it's topped out for now. Unless it's a rule breaker, there's a nasty gap around .018 to be filled.

Dust..Pease..I never said it will go there....although... almost all gaps do get filled. It very well could be a rule breaker though because it is an excellent co.

I'm not trying to rain on the parade here but I do think this will pull back a skosh before continuing to climb. I'm planning on buying back in when it does.

Peaser...you may be right...you and Dust both have excellent track records. Again no offense was intended. If she keeps going up, great! I'll buy back in then too.

My comment on being fair was intended to state that folks MAY be able to get a better price...thats all. Remember....you don't have to pump a great stock.

On Friday September 2, 2005 Governor Mario Marin Torres held a press conference covered by local and national media reprimanding Pemex, the state owned oil company, for the irresponsible management of their petroleum pipelines in Mexico, specifically in the states of Puebla, Veracruz, Tabasco and Campeche. The following day, September 3, 2005, Mexico's leading newspaper -- The Reforma -- quoted the Governor as he stated that the three most recent spills of crude oil and gasoline have contaminated water reservoirs, farm lands and rivers, in some cases impacting up to hundreds of acres.

Governor Mario Marin Torres has formed an alliance with the governors of Veracruz, Mr. Fidel Herrera, Tabasco, Mr. Manuel Andrade and Campeche, Mr. Jorge Carlos Hurtado Valdez, to ensure immediate restoration and remediation of the areas affected with Pemex's crude oil and gasoline releases, as these states have experienced hundreds of hydrocarbons spills during this year.

Governor Mario Marin Torres has requested an immediate meeting with the President of Pemex, Mr. Luis Ramirez Corzo to obtain Pemex's immediate acceptance of these remediation activities and their financial support for the same.

Environmental Tech International will be responsible for the majority of the restoration activities vis-a-vis these contaminated areas, i.e.: farming lands, rivers and water reservoirs in Puebla working through Governor Mario Marin Torres and his Secretary for the Ministry of Environment.

How much longer will it take?

I get a lot of email, phone calls and personal questions from shareholders, venders, customers, employees, students, neighbors and even my mom asking “How much longer will it take?” I am sure you have been thinking of asking me that same question.



As I contemplate that question for what seems the thousandth time, I ask my self, “How did Jonas Salk , Thomas Edison, Henry Ford or Albert Einstein or any other pioneer in science or student of technological change answer that question?” My CEO Outlook this month answers that question by looking at where we started six years ago, what we have accomplished and where we expect to go in the future given the challenges of human nature, the consequences of environmental pollution, the political climate for environmental change and the willingness of the financial community and shareholders to support our efforts of paradigm change in a world that needs clean air, water and soil to sustain itself.



The Process of Change

You are probably reading this treatise on a computer or maybe a printed page. Either way, you or someone else used electricity to print or view its contents. A couple hundred years ago, we didn’t have electricity; we had whale oil that lighted the lamps in the streets and our homes. Many men made a fortune hunting whales on the East coast and selling the oil to merchants who sold it to their customers. When electricity was born, there was tremendous opposition (from the Whalers and the producers of natural gas – also popular at the time) to its use, in fact it was condemned as magic or harmful or deadly or too costly and would never replace the sanctity of whale oil or other natural substances! It took many years to go from the concept of electricity, to laboratory bench testing to pilot testing in the field to infrastructure building to full commercialization. It wasn’t done in 6 years or 10 years or 20, and a lot of money was spent to stop it, but today it is hard to find whale oil in the store and we all rely upon electricity or you wouldn’t be reading this without it.



Are you and I “better off” because of electricity? I think you would say so. On the other hand, the whalers and their families and their employees may have lost their job, their fortunes and political power. Are they “better off”? I think you would say “no” from their microscopic view. However from a macroscopic or bigger picture view (and some hindsight), I think mankind, as a whole, has benefited more from having electricity then staying with whale oil (and buggy whips, and horse drawn carriages, etc.).



The process of technological change involves the adaptation of useful technology for the betterment of mankind which often requires a concurrent political change and substantial financial investment to overcome the opposition who are quite “happy” with the status quo! Human nature has also taught us to resist change of any kind (early adopters excepted) if we are “comfortable” where we are now and are uncertain of when a higher level of comfort will be obtained in the future (How long will it take?). Human nature also defeats many potential winners because they don’t have the stamina or desire to complete the change mission, but fortunately our survival instinct and the potential of economic profit motivates others to pick up where the defeatist left off and change ultimately is made if it is better for mankind then pre-existing conditions.



So now you should understand the process of technological change and its effect on mankind as a whole and its effect on special interest groups. There is usually a group that can be labeled a “winner” and there another that can be called a “loser” (or perhaps a “short term loser”) when change is made. If mankind is the winner then the process of change may be good but at the expense to certain groups who oppose it from their self serving viewpoint. (If you want to explore this further, think about who would “win” and who would ”lose” if we had a vaccine for cancer that cured 100% of those using it – You might be surprised at your answer!)



Our World – like it or not!

After reading the last section, it might not surprise you that approximately 70% of all U.S. pollution cleanup projects started in the past 20 years have never been closed to regulatory cleanup levels. One of the reasons for this appalling record is the politics of public and corporate bureaucrats wanting to enhance their job security with lots of open projects and environmental contractors using outdated 1980’s technology that prolongs the cleanup project by treating the symptom of the problem rather than the source of the problem. Kind of like putting a water filter on your faucet to stop the foul odor and bad taste rather than fixing the source of the problem at the public water works or, better yet, at the underground source. This “symptom mentality” helps sell a lot of water filters, creates a large “monitor the problem and hope it goes away naturally” consulting industry, which prolongs the problem by keeping regulators happy, but really never solves the problem!

So here we are in a political environment that doesn’t want a solution for the environmental problem because it will upset the status quo for those who feed off the system of prolonging the problem! But what about mankind? I read the other day that perchlorate (used in rocket fuel), a chemical suspected of causing cancer, is now being detected in California grown lettuce and our milk supply (see www.ewg.org for the details) and we are ingesting it with unknown potential future problems. This contaminant is so harmful that California ex-governor Gray Davis signed a law that requires perchlorate users to got back 53 years and document their usage, storage and spillage of this chemical so that action may be taken to clean up the contamination we have been exposed to. I applaud the ex-governor for signing this legislation, but it had been sitting on his desk for a very long time and was only signed because a political opponent during his recall election got the endorsement of an environmental group and he needed to show that he was environmentally conscientious too! How much longer will it take to quit playing political games like this that affect you and I?

The environmental cleanup industry needs a change. We (mankind) needs to clean up the contamination mess, complete existing projects to regulatory cleanup levels, and move on to the numerous other cleanups before we pollute the earth so much it will not sustain itself in many areas where clean water, air and soil are required. In fact the biggest challenge I see over the next 50 years is the need for clean water. As this earth grows from 6 billion people to 9 billion by 2050, there will not be enough food or water to feed this population if we continue down the current environmental path. We need change – no - mankind will be required to change or face the environmental, political, economic, and survival consequences!

Defining our role in the Environmental World

In 1996 when BUGS acquired the microbial technology, it had been in use since 1968 in a variety of projects including contamination cleanup, agriculture, wastewater treatment, cell reproduction and various other projects in its attempt to find a profitable niche market where the participants accepted the use and validity of the technology. The technology was based on “naturally occurring” organisms rather than “genetically engineered” organisms. We thought that if we could solve a lot of key environmental cleanup problems using Mother Nature’s best microbes, grown in high concentrations in our laboratory, we would have a successful company in several years.

We didn’t count on the extreme opposition forces in the cleanup industry that would try and discredit our technology at every chance. We spent two years selling a microbial product with little success because our “customers” were the very consultants and contractors who didn’t want their projects to end with a new, innovative solution. Some of the early adopter contractors were willing to give it the old college try but they gave up because they didn’t understand the biology application. We then brought on our own engineering group and successfully married engineering with Mother Nature’s biotech solution and “suddenly” our cleanup projects were not only successful but profitable! It is now time for product rollout.

Winning the Hydrocarbon Cleanup War

In the key strategy book, “the Art of War” by Sun Tzu, it is suggested that to win a war, you must choose the battles that you think you can win, and then, using superior strategy (technology, political and financial clout), win the battle and reap the reward. The same strategy holds true in the fight for supremacy in the hydrocarbon wars in the environmental world. To be successful you must choose niche markets where your alternative technology reigns supreme, is accepted by customers as being “better, faster, and cheaper” and in our case also “safer” than conventional technology solutions, and provides above-average profits worthy of the battle. So how do we accomplish this task?

A New Environmental Cleanup Paradigm is pioneered successfully

Before SSWM came on the environmental scene, the predominate environmental cleanup paradigm, or strategy, was “Pay for Effort” or “PFE”, (a.k.a Time and Materials consulting) where the customer pays the consultant for the effort of “trying” to clean up the problem, or most often, the symptom of the problem to satisfy regulatory bodies. The net result of using 1980’s technology with the PFE paradigm was projects which generally took 5 to 30 years to meet regulatory “clean up” levels. Fully 70% of the projects started in the past 20 years have never been closed to regulatory levels. With such an appalling record it is amazing the public has put up with such a failure – but prior to 2001 maybe they didn’t care because the stock market was soaring, people had lots of money, employment levels were low and life was good (so they thought). Almost nobody was willing to move out of that comfort zone and clean up the mess they were leaving behind! Is there a white knight looking out for mankind and you and me?

SSWM does care about the environment and the effect of contamination on you and your family. That’s why we pioneered a new cleanup strategy based upon “Pay for Performance” (”PFP”) where we get paid for actually meeting predetermined cleanup levels much like a building contractor gets paid for milestone achievements like completing the building foundation, framing the house, completing the roof, etc. We have a financial incentive to eliminate the source of the problem, not just cover up the symptom. Isn’t that what our customers want and maybe our competitor’s customers want?

Apparently our PFP efforts are gaining support in a big way. Both the South Carolina and the Florida state Leaking Underground Storage Tank (LUST) Funds now only contract on a Pay for Performance basis for environmental cleanup projects. With an estimated $3 billion in LUST jobs pending for these two states and the Environmental Protection Agency (EPA) leaning in the same direction for governmental projects and also endorsing biotechnology solutions as having the most future potential for cost-effective environmental cleanup, we think we are onto a new strategy that will change the way cleanup services are delivered and catapult us into an industry leader. The big competitors have shied away from PFP and prefer PFE because they don’t want to (or can’t) guarantee their results using 1980’s conventional technology and are hesitant to adopt alternative (biotech) technology solutions that shorten the life of their consulting contracts.

Niche Market Opportunities

From 2000 to the present we have successfully done project demonstrations, competitive “bake offs”, undertaken pay for performance contracts and generated more revenue each year with record breaking results again in 2003. During this time period we have identified three niche markets that have the potential to generate over $100 million in revenue for BUGS and its majority owned subsidiary, Sub-Surface Waste Management (SSWM). These markets utilizes biological solutions for air, soil and water cleanup in three key areas including:

1. Perchlorate solvents cleanup for soil and groundwater

2. MTBE/Hydrocarbon soil and groundwater cleanup

3. Conversion of contaminated water to dinking water

The technology has been proven in each of these markets where it often cleans up the problem faster, cheaper, safer and better because it eliminates the source of the problem rather than treating the symptom of the problem. And because our solution uses biotechnology, our project profit margins are usually better than industry standards because we are off the job sooner and we get paid as the contamination is eliminated.

Clear Objectives

The objective of the SSWM engineering group is to refine technologies, finance their development or ramp up, and apply SSWM biological solutions directly or with teaming partners. In addition SSWM engineering staff teach and support their teaming partners and provide microbial products as needed for implementation. To date SSWM has teaming agreements for the carbon recycling technology with MFG, Inc. a subsidiary of Tetra Tech, Inc. (NASDAQ TTEK), for Bio-Raptor™ use with Grupo Bartlett in Mexico and drinking water cleanup technology with C. TradeUsa in several areas of concern. SSWM teaming partners are attracted to this alternative technology because it offers greater profitability potentials than conventional technology, creates new markets they can reach, and it offers their established clients a quicker more economical solution.

We do our homework to insure cleanup success

Before a technology is implemented by a teaming partner’s customers it is validated in the field by SSWM using sound engineering practices at actual customer sites. Current or completed work in this area includes carbon recycling at a major petroleum refinery, dry cleaning solvent cleanup for a One Hour Martinizing ™ franchisee, approximately $1,000,000 in gasoline and MTBE cleanups from underground storage tank spills in South Carolina , and rocket fuel cleanup for major aerospace contractors in California .

Why we should be successful

There are several driving forces, which provide great opportunity for U.S. Microbics and its subsidiaries. The first is the environmental cleanup mandate for members of the World Trade Organization, the second is the environmental industry shift to pay-for-performance standards, and the third is world population growth requiring increased environmental stewardship for clean water, land and air and natural alternatives to chemical fertilizers for agricultural growth enhancement. Let’s elaborate of each of these trends and why they help ensure the success of U.S. Microbics.

The World Trade Organization (WTO) is comprised of recognized member nations who subscribe to a specific code of business and trade conduct and compliance that ranges from monetary to environmental compliance issues. They have issued a mandate to their members for environmental cleanup standards that must be met or they are restrained from shipping products and services to other members. Currently there is a major effort being made by WTO members to solve environmental problems and the bioremediation solution is one of the key choices.

The environmental industry is shifting to Pay for Performance standards for cleanup projects rather than Time & Materials standards. This paradigm is well suited to SSWM biological solutions which are the only alternative that is economical, gets rid of problem at the source, in time frames needed to meet closure deadlines, particularly for WTO member nations. The Pay for Performance philosophy is already supported by the EPA, the states of South Carolina and Florida with other State cleanup funds now actively considering Pay for Performance Source remediation.

Population Growth of world is forecast to be 9 billion by 2050 and it is estimated there will not be enough fresh water and agricultural land (as it is now used) to feed this population. Therefore alternative technologies, such as biological growth enhancement to feed people and bioremediation to clean up water, soil, and air should be in high demand.

Our past successes in environmental cleanup, agricultural growth enhancement coupled with sound engineering practices and the driving forces ensure a demand for our solutions for the foreseeable future. Our challenge is to provide superior, field-proven technologies, the rollout financing, and the political clout needed to implement the alternative technologies in the 21st century. Let’s look at where we stand today.

FY 2004 Progress Report

SSWM and its engineering team, with the help of XyclonyX, the BUGS R & D subsidiary headed by Mery Robinson , CEO, have developed a new biological, patent pending solution for the recycling of activated charcoal used as a filter medium for the industry cleanup of both liquid and air streams. The characteristics of the biotechnology allow a charcoal filter user to recycle the carbon medium onsite for approximately ½ the cost of convention carbon recycling technology or use the technology to pre-filter equipment converting contaminated water to drinking water.

Our challenge during 2004 is to solve the financing for the company. Two years ago our challenge from the competition was based on the technology results (or lack thereof). We solved that problem with field demonstrations and paid projects with definitive results.



But remember, the status-quo opposition still challenges us and our alternative technology change. They have now switched from technology attacks to financial attacks noting our weak balance sheet. They claim our weak financial position will mean we can’t complete multi-million dollar contracts, or large company purchasing managers will not take the risk of trying alternative technologies from companies with weak balance sheets. So we are attacking that problem by taking SSWM public and it now is trading with a respectable market cap of approximately $12,000,000. We have obtained a $6MM financing commitment (with an additional $6MM if needed) and are pursing acquisition financing. With a stronger balance sheet and/or credit lines and acquisition capital and project financing, SSWM could have a profitable future as it moves to commercialize the cleanup solutions and rollout its technology through acquisition company distribution channels.

Not only will there be massive amounts of water to be cleaed up, there will be unbelievable masses of soil to be cleaned of chemicals and such, after the water got pumped away. So there're multiple long term oppurtunities for BUGS.

I really hope that the peoples interests count more than the interests of the groups that would clean up with outdated technologies, just to make more money for themself. And instead new ways will be taken, like BUGS great microbial technologies.

It's about time we all have a stock we can put some faith in..

BUGS is a winner and not just a few day wonder.

I noticed a bi-line about the shrimping industry in the gulf and how the infrastructure is wiped out..

I thought about something else when I saw it..

These Microbes could be placed right into the Sea.

Oysters and shrimp, plankton, heck the whole food chain could be cleansed of contaminates.

BUGS microbes not only eat biological agents they eat Oil, gas, solvents and even lead.

No doubt! This should climb quicker than GTEL did when it's price per share was this low. And BUGS has a lot less outstanding shares than GTEL did at this price.
