Company is going private and paying .05 per share. Its at .038 right now. With the shorts and MOMO this could go much higher than .05, get in quick they havent PRed it yet.

yea MMs may not even know about the buyout yet and havent even started covering. WHo would sell for less than .05 at this point, its in a filing, thats the closest thing to a garentee you can get.

if you want a garenteed 20-30% then this is a great play. If shorts are out there it will get pushed above .05, so there is no risk involved at any price under .05. I have shares that I will hold throuhg buyout and shares I will try to flip.

it's in the filing...merger closes on 10/31 at which time shareholders have the right to convert all shares into .05/share cash...
my thought is that anyone short will have to cover? could be wrong, worth the gamble for gauranteed profits, IMO...

Geez, I think this kind of thinking is exactly why so many people lose so much money playing these penny stocks. "Only 25% gain that's virtually guaranteed? Nah, I'll hold off for the stock that's likely to go down to nothing, but has a chance to go up 100%!"

READ THE TERMS BEFORE INVESTING IN THIS-------The unaffiliated stockholders of Aegis will be entitled to exercise appraisal rights and demand “fair value” for their shares as determined by the Delaware Court of Chancery, which may be determined to be more or less than (or equivalent to) the amount of cash consideration offered to such holders for such shares pursuant to the merger. The notice and other requirements under Section 262 of the Delaware General Corporation Law with respect to the Series B Preferred Stock may be extended or otherwise changed or modified pursuant to an order of the Delaware Court of Chancery. See “Special Factors - Purposes, Alternatives, Reasons and Effects of the Merger” and Item 4 “Terms of the Transaction” beginning on pages 2 and 17, respectively, of this Schedule 13E-3.--------------------------------------------------You have a statutory right to demand payment of the fair value of your Aegis capital stock as determined in a
judicial appraisal proceeding in accordance with Section 262 of the Delaware General Corporation Law, plus a fair rate of interest, if any, from the date of the merger, provided that, with respect to the Series B Preferred Stock, the notice and other requirements under Section 262 may be extended or otherwise changed or modified pursuant to an order of the Delaware Court of Chancery. This value may be more or less than (or equivalent to) the amount of cash consideration offered for your shares pursuant to the merger. Except as otherwise provided in any such order of the Delaware Court of Chancery, in order to assert these rights, you must make a written demand for appraisal within 20 days after the date of mailing of the Notice of Merger and Appraisal Rights and otherwise comply with the procedures for exercising appraisal rights set forth in the Delaware General Corporation Law. The statutory right of appraisal is set out in Section 262 of the Delaware General Corporation Law, a copy of which is attached as Exhibit (F) hereto. Any failure to comply strictly with the provisions of Section 262 may result in an irrevocable loss of such right. Due to the complexity of the procedures for asserting appraisal rights, stockholders seeking to exercise their statutory right of appraisal are encouraged to seek advice from legal counsel. See Item 4(d) “Terms of the Transaction — Appraisal Rights” beginning on page 18 of this Schedule 13E-3. THERE MAY BE A PROCESS TO FOLLOW TO GET PAID, CHECK WITH YOUR BROKER, not shure how this works but i suggest you read the filing before jumping in for the payout.

it is talking about common stock held by unafiliated share holders, seem to indicate .05 IS NOT guaranteed, read the WHOLE filing, looks like common share holders will have to submit certs and apply for the payout the actual value of witch will be determined. could be .05 could be less, at least thats how i read it. check it out before deciding to hold for the payout. JMO!! i could be wrong. good luck!

the above is in reference to an option shareholders have. you have an option not to take the .05 and opt to have your "fair value" determined in court. or you can take the .05/share...
so yes, there is a process if you want a different "fair value"
if not, cash buyout at .05...
at least that's how I read the filing...

Yeah, I think skip is right. You can either take he .05 buyout OR appeal for fair market value, which may be more or less than .05. Not sure if you appeal for market value if the market value is determined to be less than .05 if you have to sell at that value or if you can then sell at the .05 again, but I think you can get at least .05 for your shares.
