ASHEVILLE, NC, Jul 21, 2006 (MARKET WIRE via COMTEX) -- Homeland Integrated Security Systems, Inc. (PINKSHEETS: HISC) is pleased to announce that their shareholders of record will be receiving a stock dividend in EVSI once they have established a new record date which will be further explained in a letter to the shareholders to be posted on the company website shortly.
Homeland Integrated Security Systems shareholders of record will receive 1 new share of the NASDAQ Bulletin Board Company for every 50 shares of HISC they own as of the record date. Homeland Integrated Security Systems shareholders will maintain their stock ownership of HISC and will receive a dividend in the NASDAQ Bulletin Board Company.
Homeland Integrated Security Systems previously announced that the company will not be merging any of its assets with Evans Systems Inc. and that the Board of Directors has elected to retain 100% of the ownership rights to all their assets, including the Company's flagship product, the Cyber Tracker. Homeland Integrated Security Systems, Inc. will continue to market and sell the Cyber Tracker, in the U.S. and international markets, and will also maintain all of its current distribution agreements.
Evans Systems filed an 8K terminating the merger with Homeland Integrated Security Systems. Despite the termination of the merger agreement with Homeland Integrated Security Systems, shareholders of HISC will still maintain ownership in the New Nasdaq Bulletin Board Company and thus receive their dividend.
This is a total mess!!! Expect to see this one go under a penny very soon. Now the merger is being called off so why and how can HISC offer shares in a company they no longer have to merge with???? Where are they getting the funds and why all of the sudden is Evans trying to terminate the merger??? What is it that they see is wrong and now where does that leave Moody??? Who is leading HISC now?? So many questions that is now calling everything into question. I would not be surprised to see an SEC investigation soon as something fishy is going on.

Bounced off of a .01. Not good, not good at all. Showing everybit of the signs that it will slip under a penny soon. HISC had a lot going for them until they started screwing around with bogus mergers and questionable stock dividends as their own CEO jumps ship.

First...I'm not telling anyone to buy this stock! Just wondering.....
Does anyone do DD on the stocks they own or intend to buy or sell. Other's posting negative info today, got me more shares at one H-ll of a good price. All I had to do was make a phone call and I got the answers I needed to make a decision to sell, hold, or buy. The recent EVSI filing was definitly confusing, so I did my DD and made a call. What I thought was happening is basically true. Others can do the same....rather than make false claims of what they think is happening!
Now I'll sit back and watch!! And just maybe go laughing all the way to the bank!

Look at the chart and tell me what direction HISC is going? Time to bring in some chart experts who can tell us where the support levels are at once it trips under a penny. The chart is showing a falling knife and I am not about to catch it at this point.

Thanks for sharing. I thought we were all here to help each other, which to me means if you made a phone call the info received would be shared. Due Diligence should be shared, unlike rumors and beotching.

I bet many of us here have done way more DD on this one above and beyond what should be expected. Why else do you think we bought this stock? The problem I have is trying to make sense out of the latest PR's that even the company cannot explain! With Evans terminating the merger and Moody jumping ship, I put it back out there for discussion as to why????

Rules, I agree. We did our DD before we bought. I have no gripes, as I bought originally at .02 and sold half at .14. So the rest is free stock. That being said, if I hear news (not unfounded rumors or guesswork), I post it here in case it helps someone else do THEIR DD. I'm sure most of us are here for the same reason, so why keep secrets. Holding long and waiting for the day HISC takes off, as (IMO) it must with the sales numbers they are posting. It is only a matter of time.
