TUCSON, Ariz.--(BUSINESS WIRE)--May 5, 2006-- Cell Wireless Corp. (Pink Sheets: CLWL) announced today that it has signed a Letter of Intent to merge with Bond Wireless (www.bondwireless.com). Bond Wireless is an award-winning leading provider of mobile messaging solutions, providing international SMS connectivity, mobile messaging applications, integrated products, and consultancy services to small, medium, and large enterprises in more than 150 countries and 500 network operators and carriers. Bond Wireless is a Microsoft Certified Partner and a Sun iForce Microsystems Partner. John Bohringer, chief executive officer of Cell Wireless Corp., said, "The merger is an excellent marriage for Cell Wireless' existing business." He said, "The Bond Wireless product applications are currently being distributed in the USA, Australia, Thailand, Malaysia, Singapore and Europe." Bond Wireless currently holds a patent on SMS Authenticate and Verify (SAV) which is a server-based module that provides the ability to send secure SMS. Messages are encrypted when sent to recipients and can only be retrieved with the correct password sent from their cell phone (caller ID is used). Bohringer also stated, "Dr. Clarence Tan, BSEE (Comp), MSISE, MBA (USC), Ph.D., FACS, F FIN (Aust), F.Inst.BA (UK), will become an officer and will be invited to join the Cell Wireless Corp. board of directors." Tan, previously an associate dean and currently an adjunct professor at Bond University's Faculty of Business, Technology and Sustainable Development, has worked for a number of multinational corporations, including Citicorp/Citibank in Hong Kong, Malaysia, and was manager of Citibank's Foreign Exchange Strategic Positioning and Technical Trading Unit in New York. Tan, who is chairman, founder and chief executive officer of Bond Wireless, said he is excited about the merger of the two organizations and believes the new combined company will be a major force in the industry.
