GREM USA Corporate Update

Business Wire via COMTEX

Apr 26, 2006 4:05:01 PM

FORT WAYNE, Ind., Apr 26, 2006 (BUSINESS WIRE) --

GREM USA (OTCBB:GRMU) announced today that the Company has made significant strides in setting up the new production facility in its new building located in Fort Wayne, Indiana.

The build-out of the Company's office space has been completed and the main part of the factory is completed with the equipment to build guitars setup and operational. The Company is in the process of setting up a 50ft by 16ft free standing cross draft paint booth with an infrared drying room. Additionally, the Company has started assembly of a 50ft by 30ft kiln for drying wood. The Company anticipates completion of both the paint booth and the drying kiln within the next thirty days.

Edward Miers, President/CEO of GREM USA, stated, "I would like to thank those investors that have taken the time and opportunity to visit the Company's new manufacturing facility and I would like to reiterate to all investors and other interested parties that we welcome the opportunity to have visitors tour our new facility."

"The Company recently changed the neck design on both the GREM Reaper and the Uppercut models. The neck style has been changed from a 'glue in' neck to a 'neck through' on both models," stated Mr. Miers. "We are currently starting production on the Special Edition model and anticipate having product available for shipment in July. Soon thereafter we anticipate having the Standard model available for shipment and anticipate having all current models available for shipment by the forth quarter."

Additionally, Mr. Miers stated, "Again, on behalf of the Company I would like to encourage any interested shareholders that would like to visit the factory to contact the Company at 260-456-2354 to schedule a tour. We are very proud of the progress we have made and we would welcome the opportunity to showcase the achievements made thus far."

The Company presently has five original designs in its line of guitars. The Company's present guitar line includes the following designs: the "Uppercut", the "GREM Reaper", the "Free Radical", the "FT-101" and the "GREM Standard". Collectors and music enthusiasts interested in purchasing one of the Company's custom handmade guitars are encouraged to phone the Company directly at 260-456-2354 for more details.

announced today that recording artist Bill Leverty of FireHouse has entered into
an exclusive endorsement with GREM USA. As quoted by President and CEO Edward
Miers, "These are truly exciting times for GREM USA as we are now in the

be the beginning of many dynamic events to be announced in 2006."

On June 20th Bill Leverty visited the GREM USA factory and upon completion of
the tour was quoted as saying, "I was blown away by the size of the factory and
the superior craftsmanship of every GREM guitar and I would be honored to be
part of this company." Mr. Leverty further stated, "With the finalization of our
agreement I will be playing GREM's guitars exclusively while on tour with
FireHouse, in studio recordings, and in select guitar clinics of our
distributors across the country."

On June 21st Mr. Miers and Bill Leverty were interviewed by SubPennyRadio.com

patience as we continue to advance the Company forward. I will be closing on an
approved personal guaranteed loan of approximately $400,000 - $500,000 based on
the appraised value of the GREM USA real estate. This will provide the Company
with the necessary cash flow to begin immediate production and shipment of the
product line." Mr. Miers further stated, "Based on the current business model
there will be NO reverse split at this time and we see no need to increase the
current authorized share structure."

The new GREM USA website is online and will continue to evolve as GREM adds more

Some background info on Bill Leverty

From his website Leverty . com

This rocker knows a lot of people in the industry that could be potential guitar buyers. These guys will continue to tour and network using the GREM guitars.

Not to mention in the middle age group there is a boat load of money recapturing their youth and buying big boy toys they couldn't afford when they were kids. This may truly be a Cinderella story in the making. JMO of course.

I'm from Richmond, Virginia and the son of a great set of parents who gave me my 1st guitar at the age of 4. Big mistake! I fell in love with the guitar but we broke-up for a while when I found the sport of diving. By the age of ten I was Virginia State Diving Champion. I then left the diving board for ice hockey (the greatest sport of all time). GO RED WINGS! The guitar came back into my life at the age of 15 and won my heart over. I still love ice hockey and play a couple times a week but don't tell my guitar!

My first guitar lesson was in the 8th grade. I took a guitar course in school where the teacher taught us basic guitar chords. It was a one hour lesson, once a week for 6 weeks. I was hooked! I went on to take music theory in high school. That was the best course I ever took in school.

Some of my influences are Stevie Wonder, Simon & Garfunkel, Led Zep, Carlos Montoya, Rare Earth, Peter Frampton, Aerosmith, Ted Nugent, Kiss, Michael Schenker, UFO, Doobie Brothers, Lynyrd Skynyrd, Outlaws, Allman Brothers, Steve Morse and the Dixie Dregs, Pat Travers, Eddie Van Halen, Al Dimeola, Allan Holdsworth, Scorpions, Randy Rhodes, Warren DeMartini and Ratt, George Lynch, Joe Satriani, Steve Lukather, Steve Vai, Eric Johnson, Carlos Santana, Neal Schon, and (my favorite guitarist of all time) Jeff Beck.

My history with FireHouse begins when my band White Heat needed a drummer. We auditioned 20 or so and finally this guy named Michael Foster answers the ad in the paper and shows up at our rehearsal room. I remember he had a really ugly drum set but he could sing REALLY well and he had a GREAT groove. His first song to audition was "Say What You Will" by Fastway which has a swing feel and he just SLAMMED it! What really impressed me was his ability to sing and play drums at the same time. He was given a song list of the 35 songs we were playing at the time, and when he came back the next night he knew them all perfectly with harmony parts nailed! He obviously got the gig. That was in 1984.

Michael and I used to go out to the rock clubs when we weren't playing gigs and we saw this band called Maxx Warrior. They had a singer named CJ Snare and a bass player named Perry Richardson. They both blew us away. CJ and Perry sang so well together I just remember thinking, "Wow! If Mike and I could work with those two guys we'd be a really strong four piece band."

Well, I can thank God because it happened over time. Maxx Warrior broke-up and I sent CJ some songs that I had written. I asked him to sing on our tape and he just tore it up. We did a show in Virginia with him as our singer a few weeks later and I'll never forget him telling me that after performing live with us he felt like this was the right band for him. I told him that I knew that he was the right singer for me and I thought we could make it in the music business together. I couldn't believe what a great voice he had. I am still amazed to this day at his song writing ability and clever musicianship, and of course his pipes! He's also a great piano player. You'll hear him play more on the next cd!

Anyway, after we had a tape with his voice on it we took it to Perry. He really liked it, but had promised the band that he was in at the time that he'd complete 6 months of gigs. We just said, "We're coming to get you when that 6 months is up!" We sold our P.A. system, moved to Charlotte, North Carolina, and started recording demos in my bedroom. Our band house had a basement where we would mic the drums and guitar speakers, run the mic cables through the air conditioning ducts into my room, and record all day. We'd play hotel gigs at night to make money to pay the rent and bills.

One day I was hangin' out in a music store in Charlotte and I met a guy named Ken Dapron from Yamaha Guitar Development. I gave him a demo tape and he liked it enough to give me an endorsement deal with Yamaha. Thanks Ken! I've been with Yamaha since the beginning and they continue to make the best guitars in the world. I play Yamaha Pacifica electrics, APX acoustic/electrics, and the L Series handcrafted acoustic guitars. My Pacifica guitars are custom-made and tweaked by Leo Knapp. Thanks Leo!

One night in December of 1989 a guy named Michael Caplan, Epic Records VP of A&R, flew down from New York to see our gig. He told me after the show, "You guys are ready for a record deal." I said, "Well it's about time!" Michael didn't want to change us at all. He saw our vision, and I'm forever grateful to him for giving me my first chance in the big league.

We went right into the studio with David Prater as our producer. David is also known for producing Dream Theater. I learned quite a bit from Prater and I think he did a great job on our CDs "FireHouse" and "Hold Your Fire." He's a genius level human being with outstanding musical talent. He used to play drums with Santana. By the way, we didn't sign the deal with Sony until the cd was completed. That's how long things take in the music business.

We won the American Music Award for Best New Hard Rock/Heavy Metal Band of 1991, Metal Edge Magazine's Best New Band of 1991, Young Guitar Magazine's Best Newcomer of 1991, and Music Life Magazine's reader's pop poll Best Newcomer of the Year 1992. Our first album sold over 2 million, and our song "Love of a Lifetime" sold over 500,000 singles reaching #5. "Don't Treat Me Bad" went to #14. Our Second album sold almost 1 million copies to date with "Reach for the Sky" getting into the top 20 and "When I Look Into Your Eyes" reaching #7.

We changed producers for the third CD, "3". We used Ron Nevison, who's famous for producing and engineering Led Zeppelin, Dave Mason, Ozzy Osbourne, Heart, Damn Yankees, UFO, Michael Schenker, Vince Neil, and many more. He gave us more of a live feel. I learned quite a bit from Ron. He's a world class producer. FireHouse "3" enjoyed more success overseas than we'd ever had. We went gold in several countries in Asia enabling us to take our music around the world. A dream come true.

Our 4th CD was produced by me, with the help of CJ, Perry, and Michael. It's called "Good Acoustics" and we used our favorite engineer in the world, Mark Severns. Mark was teaching advanced audio recording and mixing at The Full Sail College in Orlando, FL. He's extremely well respected in the industry and very musical as well. He's also a GREAT guitar player so we instantly hit it off. We had some of our greatest success stories overseas with "Good Acoustics" going gold in 6 countries.

Our 5th album was produced by FireHouse. It's called CATEGORY 5. We started recording it in the spring of 1998. It's a very diverse album for us, and it shows us stretching our musical wings a bit. It's available on Pony Canyon Records in Japan and Asia and, for a limited time, at firehousemusic.com for our fans everywhere else.

We went to Japan in 1999 for an amazing tour. Pony Canyon suggested that we record a show so that we could have a live album. Well, we agreed and the result is "Bring 'em Out Live", our first ever live album recorded one night in Osaka, Japan. It's available in Japan and Asia on Pony Canyon Records and on Spitfire Records in North America and Europe.

In 2000, we released our 7th album, "O2". This album has been called our best album ever by fans and critics from all over the world. It's a return to our melodic hard rock roots with a 21st century twist. This album has Bruce Waibel on bass. Due to musical and personal differences we decided to part company with Perry Richardson. We found an extremely accomplished bassist/vocalist named Bruce Waibel who fit our band perfectly. Bruce played in The Gregg Allman Band for over 10 years, recording on the "I'm No Angel" and "Just Before The Bullets Fly" albums. He also toured with The Marshall Tucker Band for 5 years while Gregg was not on the road. I had a great time recording and touring with Bruce, but he has since departed FireHouse and I wish him the best! "O2" also featured my vocal debut on track #7, "I'm In Love This Time".

I got some good feedback on that song, and since then, I've written more songs that fit my voice. You can hear two of them on the latest FireHouse CD, PRIME TIME, which was released in September 2003. I'm also very excited to say that my first ever solo album, BILL LEVERTY'S WANDERLUST, has recently been released. The album has received wonderful reviews from critics and fans. I am very grateful for the overwhelmingly positive reaction. If you haven't already, please check it out here:
BILL LEVERTY'S WANDERLUST

FireHouse has taken me all over America, Canada, Japan, Brazil, Argentina, Puerto Rico, Germany, England, Scotland, Northern Ireland, Spain, Wales, Indonesia, Thailand, Korea, Philippines, Malaysia, Singapore, Trinidad, and Mexico. Whew! What a great ride! Thanks guys. I can't believe how far we've come...

We've done shows with Journey, Lynyrd Skynyrd, Bon Jovi, REO Speedwagon, Tesla, Peter Frampton, Ratt, Status Quo, Cher, Damn Yankees, Night Ranger, Quiet Riot, Skid Row, 38 Special, Molly Hatchet, Eddie Money, BTO, Blackfoot, The Outlaws, Derek St. Holmes, Badlands, Lynch Mob, The Rembrants, Blessed Union of Souls, Poison, Black Oak Arkansas, Nelson, The Romantics, Enuff Znuff, Slaughter, Warrant, Trixter, L.A. Gunns, Jackyl, The Tubes, Styx, Pat Travers, Steppenwolf, Blue Oyster Cult, Sebastian Bach, Badfinger, Paul Rogers of Bad Company, Rick Derringer, John Entwistle of The Who, Faster *****cat, David Lee Roth, Great White, Jefferson Starship featuring Mickey Thomas, Sammy Hagar, Loverboy, and many more. We also jammed with Brian Johnson of AC/DC on the fourth of July in 1995. He's the absolute coolest, by far... Thanks Brian!

I found my soul mate on a hot summer's night in 1995. When I first saw her I got weak in the knees and my heart started beating like it never had before. We fell madly in love and got married in April 1996. Her name is Kris. She's my best friend in the world and I can't believe I was able to get her phone number that night.

We had our first child in November of 2001. Her name is Dabney. You can see a picture of her in the photo gallery. She's a gift from God. Every time I look at her, I see God. Kris and I are truly blessed to have such a wonderful daughter.

Thanks for reading all this stuff. Peace...
Bill

GREM USA (GRMU) Closing price .0008 President and CEO Edward Miers Bought back 750,000,000 That is 750 MILLION common shares on July 3rd,2006 to the tune of $375,000. Talk about insider buying!!!! WOWO

Ed Miers now controls 66% of the entire float leaving about 1.9 billion and deducting certain loans that are using shares as collateral and long term share holders the actual float is some where in the range of .9 -1.43 billion. There is no toxic restricted shares on the books that could be converted to crazy amounts of common shares. No convertable debentures recorded. There was only one RS that was recorded under Ed Miers watch and that was executed on 11-02-04 at a 1:200 rate. This was executed by Ed Miers at the time he purchased the dirty shell. Prior to that there were many RS's recorded. Ed miers latest pr dated July 4, 06 stated that he would not do an RS and there was no need to increase the AS. I guess not if he bought back $375,000 worth! I see this as great news as he has locked these shares up for 2 years before he can file a form 144 to sell any of them.

GREMS factory is complete and ready for full production the end of July or early August with proposed shipping of finished product in September foward for the 06 holiday season.

GMRU looks to be a truly undiscovered penny stock with a CEO that appears to want to create true share holder value the old fasion way. Through trust and hard work. GREM's website is GREMUSA.com, which BTW has just been completely reworked and is being tweeked on a daily basis.

Do Your OWN DD and please don't buy anything just because I may like it. Start here at the Pink Sheets site for further DD. http://www.pinksheets.com/quote/news.jsp?symbol=GRMU
