Raven Moon's New 75-for-1 Warrant Dividend Offers Opportunities for Shareholders

Raven Moon Entertainment, Inc. (OTC Bulletin Board: RVMN) has reminded shareholders of its new upcoming 75-for-1 warrant dividend, which has a record date of February 10, 2006. For each share held at the record date, shareholders will receive one warrant that enables them to purchase 75 restricted common shares. The exercise price for the warrants has been set at a 25% discount of the closing bid price on the day the check is written to the company. The company will not charge a processing fee to exercise the warrants.

"Raven Moon Entertainment has made strong progress over the past year and we believe that we have a good future, but we realize that our business model takes a longer time to generate recurring revenue streams than some other companies," said Joey DiFrancesco, Chairman and CEO of Raven Moon. "We are proud of the quality of GINA D'S KIDS CLUB(R) and confident that consumers and the market will reward the company over time. Our shareholders have been loyal and we appreciate their commitment to helping us grow the company."

"This warrant dividend can be used to average down current positions, rebuild positions or build on new positions. It provides an opportunity for those who buy shares before the record date of February 10 to acquire shares at the current market price and have the possibility of acquiring more shares at a 25% discount to the market price. By setting the exercise price below the bid price, we are making an attempt to reward those who exercise their warrants. The warrants also help the company by generating cash to help us grow and implement our business plan," he said.

Mr. DiFrancesco continued, "Over the past year, some of our accomplishments include:

* Growing the number of stations carrying GINA D'S KIDS CLUB to 227 stations, including some that air the show five days per week and one that is running a three-hour block on Saturday mornings,

* Producing 23 episodes of the show and securing a commitment for financing an additional 17 episodes,

* Obtaining a presenting public station (WPBT- Miami) who will launch the programs through American Public Television (APT) in June 2006,

* Embarking upon the Gina D's Reading Across America Program to promote the show through personal appearances, and forging a partnership with Florida Governor Jeb Bush's Just Read! Florida,

* Enhancing the shopping portion of the Web site and initiating additional sales channels,

Terms of 75-for-1 Warrants

The terms of the warrant dividend are: shareholders of record as of February 10, 2006 shall receive 1 warrant for each share of common stock owned as of that date. The warrant allows the shareholder to exercise 75 shares of common restricted stock for each warrant they own and exercise during a two- month window beginning February 15, 2006 to April 15, 2006 at a 25% discount of the closing bid price on the day their check is dated. Common shares purchased as a result of exercising warrants will be restricted for one year. The company does not intend to charge a fee to process the warrant exercises.

Instructions for Exercising the 75-for-1 Warrants

Between February 15, 2006 and April 15, 2006, if your account is with a broker and you have not received a physical warrant, have the broker send a letter to Raven Moon Entertainment, 120 International Parkway, Suite 220, Heathrow FL 32746 no later than April 15, 2006 verifying the number of shares you owned in your account as of February 10, 2006. Indicate the number of warrants you would like to exercise at a 25% discount of the closing bid on the day you write your check and make it payable to Raven Moon Entertainment, Inc.

If you have received a physical warrant from the company, fill it out and indicate the number of warrants you wish to exercise at a 25% discount of the closing bid on the day you write your check and make it payable to Raven Moon Entertainment, Inc. Upon receipt, the company will authorize the transfer agent to issue the shares to you.

Could someone explain this in simpler terms?
Will we see a good 1 or two day gain here because of buying volume? - or shall we buy and hold for the action after February 10th?

Right - right....
I know the #1 Rule about doing your own DD.

Maybe I didn't make enough sense in my last post....
I guess what I'm asking here is for a little advice about anyones experiences with this Warrant Dividend Offers stuff.
I have this topic on my list of things to learn about now - just asking for a simplified explaination for a head start.

The same thing applies to warrants as to stock: If you think its a good deal, you buy them. If not, you dont.
I suggest you get a good book on stock market terms and learn what warrants are and how they work before you invest in them.
This is also considered DD.
I would also suggest that you dont take any advice or explanations offered on boards...too many pumpers and bashers to make informed decisions that will affect your finances.

I'm hoping someone has a second to check my thoughts and tell me if I'm the right track here:

Most of the stocks I'm looking at on a daily basis are pretty regular equities ... look at the charts, read the news, etc ... -make your decisions to buy or sell.
RVMN is one of the dozens of stocks I've looked at recently and when Matto posted this thread on the Warrant Dividend Offer it piqued my intrest ... I don't know what it means.
I asked a rookie question ... sent Matto rolling on the floor laughing - good times.

Can someone tell me if I understand this correctly:

If I were to buy, say, $100 worth of RVMN shares before Feb 10th at .0002 (500,000 shares) - On Feb 10th I shall receive 1 "warrant" for each share that I own ... 500,000 warrants - Right?

Now, I can "exercise" each warrant (meaning "buy") for 75 shares of restricted shares between Feb.15th and Apr.15th at a time of my choosing. I could by 37,500,000 shares of restricted stock. Right?

I would have to write a check to RVMN headquarters for the amount per share at closing, minus 25%, on the date of the check.
Let's say the price of a share of RVMN is .0004 on March 15th, I could "excercise" all of my 500,000 "warrants", write a check for $11,250 to Raven Moon, and receive 37,500,000 shares of restricted stock - Right?
-or I can excercise any amount of warrants I choose.

These shares would be "restricted" for one year - meaning I can't sell them during that time frame - Right?

But, in the end, it all comes down to "-do I think that this investment is worthwile?"

What happens to the guy that buys 500,000 shares and chooses not to exercise any warrants?
He's free to buy or sell those shares as he chooses right?

I'd appreciate any feedback on this ... I understand most of you fella's are proly watching your own investments.

Sorry for the mis perception I was laughing at the pps ohow drop like a rock, it had nothing to do with your qeustion, I am truely sorry if it came across that way! The last time this rolled i posted the tread and made over 20,000 played it well,I thought with this news it would do the same but it dropped like a rock instead,I will never figure thes crappy things out!

As for your explaination of the warrents I do believe you are correct,I don't feel having money locked up is a smart choice for these companys any of them!

Matto thanks for the back-up.
If I would have bought at the time this post came out I would have bought in at .0003.
It's floating around .0001 and .0002 now. -and it's still a gamble.
Now that I have an understanding of Warrant Offers this seems to be more of an offer for people who really, truly believe in Raven Moons projects and business plan.
I don't think I want to jump on board.

good example, here, of the fallacy of all these new threads....with an established issue, thye DD on-thread remains as archive, as "historical data." In this case, you could have seen plenty about the numerous splits and dilutions, etc, etc. in this company's past...

why peeps feel they gotta post a new thread everytime the wind changes, I just don't understand...lazy? trying to hide the past? wtf knows...
