SALT LAKE CITY--(BUSINESS WIRE)--Sept. 27, 2005--PrimeHoldings.com Inc. (OTCBB: PMHJ - News), a diversified holding company with early-mover initiatives in the telecommunications and proprietary restaurant and hospitality industries, and Target Communications, LLC, its joint venture partner, today announced that the company will issue a 10% stock dividend to its shareholders as of Oct. 14, 2005.
The dividend plan has been filed with Nasdaq and the ex-dividend date has been determined. The record date for the stock dividend is Oct. 14, 2005, with an anticipated distribution date of Oct. 21, 2005. Only shareholders of record on the ex-dividend date will be eligible for the dividend.

SALT LAKE CITY--(BUSINESS WIRE)--Oct. 5, 2005--PrimeHoldings.com Inc. (OTC: PMHJ - News), a diversified holding company with early-mover initiatives in the telecommunications and proprietary restaurant and hospitality industries, and Target Communications, LLC, its joint venture partner, today announced that the capital necessary to acquire a publicly traded company, listed on the National Quotation Bureau, has been raised and placed in escrow. This acquisition, when completed, will provide Target Communications, LLC, the vehicle and opportunity to execute the next phase of its business plan. Current shareholders will receive a proportional equity stake in the new entity.
This sounds like a separate dividend! They will give shares of the new company after they close the deal. Anyone read it the same way?

stock dividends is basically dilution...and stocks tend to drop correspondingly. But the other stuff, getting equity in the new company...sounds cool...

FWIW, PMHJ is serviced by the same T/A as PGPM, so I called them to request that they add PMHJ to my faxed in request for the O/S count information.
I will post it here as soon as I receive it, which should be NLT tomorrow morning.

IMHO, this is the MM's not wanting to sell anything, but heir attempt to get any sells at any price to cover the short positions that they have before the dividend!
If htey bring the bid up some, this one could rocket!

wow... the last trade shows me that the MM's wont take anything less the ask, and they are using an in place sell * 5 to cover any buys. The MM's are dying for shares and they want us to sell it to them at 3!
I really think the huge spread is them trying to cover their shorts!
