SportsNuts, Inc., Enters Into Letter of Intent to Acquire Sports Marketing and Advisory Firm; Sports Solutions International Acquisition is Consistent with SportsNuts' Growth and Expansion Plan 5/23/2005 4:00:01 PM SportsNuts, Inc., ( SPCI ), a sports management and marketing company, announced today that it has entered into a Letter of Intent ("LOI") with Cavnar Sports to acquire Sports Solutions International, Inc. ("SSI"), which provides strategic, financial, marketing, legal, technological and operational consulting to athletes and sports manufacturing and distribution companies. SportsNuts expects to complete the acquisition within 30 days.
Under the terms of the LOI, SportsNuts, will acquire 100% of the outstanding shares of SSI which will, thereafter, become a wholly owned subsidiary of SportsNuts. After the acquisition, SSI will operate offices in Los Angeles and Salt Lake City, allowing broad exposure in different markets of the western United States. In addition, SportsNuts intends to retain the services of Jason Cavnar, CEO of SSI, which will allow a seamless transition and allow SportsNuts to utilize Mr. Cavnar's experience and numerous contacts in the sports industry.
In discussing the anticipated acquisition of Sports Solutions International, Kenneth Denos, CEO of SportsNuts stated, "The acquisition of Sports Solutions International is an excellent opportunity to broaden our reach and exposure into additional areas of the billion dollar sports' market. In reading some filing on this company. I see that the O/S is 121,674,854 as of 5/15/05 and there is 80m free trading as of 3/31/05 I'm guessing that the remainder are restricted. There is a pending spin off that was announced back in 04 the spin-off of Secure Networks is still on the table according to the 5/15/05 filing but has not been done as yet. There is also the pending closing of Sports Solutions International, Inc. ("SSI"), which is stated to happen within 30 days of the announcement which was made on 5/23/05. Quite a bit happening here with rising volume and PPS. This could get good over the next few days!

The way the MMs were moving up the PPS on volume today I think we may see a gap in the AM and maybe even pre market. The PR history shows 2 times of day that they put out PR 4PM or 7AM. We could see PR in the AM. Good Luck webman and imakmony I think we are in for a very nice ride here.
