Senticore Launches LoboPoker.com Jun 17, 2005 10:18:00 AM HOLLYWOOD, FL -- (MARKET WIRE) -- 06/17/05 -- Senticore, Inc. (OTC BB: SNIO), a publicly traded holding company has introduced www.LoboPoker.com through its newest subsidiary LoboGaming, a gaming software development and licensing company. Senticore has formally terminated its use of the PokerBook brand. In addition, Senticore and Silver Star Capital Investors have mutually agreed to rescind Senticore's former purchase of the controlling interest in PokerBook Gaming Corp. (OTC: POKG). Per the terms of the rescission agreement, Silver Star Capital Investors will return to Senticore the full purchase price paid including a reimbursement of expenses borne by the company during the past six months for software development.
"After experiencing numerous issues during the beta testing phase of PokerBook's proprietary software package, and spending over six months of development time, we decided it would be best to bring in a proven and tested software solution. The LoboPoker.com software is already operable and will officially be rolled out next week through an aggressive marketing campaign," exclaimed Jay Patel, CEO of Senticore.
Unwinding our transaction to acquire PokerBook was in the best interests of our shareholders. Due to the loss of time and additional expense still necessary to complete PokerBook's proprietary software, the deal was cost prohibitive and could have resulted in a significant liability and cash drain for Senticore. Instead, shareholders of Senticore now benefit with a greater ownership interest in the new LoboGaming subsidiary at a substantially lower cost resulting in increased shareholder value. "We are very grateful with the folks at PokerBook for allowing both parties to amicably unwind this deal," stated Patel.
Patel also spoke of offering a stock swap for each shareholder of PokerBook who purchased their shares between December 6, 2004 and June 16, 2005. "We believe shareholders who backed our original dream are entitled to continue to be a part of it. Our legal team must finalize the specific details, but we intend to offer shares in the new company on a share-for-share basis as soon as possible." AdZone Begins Dividend Distribution of Senticore Stock to Shareholders Monday July 11, 10:30 am ET
CALVERTON, N.Y., July 11, 2005 (PRIMEZONE) -- AdZone Research, Inc. (OTC BB:ADZR.OB - News), today said the company had begun distributing a dividend of 1,227,330 freely trading shares of Senticore, Inc. (OTC BB:SNIO.OB - News) to shareholders of record as of October 20, 2004.
The shares are being distributed by AdZone's transfer agent, Island Stock Transfer. The distribution to shareholders, equal to 0.01417 per share of Senticore stock for each share of AdZone stock on the October 20, 2004 record date, when AdZone had 86,594,952 shares outstanding, will be both by mail and posting of shares to shareholder accounts held in street name.
Chairman & CEO Charles A. Cardona said that both he, and his brother, COO John A. Cardona, had waived their right to their portion of shares under the agreement in order to provide a larger distribution to other shareholders.
``This is a proud moment for us,'' Cardona said. ``A dividend of any kind from an early stage company like ours is exceptional, and we hope to be able to further reward our shareholders in the future. The company said the shares have been issued to the company by Senticore as part of Senticore's initial payment for participation in a previously announced commercial division contract. Senticore and The Justice Fund (TJF), a soon-to-be public company, signed a non-exclusive contract with AdZone calling for Senticore and TJF to jointly distribute and market NetGet's Internet commercial applications in both Asia and South America over the next four years. The contract anticipates payments for sales made on a continuing basis, with graduated annualized target goals, and with minimum overall revenues to AdZone of $2.5 million over the term of the initial contract.
