NOVO NETWORKS, INC. 6440 North Central Expressway, Suite 620 Dallas, Texas 75206 INFORMATION STATEMENT AND NOTICE OF ACTION TAKEN WITHOUT A MEETING This Information Statement and Notice of Action Taken Without a Meeting is being furnished by the board of directors (the “Board”) of Novo Networks, Inc. (the “Company,” “we”, “our” or “us”) to the holders of our Common Stock (as defined herein) at April 18, 2005 (the “Record Date”) in connection with the filing of a certificate of amendment, in the form attached hereto as Annex A (the “Certificate of Amendment”), which would effect the following amendments to our Certificate of Incorporation (collectively, the “Charter Amendments”):
Amendment 1 To increase the aggregate number of shares which we will have the authority to issue from 225,000,000 to 6,600,000,000 shares, of which 6,000,000,000 shares will be shares of Common Stock, and 600,000,000 shares will be shares of Preferred Stock;
Amendment 2 To change our name from Novo Networks, Inc. to Berliner Communications, Inc.;
Amendment 3 To amend the Certificate of Designation, Preferences and Rights of Series B Convertible Preferred Stock (the “Series B Certificate of Designation”) to reduce the conversion price of the Series B Convertible Preferred Stock to $0.014018, and thereby increase the number of shares of Common Stock issuable upon conversion of such shares of the Series B Convertible Preferred Stock to 321,015,546;
Amendment 4 To amend the Certificate of Designation, Preferences and Rights of Series D Convertible Preferred Stock (the “Series D Certificate of Designation”) to reduce the conversion price of the Series D Convertible Preferred Stock to $0.014018, and thereby increase the number of shares of Common Stock issuable upon conversion of such shares of the Series D Convertible Preferred Stock to 675,773,394;
Amendment 5 To provide that, upon the filing of the Certificate of Amendment, all shares of Series B Convertible Preferred Stock, Series D Convertible Preferred Stock, and Series E Convertible Preferred Stock will be automatically converted into Common Stock;
Amendment 6 To effect a 1:300 reverse stock split, such that the outstanding shares of Common Stock will be reclassified and one new share of Common Stock will be issued for every 300 shares of existing Common Stock; and
Amendment 7 To amend the Certificate of Incorporation, such that, after giving effect to the reverse stock split, the aggregate number of shares that we will have the authority to issue is 22,000,000 shares, of which 20,000,000 shares will be shares of Common Stock, and 2,000,000 shares will be shares of Preferred Stock.

Amendment 2 To change our name from Novo Networks, Inc. to Berliner Communications, Inc.;
They are about to merge with another company. So the symbol will change. This will not take effect as of tommorow maybe a month from now but in the meantimes stock will make money with volume. They are starting to pull shares out of the float which means if this gets buying pressure you will see hugh orders at the ASK price which wont get filled. This stock has the right stuff to move to .10 without a problem. Think about that. Thats why it was reported to be a good pick. When you get e-mails from companies like that you better jump on it. They did SBWL and NVNW can be next if people show interest. If you show interest they will follow you up with alot of cash...

Yup.. they showed us with SBWL.. and now they have even more money.
Almost every transaction was a buy today, I think they are starting this one up for a run.

I believe the company is doing this to create a name for themself after they change ticker. People will remember a companies name if it has some kind of volume. So this one is a plot to make everyone money before the change. We could probley get this to .10 rather easily Because The GAP has been filled. =) So all the hard work has been done.. Every buys is a uptick.

It appears this stock is around its 52 week low. Marketmakers are sitting on 55k of shares per MM nd moved very nicely to 60% high with 3k in cash volume. Might be a move by the company after the finical report issued. This is one could be a strong buy for tommorow because everything else that finshed up finished to strong and people are going to dump it in the morning.

cut the ####### it is a group play play at your own risk what bunch of ########### they would not sit here all day and all nite if they did not want to take your money good luck and if you play the ######## there posting day trade them if you look at the history there loaded like a shot gun and when they fall they will fall like a rock for good

The latest on this one is that it will start to go down in a few minutes, stay in it will end higher the MM's will try to scare us out so they can buy at lower price stay in, it will go down .. be cool...

Well NVNW hasnt dropped yet... Hasn't gotten any buys after 10:09 if this gets a rush in buys all the Bashers will be put to shame.. IMO we need to do this. Anyone who bashs a pick without giving DD should be banned..

SBWL still holding .005 and above.... that's 1000% gain+ for those counting.... how many times has a stock held 1000% gain so well? not many... that's why I think there is more to go

This is a strong buy right now. Is up over 100% from yesterdays close. Not to mention the fact that it gapped 85% this morning. So if we eat up .025 that means it will GAP past .03 Just think about it

No one said "I found it" As i said before a person on thelion dot com gave it as a pick to watch and i was following it up here. = ) By the way Level 2's at close

If we can GAP up to .03 and break that resistance the 52 week high will fall as well. This should be very interesting with buys.....
