yes, all the time.... from 424 for example:
Prospectus Supplement No. 1 to Prospectus Dated January 14, 2005
TRINITY LEARNING CORPORATION
We are supplementing our prospectus dated January 14, 2005 relating to the resale by certain selling stockholders of up to 36,572,997 shares of common stock (the "Prospectus"), to provide information contained in our current reports on Form 8-K dated January 14, 2005, January 25, 2005 and February 2, 2005, copies of which are attached hereto (without exhibits) and incorporated herein by reference. We incorporate by reference the exhibits referenced in Item 9.01 of our Current Reports on Form 8-K dated January 25, 2005 and February 2, 2005. In addition, Theodore H. Swindells, a selling security holder under the Prospectus, has advised us that he disclaims beneficial ownership of 500,000 shares included in the Prospectus, thereby reducing from 15.63% to approximately 14.10% his percentage ownership of our outstanding shares of common stock.

I see S8's increasing A/S. I don't see any filings increasing O/S. I usually see O/S in 10Q's. Straighten me out maybe I have been mistaken all this time.

Hey Glass, I'm not trying to bash this one or pick a fight with you by any means. Someone asked a question, I answered it, that's all. It still does appear to me that they can in fact sell those shares though. A form 424 is a prospectus and doesn't apply to a company reaching into their authorized and issuing more shares except in cases of beneficial owners, convertible debentures, and things of that nature.

YES 424's are announcements of dilution....if you are a beneficial owner? you have to announce your intentions to sell...ever see the 144's? they are also announcements(not actual sales that takes a form 4).......there are dozens of ways to do it,
you guys are blurring the lines between float and OS....that's why we watch the charts...

Sorry guy, like I said before, someone asked a question, I answered it. Didn't mean to anger you in the process of doing so.

This one ran because the float is low and the charts were ready...All indicators are on the uptrend, and those investors who play by charts saw it and jumped!
The float is obviously low, otherwise this thing would not have flown to 0017 in half an hour...LOL
I believe we will see a continued uptrend in the a.m...play the game...and remember you are not investing in this one long term. (I'd like to see it hit 003 like RWLNE today)
Glassman, you put out excellent information. Thanks!

i'm not angry, i just get annoyed with all the rumors that go around...chart is right for a run... it's a MICRO-penny for xsakes....don't fall in love LOL...
the amount of time i stay in a stock is in DIRECT proportion to the amount of DD i do..... funny thing is what some people call DD...

Funny you mentioned Scottrade because I am actually waiting for my money to settle...I just opened up a new account there. I currently have Ameritrade, which is great for Nasdaq picks, but not as fast as Scottrade for pinks and OTCBB stocks...so I'm going to have two accounts now...I don't know a whole lot about Scottrade yet, so I can't offer any information. Sorry.

Geez, glass, I wasn't trying to send rumors around. I was just trying to get educated. I see few 144's, and mostly don't catch the increase in outstanding until I read a 10Q.

I've actually done a lot 'asking around' and comparing transaction times...And Ameritrade is SLOW in filling my limit orders. Besides, couldn't hurt to try a new company...LOL

well i've looked all over the SEC site & it does say a company needs to report many types of o/s increases but nothing about increasing the float. i'd think a honest company would though

Honestly, I don't think any company in this area is perfect, but a lot of my friends use Scottrade and have been pleased (not 100% of time of course), but enough to make me think I might want to have the option of using Ameritrade or Scottrade...make sense?
I really love Ameritrade's 9 second rule on investing in stocks on the big board, like Nasdaq...Man, I'm in and out in minutes...excellent for those kind of transactions.
Anyway, I'm looking forward to seeing DDSI play in the a.m. Could be fun!

for you TA guys, does the chart show a quick run up in the morning and then down to .001 again, or should it have some power behind it and run for the day? I wonder if it will hold, I am having trouble finding the average volume for the past month.

Digital Descriptor Systems Inc. Launches Growth Plan
Management Announces New Financing Package to Include Targeted Acquisitions and Debt Restructuring
SEA GIRT, N.J., Dec 09, 2004 (PRIMEZONE via COMTEX) -- Digital Descriptor Systems Inc. (Pinksheets:DDSI) has announced the first step of a growth plan which includes potential acquisitions and simultaneous debt restructuring. A new financing agreement was closed effective November 30, 2004, with an institutional investor. The terms of the $3.5 million agreement allow funds to be used for specific acquisitions, as well as restructuring over $500,000 of previously incurred debt under more favorable terms. Any additional cash, net of applied expenses, will be available for operations improvement. A Memorandum of Understanding to acquire the assets of a supplier of tamper-evident and authentication technologies is in place, and deliberations continue regarding a Definitive Purchase Agreement. "I would like to make very clear that there are no assurances that the transaction will close. Due diligence and negotiations continue that cause uncertainty to remain, however, our research indicates that there are several opportunities that may fit our needs. This activity is an example of our strategy to expand DDSI beyond the public safety markets, where we are already a well-established player, into broader markets," explained Tony Shupin, CEO of DDSI.
The potential for growth through the acquisition is the main driving force to overcome the material obstacles that may still impede this and other opportunities that DDSI is examining. However, the company continues to benefit from aggressive cost controls, ongoing product enhancements, strategic product development and committed investor support.

Thanks bmarley......saw that one but thought it was dated before the one I posted.
I do think this is more than a one day run....It already is....CHECK THE CHART it started it's uptrend 2 days ago....... Means to me something is up...someone has been consolidating over the past few days.....HMmm... makes me wonder.....WHAT IS THE NEWS.....? and the level 2 is just insane.... Glass said it....IT RAN TO .008 twice this year... My goodness.....is all of the good DD just wasted? Why bother posting charts when no one reads them...Also as stated.....this is not a marriage......MAKE SOME MONEY AND STOP BITCHIN' NOW........HERE IS THE CHART AGAIN!!!!!!
This was not done just because the charts bottomed...They have been trading flat for a while....Something is up, perhaps news....and I see it as buying till the news hits....JMHO and I could be very wrong but, again, it's my opinion.
