ESCONDIDO, Calif.--(BUSINESS WIRE)--Dec. 7, 2004--
Asgard Holdings, Inc., (OTC:AGDH) is pleased to
announce it has executed a contract with On-Demand Service Co., LTD
(BVI) for Fifty Five Percent (55%) of RoomWorX, Inc. of Las Vegas, NV.
In exchange for the controlling interest of RoomWorX, On-Demand
Service Co., will receive Fifty Million (50,000,000) Shares of Asgard
Holdings, Inc. and the infusion of Three Hundred Thousand
($300,000.00) Dollars for the promotion and dissemination of RoomWorX
products and services (i.e., advertisements, trade shows and internet
marketing).
On-Demand Service Co., LTD will also provide the services of
Director Daniel P. Cook to act as an executive manager and assist
RoomWorX in its day-to-day activities in sales, marketing and
operational development.

solutions to the hospitality marketplace. Solutions will bundle
in-room necessities such as Secure High Speed Broadband connectivity,
Flat Panel HDTV LCD screens, integrated Thin Client Computing and
