American Oil & Gas, Inc., incorporated in 2000, is an independent oil and gas exploration and production company, engaged in the exploration, development and acquisition of crude oil and natural gas reserves and production in the western United States. During 2003, the Company acquired undeveloped oil and gas prospects and participated in initial drilling operations in certain of its projects in Montana and Wyoming. Prior to these acquisitions it had no operations for some time.

During 2003, the Company participated with Tower and North Finn in the drilling of two exploration wells at its West Salt Creek project, located in Natrona County, Wyoming. These wells were unsuccessful and it does not expect to pursue additional oil and gas operations in this project. In March of 2004, the Company sold one-third of its interest in the undeveloped Big Sky Project acreage in the Williams 34X-14 well and in the Frasca 34X-14 well.

Big Sky Project, Richland County, Montana

The project is a horizontal drilling program targeting the Mississippian Bakken Formation. The Bakken Formation underlies most of the deeper portion of the Williston Basin in Montana and North Dakota. While the Bakken is recognized as the primary source of oil produced from overlying conventional Mississippian reservoirs, it is also known as an oil reservoir in its own right. Specifically, the Bakken has yielded 30 million barrels of oil from the old upper shale play in Billings, McKenzie and Golden Valley counties, North Dakota, and already an additional 3.5 million barrels of oil from the current middle siltstone play in Richland County, Montana.

Krejci Oil Project (Powder River Basin, Wyoming)

The Company owns a 50% working interest in a Mowry Oil Shale project located in and around the Krejci Field. Mowry oil production was established on the Prospect in the Krejci Field in the early 1960s when three wells drilled to the lower Dakota formation were completed in the Mowry after oil shows were noted during drilling.

Coalbed Methane Projects (Powder River Basin, Wyoming)

The Company controls a 50% working interest in approximately 4,400 gross leasehold acres in the Powder River Basin of Wyoming in areas it refers to as West Recluse, Glasgow and Bill. It owns a 100% working interest in seven wells that have been drilled at its West Recluse Area. As of December 31, 2003, four of those wells have been connected to sales lines and are producing natural gas.

Gasco Energy, Inc., incorporated in April 1997, is a natural gas and petroleum exploitation and development company engaged in locating and developing hydrocarbon prospects in the Rocky Mountain region. The Company's principal business is the acquisition of leasehold interests in petroleum and natural gas rights, either directly or indirectly and the exploitation and development of properties subject to these leases. Gasco focuses its exploitation activities on locating natural gas and crude petroleum.


In March 2004, the Company acquired working interests and gathering system assets from an unrelated partner in its Riverbend exploitation area in Utah. Gasco will be the operator of the acquired properties and assets. Associated with the acquisition are current gross and net daily production of approximately 1,000 Mcf (thousand cubic feet) and 650 Mcf, respectively. Net leasehold totaling 13,062 acres is also included in the acquisition.

Riverbend Project

The Riverbend Project comprises 119,259 gross acres in the Uinta Basin of northeastern Utah, of which Gasco hold interests in 46,796 net acres during the year ended December 31, 2003. The Company can also earn interests in 19,324 gross acres in this area under farm-out and other agreements. Gasco's engineering and geologic focus is concentrated on three tight-sand formations in the Uinta basin: the Wasatch, Mesaverde and Blackhawk formations. In January 2002, the Company entered into an agreement with Halliburton Energy Services, under which Halliburton had the option to earn a participation interest proportionate to its investment by funding the completion of wells in the Wasatch and Mesaverde formations. Halliburton elected to participate in two of the wells and declined to participate in the remaining three wells in this area. The agreement was terminated during October 2003.

Greater Green River Basin Project

In Wyoming, Gasco established an AMI with Burlington Resources (Burlington) covering 330,000 acres in Sublette County, Wyoming within the Greater Green River Basin. As of December 2003, the Company has a leasehold interest in 112,582 gross acres and 62,614 net acres in this area. Gasco has a 31.5% interest in each of these wells. Three shallow wells were drilled, during 2001, in this area for the purpose of holding acreage and earning expiring leasehold. All of these wells have been cased and are in various stages of completion, however none of these are producing.

Southern California Project

The Company has a leasehold interest in 3,868 gross acres (2,641 net acres) in Kern and San Luis Obispo Counties of Southern California. Gasco has no drilling or development plans for this acreage, but plans to continue paying leasehold rentals and other minimum geological expenses to preserve its acreage positions on these prospects.

HemaCare Corporation, incorporated in 1978, collects, processes and distributes blood products to hospitals in the United States. In addition, the Company provides blood related services, principally therapeutic apheresis procedures, stem cell collection and other blood treatments, to patients with a variety of disorders. Blood related services are usually provided on an in-patient basis under contract with the hospital as an outside purchased service.

During the year ended December 31, 2003, HemaCare developed a restructuring plan to reduce overhead costs and the number of geographic areas it served and to improve its collection capability. As part of the restructuring, the Company ceased the operations of some of its donor centers, as well as the mobile operations associated with these centers. The donor centers closed in 2003, included Albany, New York, Chicago, Illinois; three centers in North Carolina, and Williston, Vermont. One donor center in North Carolina was closed in January 2004.

Blood Product Operations

Apheresis blood product collection, used by HemaCare to collect platelets, is considerably more complex and more expensive than whole blood collection and processing. However, platelets collected from a single donor are considered more desirable because platelet products collected from multiple whole blood donors increases the risk of exposing the recipient to blood born pathogens.

The Company has blood collection operations in four states, principally in Southern California and in New England. Some of these operations are hospital-based collection centers, but the Company also operates several freestanding blood collection centers, as well as mobile blood collection operations.

Blood Services Operations

The Company provides therapeutic services using all recognized blood treatment methods, such as plasma exchange and cell depletion, in-line immunoadsorbant columns, stem cell collection and photopheresis. Since its inception, the Company has performed approximately 67,000 therapeutic apheresis procedures. Patients suffering from diseases, such as multiple myeloma, polyneuropathy, leukemia, systemic lupus erythematosus, scleroderma, hyperviscosity syndrome, thrombocytosis, thrombotic thrombocytopenic purpura, myasthenia gravis and Guillain Barre syndrome may benefit from therapeutic apheresis treatments. The Company provides therapeutic apheresis services on a regional basis in a total of seven states. Major operations are located in Los Angeles and New York.

I just made some quick cash on GASE. It went up a dime while I was staring at it. Thanks Dog.

I'm going to see what this one does after the weekend. If it's still on an upward momentum, I may reinvest in this for long.
