In a nutshell it means dilution to the stock which typically sends the pps down. As of right now the company is authorized to sell 150 million shares of common stock. After Sept. 14th they will be authorized to sell an additional 600 million shares, that's assuming the shareholders vote passes which I'm sure it will, they usually do. That's not necessarily a bad thing if the company uses these additional shares wisely as in selling some of them when needed to funnel future growth and expansion, occasionally using some as payment to consultants in lieu of cash, things like that. The problem is if they dump the 600 million shares on the market all at once, the price tanks. If they're a responsible corporation the additional shares will be viewed as a "warchest" and only issued when absolutely necessary.

Just taking a quick glance at their latest 10Q from May, they appear to be ok. They do plan on using the sale of the additional stock to further grow the company as they are not generating any significant cash yet. The dilution is a substantial negative in my opinion but again if it's managed properly, this company could be successful. From a technical standpoint (which I'm not that good at) it appears as though .015 or so could be a bottom with strong support at or near that level. To wrap everything up I'd say it looks to be fairly safe, somewhat limited downside barring any bad news, and with the right p/r it could take off pretty good. Hope this helps.

i agree - wi-fi is the next big business in telco and they are investing heavily in the sector - i hope that they will use the new shares to make some acquisitions

ICOA Reports Record Q204 Gross Margin and Revenue Results

WARWICK, R.I., Aug 20, 2004 /PRNewswire-FirstCall via COMTEX/ -- ICOA, Inc. (OTC Bulletin Board: ICOA), a provider of broadband Internet access solutions in high traffic public locations, reported record financial results for its second quarter, ended June 30, 2004, as the Company continued to execute on its growth strategy. For the quarter ended June 30, 2004, the company generated revenue of $338,389 and reported its first positive gross margin of $17,457.

Second quarter revenue of $338,389 represents an increase of 242% over first quarter revenue of $140,040 and year to date revenue of $478,429 representing a 607% increase versus the $67,682 of revenue reported for the six months ended June 30, 2003. The gross margin for the quarter ended June 30, 2004 was $17,458 versus a loss of ($88,398) for the quarter ended June 30, 2003. For the six months ended June 30, 2004 the gross margin was ($29,085) versus ($150,723) for the six months ended June 30, 2003. The increases result from an increase in equipment sales and growth of transaction service revenue. With the revenue growth, the net loss for the quarter ended June 30, 2004, increased to $711,142 from $429,647 for the comparable prior year period. At the end of the second quarter, the company had cash on hand of $410,932 and total assets of $1,861,993.
