During the trading today, one of my alerts that was set on this morning went off which happend to ITFI. For some odd reason I decided to buy some shares and said what the hec with, and at the same time decided to pull up some DD since the movement wasnt exactly fast. I did some DD and found out the following.

1.INTERNATIONAL TRUST & FINANCIAL SYSTEMS, INC. is a company that manages numerous of accounts. They plan to merge into Marmion www.marmionair.com. I spoke with Jerry Bacall in regards to the company and asked about the Merger and how it may affect the company. Of course due to rules and regulations he couldnt mention the affect as it wouldnt be factual, but did say it was the next positive step that was needed to be taken. I questioned the affect as far as share and he said that it is 1 to 1, or basically an even exchange. No dilution of any kind as it a even swap. Those who may not have looked, but there was a S-8 released on yesterday (6/8/2004)

for 8 Million shares. Yea I know dilution but if you check out the volume today almost more than half was traded in the session today. It sort of questions the motives of the S-8 on such a positive step being taken by the company. IMO i think the S-8 was purposely released so many may have the opportunity to buy as much low as possible before the good news. was released that I questioned him about. If you notice there are changing there state of incorporation from Florida to Nevada. I questioned him the purpose and he said mentioned for Tax advantage purposes. Also in the PRER14C(Refer to upper link for reference)it mentioned the Merger. I questioned him about a PR to shareholders about this Merger. He said that he has already developed the PR and its currently being edited and should be released in the next business day, but if not next business day sometime next week definently. I was like "wow this merger really is a milestone for you guys" He said "yes Mr. Marmion is attempting to set the company up for [u]long term[/u] growth. I guess you guys are wondering who Mr. Marmion is in which he is the CEO of the company. So INTERNATIONAL TRUST & FINANCIAL SYSTEMS, INC. is mergining with Marmion. That leads us to our next prospect.

2. Who the hec is Marmion Inc.?

He mentiond that on [u]June 14th[/u] The web design of Marmion will be changing, I dont know about a PR to follow with it but just some information I guess that neeeded to be put out there since INTERNATIONAL TRUST & FINANCIAL SYSTEMS, INC.is merging into Marmion Air.

He did mention to me though, to register at www.4lfs.com and he'd be happy to send me or other investors there business plans, filings, etc. Anyways theres the DD and I may call tomorrow on any other questions so shoot me some and Ill email or call him in reference. Overall he was more than willing to give any information out and simply said that the company is a good. It just loss shareholder interest and the companies objective is to gain that as well as growth overall.
