OAK BROOK, Ill., Jun 1, 2004 (BUSINESS WIRE) -- Cipher Holding Corp. (NASD OTCBB:CIHR) ("Cipher"), an Oak Brook, IL. based holding company and Parent company of Cipher Multimedia a New Media Marketing Company that provides a distribution solution for all digital content providers has hired IMAGIN Diagnostic Centres, Inc. ("IMAGIN") a private PET ("Positron Emission Tomography") scanning/molecular imaging company to search for investment, merger and acquisition opportunities for Cipher in the USA, Canada, Europe and Asia.

IMAGIN announced that it has acquired a significant investment position in Positron Corporation (NASD OTCBB: POSC.OB), a Houston-based company and manufacturer of PET scanners. Positron has entered into a series of agreements with IMAGIN pursuant to which IMAGIN has agreed to provide over the next seven months an aggregate financing to Positron of $2 million. IMAGIN is a closely held development stage company headquartered in Toronto, Ontario, Canada engaged in the development of PET scanning centers in Canada. When the financing is completed and if all conversion rights are exercised, IMAGIN will control approximately one-half of Positron's common stock. In the first stage of the financing, IMAGIN has agreed to purchase an aggregate of $700,000 face amount of Positron's 10% convertible secured notes, $400,000 of which were purchased today. The notes are due May 21, 2006.
