Item 5. Interest in Securities of the Issuer

(a) The aggregate number of common shares of the Company beneficially owned by Mr. and Mrs. Waltzer is 8,439,000, of which 5,984,000 are held in the name of Kevin Waltzer and 2,455,000 are held in the name of Lisa Waltzer. Based upon a review of the Company's Form 10-QSB filed with the US Securities and Exchange Commission on May 17, 2004, the aggregate holdings of Mr. and Mrs. Walter represent approximately 21.3% of the issued and outstanding common shares of the Company. The shares held in the name of Kevin Waltzer represent approximately 15.1% of the Company's issued and outstanding common shares and the shares held in the name of Lisa Waltzer represent approximately 6.2% of the Company's issued and outstanding common shares.

(b) Kevin Waltzer has sole voting power and sole dispositive power with respect to 5,984,000 common shares held in the name of Kevin Waltzer and Lisa Waltzer and Kevin Waltzer have shares voting power and shared dispositive power with respect to 2,455,000 common shares held in the name of Lisa Waltzer.

(c) The acquisition of the Company's common shares by Kevin Waltzer was effected in 59 open market transactions from May 28, 2004 through June 15, 2004 at prices ranging from $.102 per share through $.325 per share. The acquisition of the Company's common shares by Lisa Waltzer was effected in 35 open market transactions from May 26, 2004 through June 10, 2004 at prices ranging from $.09 per share through $.245 per share.

AMD's kit tests simultaneously for both HIV 1 and 2 with an accuracy rate of over 99%. No home HIV (1+2) Rapid Test Kit at any price is currently available in the United States. AMD reiterates its previous announcement that it has no intention to seek FDA approval at this time.

AMD further announced that it is launching a worldwide sales campaign to introduce the company's HIV (1+2) Home Rapid Test Kit.

Gilbert added, ``The rampant spread of AIDS throughout the world starts with the HIV virus. To easily and quickly identify those who need treatment, it is our belief that the Health Ministry in every country will choose to distribute our HIV (1+2) Rapid Test Kit at no cost to the individual. TRPL'S Advance Medical Division's South American Sales

GARRISON, N.Y., Sept. 9, 2004 (PRIMEZONE) -- Transportation Logistics Int'l, Inc. (OTC BB:TRPL.OB - News) announced today that its Advanced Medical Diagnostics (AMD) division has signed a Letter of Intent Agreement for the exclusive distribution of their HIV Test Kit with InterAmericas Trading Solutions Assesoria, Consultoria E Representacao Ltda., whose headquarters are in Sao Paulo, Brazil. InterAmericas plans to market AMD's HIV (1&2) Rapid Test Kit throughout Brazil, and to order 100,000 kits for an inventory to fill its customers needs.

InterAmerica has already started on the necessary product testing, certification and registration required by the Brazilian Health Ministry, and expects clearances within the next three months.

Transportation Logistics Makes Major Acquisition

GARRISON, N.Y., Sep 28, 2004 (PRIMEZONE via COMTEX) -- Transportation Logistics Int'l, Inc. (OTCBB:TRPL) announced today that it has signed a preliminary agreement to acquire a majority interest in Compagnie Logistique De Transports Automobiles (CLTA), a major French transportation organization.
CLTA, is headquartered in Nugent sur Oise, France, a suburb 35 miles north of Paris. It is a twenty year old company with over 130 employees, 90 trucks and revenue in excess of $18,000,000 a year.

CLTA's principal activities involve the warehousing of approximately 8,000 Peugeot and Citroen cars for the manufacturer, and then doing the final dealer preparation work prior to delivery throughout Europe. In addition, CLTA does brake installations and testing of new cars for Peugeot.

TRPL Completes Its Biggest Acquisition Ever

NEW YORK, Oct. 6, 2004 (PRIMEZONE) -- Transportation Logistics Int'l, Inc. (OTC BB:TRPL.OB - News) announced today that on Friday October 1, in Paris, France, it completed the acquisition of 60%, the controlling interest in Compagnie Logistique De Transports Automobiles (CLTA).

Three seats on CLTA's five-person board will be appointed by TRPL. They are Michael Margolies, Kevin Waltzer, a major TRPL shareholder, and Michael Gilbert, President of TRPL's Advanced Medical Diagnostics subsidiary.

On Saturday October 2, 2004, CLTA moved its corporate headquarters and primary dispatching functions to Chambry, France, a small town about 35 miles north of Paris. This will enable CLTA to increase its Peugeot parking facilities from 8,000 to 10,000 vehicles.

Michael Margolies, TRPL's Chairman and CEO commented, ``I just returned from five days in France overseeing the transition to TRPL management of CLTA, and I am convinced that we have made a dramatic move in rebuilding our company.'' ``The revenue figures, while large, are only a small part of the picture.
