The 2006 Annual Meeting of the Shareholders of ZAP (the “Company”) will be held on Sunday, June 18, 2006 at 2:00 p.m. pacific standard time at The Hilton Hotel, 3555 Round Barn Boulevard, Santa Rosa, California 95403. The purpose of the meeting is to consider and take action upon the following matters:
1.Election of seven directors.
2.Approval of amendment to the Company’s Amended and Restated Articles of Incorporation to effect a reverse stock split.
3.Approval of amendment to the Company’s Amended and Restated Articles of Incorporation to increase authorized shares of common stock.
4.Approval of prior equity compensation issuances.
Dear Shareholders, CEO Steven Schneider ZAP Company Last year was a major year of transition for ZAP. After spending many years and millions of dollars to create a new kind of auto distribution company, we are beginning to see the fruits of our labor this year.
In the past, it may appear from a general public stand point that we over promised and under delivered.
However, now I am proud to say that our Smart Cars have finally rolled past the Federal Hurdles, and revenues for the first quarter of 2006 are now reflecting sales of these cars.
As you may know, aside from dealing with regulators, we have also been at odds with other entities that we feel have interfered with our business. We have filed a major lawsuits against these entities including Daimler Chrysler.
Despite these obstacle, we will continue to work earnestly to defend our right to being in the worlds’ most advanced and energy efficient vehicles to the USA market.
With Gasoline over $3.00 a gallon, we know that now is the time for micro cars, or ZAPCARS(R) as the general public is now calling them.
ZAP and our licensed dealers are now the only place in the USA whereby you can purchase a Smart Car and an all electric city-car the XEBRA(TM).
Our new consumer products, the ZAPPY 3, our all electric ATV’s, and our new electric motorbikes also are now giving consumers a clear alternative to high gas prices as well as the pollution and noise associated with conventional vehicles.
I can tell you first hand, that everybody is crazy about these cars. Everyone on the road is waving at you, and giving you thumbs up!
Although we still have additional obstacles to overcome, it does feel that the timing for ZAP’s vehicles is now here.

with all the hype this is getting on the news this stock should have a nice spike today if not next week when investors get more familiar with ZP
