MDI and Palmer Electric Team to Secure the United States Air Force Academy

SAN ANTONIO--(BUSINESS WIRE)--May 22, 2006--MDI Security Systems, a division of MDI Inc. (NASDAQ:MDII - News) and leading manufacturer of unified security software, hardware and video solutions, today announced that it has been chosen by Palmer Electric Inc. and Electro-Tech Inc. of Colorado Springs, CO., to provide Unified Security Solutions to the United States Air Force Academy (USAFA). Palmer Electric (Palmer) contracts under Multimax Inc., one of four small business contractors under the NETCENTS Network-Centric Information Technology contract.



NETCENTS is a five-year, $9 billion, IDIQ (Indefinite-Delivery, Indefinite-Quantity) contract that was established to provide Air Force (at all levels), Department of Defense and other Federal Agencies a primary source of networking equipment/product supply and systems engineering, installation, integration, operations, and maintenance services.

With a reputation for providing superior quality and customer service and an extensive history in providing solutions to military customers, Palmer has been working with the Air Force in the Colorado Springs area for over 20 years. In addition to the USAFA, their customers include Fort Carson Army Base, Cheyenne Mountain Air Station (NORAD), Schriever Air Force Base and Buckley Air Force Base.

Our system posted a BUY CONFIRMED today. The previous SELL recommendation was issued on 05.09.2006 (13) days ago, when the stock price was 1.1600. Since then MDII has fallen -21.55% .

SAN ANTONIO--(BUSINESS WIRE)--May 24, 2006--MDI, Inc. (NASDAQ:MDII) announced today that it has closed the private placement of common stock and warrants to several repeat institutional and accredited investors resulting in gross proceeds of approximately $2.3 million before payment of expenses and placement fees.

Under the terms of the financing, MDI sold 2,875,000 shares at $0.80 per share and granted the investors 5-year warrants to purchase 1,150,000 shares of common stock at an exercise price equal to $1.02 per share. The warrants may first be exercised on the 181st day following the closing.

"We are pleased to announce this financing as a testament to both the success in executing our business strategy thus far and the tremendous potential we see moving forward," said J. Collier Sparks, CEO and President at MDI. "Our market is projected to grow significantly in the coming years. MDI, already recognized throughout the industry as the leader in our space, is well positioned to capture this growth opportunity. The Shemano Group acted as placement agent in connection with the private placement.

The company must register the common stock sold and issuable on exercise of the warrants for public resale under the Securities and Exchange Act of 1933.

MDI Security Systems extends business focus into health care

MDI Security Systems is branching out into the health-care security market.

The company, a division of San Antonio-based MDI Inc. (NASDAQ: MDII), formed a strategic partnership with Jenkins Security Solutions to work on a series of security convergence projects for hospital clients in California and Nevada.



The value of the work was not disclosed.

Jenkins is a Walnut Creek, Calif.-based company that provides integrated security services. Jenkins employees are working with the hospitals' IT departments to install MDI's SAFEnet system. The technology is an open architecture platform that can be configured to work with a range of building-access control and video systems.

Officials with both companies say the combination of Jenkins' experience and MDI's technology will help health care firms develop a scalable security network for their organizations.

MDI's system will be marketed as a way to help health care organizations meet government-mandated security and privacy regulations, such as the Health Insurance Portability and Accountability Act, the Joint Council on Accreditation of Healthcare Organizations or any future state or Homeland Security directives that may affect their business continuity plans.

In dealing with the fact that different hospitals work with different IT and security technologies, Jenkins has found that MDI's SAFEnet platform can integrate a hospital existing infrastructure without having to invest in new equipment, Jenkins Vice President Vince Hernandez says.
