LoftWerks/Sulja Bros.: Render Filings to Complete Merger
WINDSOR, ON, May 11, 2006 (MARKET WIRE via COMTEX) -- LoftWerks, Inc. (OTC: LFWK) today announced that Sulja Brothers Building Materials, Ltd. has posted the necessary filings to finalize the merger agreement it has in place with the Loftwerks, Inc. (LFWK) public, and that the entire process should be completed in only a few days.
Counsel, the Gottbetter Firm in NYC, has submitted the required SEC documentation, namely the form 15C(211). A Sulja spokesperson stated that the transition to a public market should not occur later than 5-7 days from now. "Our merger into the LFWK public vehicle allows us the opportunity to advance our presence into broader exchanges," said Steven Sulja, CEO of Sulja Bros. "Our ultimate goal is just that...to put The Company in front of a larger audience and prove our ability as a producer of long-term shareholder value."
All financial reports and filings will be available for public viewing on The Company's web site at http://www.sulja.com.

For all those who read this. I am posting here because the other thread shows a thumbs down and LFWK is going to be a stellar stock. They are going to a new exchange and will be reporting now which is huge for this company. The higher exchange will help them to grow the true stockholder value!! GO LFWK!!!

LFWK is very close to spiking up for good!!!
IMO and as i've posted the last 2 months, this is a great penny play( like buying into a REIT) but much more gains potential, too much good news is on the way very soon, once it goes up no coming back again

With the CEO wanting to put this company in good position so that it will be a well known company, I am looking for the upper end to be reached .25 or better. I hope everyone big money in this one. I have felt good about other stocks in the past, but this run will surpass anything that I have ever had!

Look at the volume building. As the volume comes the price is going to move up. Look back in Feb when the volume took off - so did the price!!! This price is way cheaper than what you get it at come Friday - Wait and see!!!

Purl the dumping would not make sense from the companies stand point since they are going to moving within 7 days to a higher exchange. If they did anything like that it would be after the change is made when the lot of investors buy in or during the run up. At this point you have MM's playing around in some and also some accuring from small investors. When the news is finalized though this week or first day of next week you will have the volume and the push in price. Check out Feb. to March when all these plans were looking to happen. If there was dilution you would see MM's go in as well and settle the price back down to previous numbers below .01 - which is not happening. The bid stays up. For the last three months you have not seen the price of the stock drop below .02. It has touched a couple of times but then back up. Get into this one and make yourself a good profit! you won't get shares cheaper - i've tried.

I am not quite sure what to make of this one. Certainly I am researching and watching.
Their SEC filing, recently, does suggest this plan of a merger is legitimate. This, I believe, will happen.
News of importing building material into the Mid-East is interesting and holds some promise. Inherently, I am skeptical about all stocks until I can prove their claims to be true. This is my habit and not a comment on this company.
Wording is questionable in their news.
"...lack of primary building materials on the Island, specifically, and in the Middle Eastern region generally...."
This I view as questionable. Building material for the resort on Al Reem Island, probably true. Tossing in "Middle Eastern region generally" is very questionable; there is an absence of any direct indication of dealing beyond the island.
Providing materials for a resort, this can be profitable. However, once this pans out, is there more to come? No word if they plan to expand into the region, nothing firm, so far.
I would question the potential for profit in the Middle-East region. A majority of countries in Southeast Asia, Mid-east and North Africa, cannot afford food and water. Highly unlikely there will be any construction save for those few affluent countries, such as Iran, Egypt and India, a few others.
Use of wood products for construction. I am not so sure. Predominant building material in the region is concrete and masonary. Not much wood is used save for exotic woods for high end works. Concrete and masonary is usually sourced locally.
Reinforcement rod, rebar, this would sell! I am sure this must be imported, most likely coming in from China. Large quanities of wood, doubtful.
My expectation is a continued very mild downtrend in prices for this week. I am not writing this will happen. This is only an opinion on my part; fractions of a cent downtrend.
I will stick with volume being too high for any significant price motions. There is not enough volatility for short term motions.
Again, interesting company, interesting news and I will be watching, carefully. I am just not quite convinced, yet, to jump on this one. Others will tell you I am very cautious!
[Sulja] stated earlier today that "the LFWK trading vehicle is just that...a 'vehicle' to move us into a broader more substantial audience."
Interesting.. a "vehicle" .. like a "shell stock" for a REVERSE MERGER.
Sulja is ready to grow, but they need capital to do this. They are in a perfect region and seem to be working on expansion to meet increased business (automated lumber yards, etc). Mississippi/N.O. rebuilding, etc. etc. The 'middle east' statements are just showing they have a global view, and will consider profitable options worldwide.
Reverse merger's usually benefit shareholders. We immediately become part of a profitable company which has a specific plan of action to grow and the newly found capital to do so.
The move to fully reporting OTCBB will provide shareholder confidence and inspire new investors who realize Sulja is serious and this isn't a scam.
Purl, I was leery when I read about Middle East activities too. "oh boy something wrong.. this sounds like out of focus delusions of grandeur" and definitely came out of left field. But, I realized Sulja, Consultech, and what is left of the "LFWK Vision" have loftier (no pun intended) goals than simply rebuilding Detroit, Ontario and Miss/Louis. They have a global vision, and lets face it, it's almost a requirement for any business now-adays.
It will be very interesting to see how the post-merger financials stack up and current O/S and share structure.
