Nord Oil International Inc. (OTC: NDOL) today provided the details of the unsolicited offer made on April 6, 2006.

The unsolicited offer was received by North-West Oil Group a private oil and gas company headquartered in Moscow, Russia. The unsolicited offer is priced at USD $2.17 per share for 100% of the total outstanding shares of Nord Oil International Inc. for a transaction estimated at approximately $500 million.

The company reports that management of both Nord Oil International Inc. and North-West Oil Group are meeting over the next several days to further review the offer and determine the course of actions to be taken to conclude said transaction.

About Nord Oil International Inc.

Nord Oil International Inc. is a reporting publicly traded Oil & Gas junior producer, trading under the ticker symbol NDOL on the US Pinksheets market. Nord Oil International operates three wholly owned Russian subsidiaries; Nord Oil Products, Nord Oil Samara and NANA. Nord Oil's properties currently have a total of 48 million barrels of proven and probable reserves.

i think the offer of 2,17 dollar is not the final offer...that was the offer they received the 6th of april but i know from parkins they are still negociating the price and 2 days ago he said to me detailed pr on 9 or 10th may so i am just thinking they released this pr from yesterday to let us know already what we definitely will get. could this theory be correct?? think about it because they give an update the pr comes later but the next day it is alraedy there, i think they were referring to the buyout price where we have to vote for,otherwise they gave us more details yesterday not?

They said to "conclude said transaction"

That means they are finalizing the deal....

Also, people on this board have been talking as though this stock should get $3 per share......not so!
$2.17 is an upper end price for Nord. That gives us $12 per barrel......small oil company buy outs mostly go for $9 a barrel, so we are getting an excellent deal!
The only thing being negotiated is how to "conclude said transaction"......."how to" finalize the deal.....the deal itslef is already done....$2.17 a share!
MMs, come and get my shares, I will have them at $2.10 for your profiting

I like the cut of your jib weatherbill...I for one appreciate youe level head and your bullish position on NDOL early on...I remeber you were getting bashed for your comments...thanks for that, helped make me a ton of cash

I don't think we'll see much more than 2ish for this untill the offer finalizes...I'm a little greedy but too much greed makes you jump out the window, I'm holding for low 2ish

I keep hearing people say buy out. This isnt a buy out. This is an investor with a significant amount of money buying all of the outstanding shares. Do not quote me on this but I believe the outstanding shares are 10% of the company. So what what does that make him? One of the majority share holders?

So all this crap about buy outs and price of sellouts is irrelavant IMOP. Also why would an investor agree to purchase 500 million dollars of a company without the expectation of the share price increasing.

But the PR said the other company was buying ALL outstanding shares at 2.17. The other firm is a private firm, therefore, they'll buy the shares and then retire them.

So are you saying that the NDOL ticker symbol will not be going away any time soon? You think that these North-West guys are buying the Outstanding shares, but keeping it public?

No more NDOL. Your shares will disappear and you'll get cash. Of course the private company is buying shares on the open market... their getting to retire those shares at a discount. Buy at 1.50, retire at 2.10

i am also buying some more is an easy 30 percent profit in the next days so... and if not i get 2,17..but can it take a long time before we get the cash from the deal once it is done?
