BEVERLY HILLS, Calif., May 10, 2005 (PRIMEZONE via COMTEX) -- B2Digital, Inc. (BTWO), a pay-per-view, broadcast-TV-free-to-guest and digital service provider, announced today that it has successfully launched its new digital service web site, http://www.b2digitaltv.com, into its base of broadband connected hotel rooms.

Travelers in B2Digital connected hotel rooms will be presented with B2Digital's supplied digital service offering website when they plug laptops into their room's broadband connection and log onto the hotels broadband network.

Choices presented to the user include immediate viewing of movies, downloading first-run movies, online pizza ordering, airline reservations, event ticketing and transportation reservations for limos and shuttles to the local airport.

Hotel guests can purchase services directly from their computer in their hotel with the expanded system. As an example, business travelers can purchase and download first run movies from B2digitaltv.com from their hotel room into their laptop, for viewing on their computer or on their trip home in the plane the next day.

The Satellite Reception system connected to the B2 Networks Digital Internet broadcast system was developed and installed in a joint project between B2 Networks and Hotel Movie Networks in Mesa, Arizona.

The System was used successfully to receive a broadcast Hockey Championship Series Game, produced by B2 Networks, via satellite from Anchorage Alaska. The video stream was digitally broadcast in real-time from the facility in Mesa via the Internet, to B2 Networks Pay-per-View customers who watched the game live on two continents.

Greg P. Bell, Chairman and CEO of B2 Networks said, ``It was a natural choice to integrate our system with B2 Digital's Hotel Movie Networks because of their advanced understanding of satellite and broadcasting systems. This is only the start of the many synergies that are being developed for digital broadcasting between the two companies.''

The new broadcast systems increase the capability of B2 Digital to broadcast live sporting events, concerts and events into broadband connected hotels and guest rooms.

During the recent broadcast of the hockey game fans were able to view the game live in hotel rooms on their laptops connected to the hotels broadband connections.

The company has increased their capital structure substantially over the last year in an effort to raise enough working capital to role out their aggressive business model. This has over the last year decreased shareholder value to a degree of the sub-penny level. Obviously management has no intention of devaluing the shareholders of their loyal investments but to offer a long-term growth plan that we will outline here. We decided to get involved with B2 Digital at these levels and saw the opportunity to purchase shares at very much so bottomed-out levels as well as our investor audience has and continues to do so. As per the latest public filing the company has “Indicated the number of shares outstanding of each of the issuer's classes of common equity, as of the latest practicable date: 291,370,939 shares of common stock, par value of $.001 per share, as of February 10, 2005.” We are currently just above our company lows and we have been told that there is no need to dilute the company anymore due the fact that cash flows are forth coming to fund the company. As per our ushering the company has canceled an equity line with Dutchess Private Equity Group. Although we have seen a rough year we need to remind ourselves that oaks grow strong in contrary winds and diamonds are made under pressure.

As we have previously mentioned one of the key factors that has created our main enthusiasm is something that was mentioned in a previous filing stating:

Ok so what does a large sum of shares issued have to due with the company and just who is Mr. Bell? You know the management and the current events of the company and I am sure see the potential forthcoming within this stock but take a look directly into what the video on demand technology is all about. Three years in the making has produced:

Point-to-Point Wireless Local Loop internet connectivity in each hotel room through the B2 Wireless Access Point (B2WAP), which will connect to the in-room Hotellinktv.com for laptop users, and the B2 Digital TV set top box and handheld remote control for in-room television. The target Hotel market our competition resides in such as LodgeNet (LNET) and On Command is a wholly-owned subsidiary of Liberty Media Corporation (LMCB) is literally untouched with over half or 2 million of the hotels in the U.S. not equipped with featured services. Our installation costs are less then half of that of our direct competition and our technology is surpassing what they can offer.
This allows BTWO to implement its aggressive business model going after major mid-large size hotel chains and offering our services to them. VMHVF is considered to be a Mini-Netflix who is a major movie supplier in Canada. These types of companies are a direct threat to that of Netflix core competency and even now they are trying to enter into the VOD markets to differentiate themselves. As seen in the recent article by Fool.com “The Fight for Video On Demand”:
“Indeed, when it comes to VOD, Netflix's main weakness may be the extent to which the movie studios seem interested in dominating the digital transmission of movies. Then again, the movie studios failed to dominate the theater business, so why cede the VOD market?”
“Netflix is free cash flow positive and sits on $135 million cash and a high-priced stock. It could certainly turn to acquisitions to enhance its VOD opportunity. Meanwhile, as it looks for ways to exploit new technologies, the company continues to grow its traditional market (including internationally). This one could have a happy ending.”
What would this mean for a small company like BTWO? Are the big boys going to see their market share come under fire from an emerging company with an armada of Qwest Communications staff on their back? Would the likes of NetFlix, LogdeNet and OnCommand try to challenge B2 Digital or form alliances? We have better technology and inexpensive installations, what would you do if you were them?

BTWO: Large order being picked up in next few days or sooner, by investor group, I would expect news to follow, watch and see, or get in at these levels if you can. DD the company for yourself!
