Cygne Designs, Inc. Announces Preliminary Discussions to Acquire a Denim Clothing Supply Business

NEW YORK, Apr 19, 2005 (BUSINESS WIRE) --
Cygne Designs, Inc. (OTC BB: CYDS.OB) today announced that it is in preliminary discussions to acquire the branded and private label denim clothing supply business of Commerce Clothing Company LLC, a privately-held company principally owned by Hubert Guez. During 2004, Commerce Clothing, re-entered the market after being dormant for several years, and is involved in the design, manufacture and sale of denim clothing. Commerce Clothing had unaudited net sales of $17.4 million for the six months ended December 31, 2004 and $13.4 million for the first quarter of 2005, and was profitable in both periods. The preliminary proposed purchase price would be approximately 12 million shares of Cygne common stock and a promissory note in the approximate amount of $40-$50 million. In addition, Cygne would enter into a supply agreement with a company controlled by the seller to manufacture denim products to be sold by Cygne. Mr. Guez would have the right to nominate three designees for election to Cygne's Board of Directors and may, under certain circumstances, be deemed to be in "control" of Cygne. The discussions are at a preliminary stage and the terms of the acquisition could change materially. In addition, there can be no assurance that the transaction will be consummated.

Heh, gotta love Ralphs. I did a few shows there when I was in a band. What did you do your masters in? I'm at WPI now doing molecular biology, but it turns out I like stocks and business more, so I'm considering taking a masters in finance or maybe MBA.
Didn't join you at CYDS, but it's definitely pretty sweet. It ought to break 2 without difficulty, probably after lunch IMHO.

CYDS, just brutal to watch - is killing me. brought it up a month ago here but was too patient in buying, didn't even break a $400 gain on it. sat there like a freakin' park bench for a year, *as soon* as i try to buy it almost touches 10-bagger today. one of the most ridiculous 1-yr charts have ever seen:

wanted to buy 10k shares, only ever got 2k, that i swung for a lousy .20 gain.
just brutal, ouch, i need another glass of wine...

i posted and didn't play felt i was late, it then took on that runner feel. and i dabbled in and out a few to many times for decent bank. shoulda bought when i thought and held thru today.
