LAS VEGAS, NV--(MARKET WIRE)--Jan 20, 2005 -- LIVESTAR Entertainment Group Inc. ("LIVESTAR" or the "Company") (OTC BB:LVSG.OB - News) today notifies its current and prospective shareholders that the Company is progressing positively towards the acquisition and financing of Promo Staffing.com, LLC ("Promo Staffing"). Promo Staffing (www.promobusiness.com) is a revenue generating promotional marketing company with clients such as Chrysler, AT&T, PepsiCo, Campbell's Soup, Wal-Mart, Malibu Rum and Coca Cola.
Progress towards completing due diligence and the execution of a definitive agreement and subsequent closing with Promo Staffing is moving forward rapidly. The Company is working towards a closing in the coming weeks. Promo Staffing is involved with numerous marketing projects that will generate significant revenue and excitement for LIVESTAR and we want to be a part of their growth as early as possible.
The Company is purchasing 60% of the outstanding shares of Promo Staffing with its common stock. This common stock is restricted and therefore cannot be sold for a period of one year from the date of issuance pursuant to Rule 144. The common stock issued as per the Form 8K filed with the Securities and Exchange Commission on Friday January 14, 2005, is estimated to be the maximum amount of shares that will be issued to the shareholders of Promo Staffing. Additionally, these shares were issued as a refundable deposit in order to retain exclusive negotiation rights to complete the acquisition. The shares are held in trust with LIVESTAR'S attorney. The share amount might be reduced based on the final purchase price of the acquisition.
Growth financing required to be provided to Promo Staffing by LIVESTAR is planned to be provided to Promo Staffing as loans. This financing is being arranged presently by the Company and its team of financial advisors, led by Loyola Financial Services.
Other planned acquisitions, such as the Las Vegas Footwear Company, are likely to follow a similar approach to the Promo Staffing structure, but the Company will make the best decision for each acquisition on a case by case basis.

yep, we do get some goodies that we "see" before others... and here is another one.... Now is a good time for those that wanted in but waited on the other runs to get in... While it is on a dip. IMO all the sellers are OUT now and the stock is building back up again and we are eating away at the float once again. We OWN this stock now, with no scalpers around. We start again here at .05's and eat the .06's and then next week new blood comes in and takes it from where we leave it. Should be very solid, like i said a 3 week play and then we see what is going on and decided from there. HOLDERS rewareded IMO Like i said from day one!

Just wanted to say I've been reading allstocks for about 2 months now (best site I've found). I'm not much for posting picks, but I love reading the ones on this site and I love doing my DD. I'm in LVSG for 25,000 shares at .068 and I've been reading and doing my part to hold. I'm behind you S A. This company will blow up this week, especially when all the rumored news comes out... I intend to hold all the way up to the top.

In LVSG with 55,500 shares at an average of .058 per share.I think you guys are right.The reason for the drop over the past couple of days is from the early investors(.02- .04) and day traders taking profit and getting out.Closed pretty strong again today and can hopefuly keep the momentum going on Monday.

LAS VEGAS, NV--(MARKET WIRE)--Jan 25, 2005 -- LIVESTAR Entertainment Group Inc. ("LIVESTAR" or the "Company") (OTC BB:LVSG.OB - News) announced today it has entered into discussions to acquire approximately $3.2 Million in wireless telecom assets from Global Bancorp Inc. ("Global") to support and expand our joint VOXBOX initiative.
These wireless assets consist of wireless communication towers and back-up systems that can be configured to cover a city with a core population base of up to 1.5 Million, such as Vancouver or Seattle. Global has had an independent evaluation and the assets have a replacement cost of $3.2M USD dollars.
The key to this acquisition is that with this wireless infrastructure, VOXBOX can activate an enterprise-level VoIP solution. These quality wireless assets will enable VOXBOX to penetrate the small and medium business market and multi-density residential buildings. This service offering could not only double or triple VOXBOX's revenue potential but also increase VOXBOX's appeal as a possible future takeover target by a VoIP competitor.
Ray Hawkins, CEO of LIVESTAR, commented: "We expect these discussions to continue towards the execution of an asset purchase agreement within the next three weeks. The big news is nothing more than hype. This stock is frequently pumped by those who learn the ugly secret behind LVSG (after they have invested in it) and wish to get out.
Here is the pattern LVSG engages in, RS, RS, then name change. Everytime they do a RS or name change their stock eventually falls back down to .0001.
I am speaking from experience. I owned this tock in the past and followed it for quite some time. I don't own it any more so my post is not sour grapes. I really wish it were different for you LVSG investors but mark my word, this stock will be down to .0001 and the company will pull some type shenanigans on their investors.
