Does anyone know particulars on the buyout/merger of CDED??? On RB speculation was original offer between 6 and 8 cents with counter offer being in the 10 to 15 cent range. If anyone knows anything definative let me know please.

Another press release this morning. It looks to me as if they are serious about getting this done and since turned down .06 per share in January for 50% of company, the .10 to ,15 offer is not outlandish IMHO. Anyone having any thoughts on this stock or on the merger I would like to hear what you think,

Up another 10% today and one source says announcement on price offered will be released by Monday. Its all good and expect that number to be minimum of .08 per share. Also it appears if do merge it will be medical aspects and hotel properties will be spun off for shareholders. That actually was what I was most excited about long term.

BigT,

I've been loading up on CDED before the buyout/merger talks started but had no inkling to what the offer price may've been set at or what CDED was countering with until I read your postings. The .08 price is certainly reasonable, maybe even a little conservative and it's still better than 50% from where CDED is today. I am certainly liking this trend. Go CDED!!

Thanks Tom, things are looking good with the close at .0535 100,000 share order and high of .057. That high was 42% up for day and with over 7 million shares trading today and over 20 mill over last three days this appears to be more than just rumer. I though about and then procrastinated and didnt buy another 30,000 shares this morning at .046, but once it went to .05 decided to stay with what I've got and be happy no matter. I have liked this stock since early in the year, but hope the merger does not include the hotel devision as long term it's potential is huge. There has been some speculation that this is indeed true but we are not sure exactly what offer or counter offers details are. One fairly reliable source thinks many of these details will come out by Monday so I am anticipating good things next week. Make sure to do own DD and remember the merger IS NOT a done deal yet and something may still mess it up. That said I feel very positive on results being to shareholders liking and management continuing to do what is best for us.

Boy if it goes through at .12 - .13 for the medical and spin off the residential I will be a happy camper. This would be a great move in my opinion. One note of caution is they issued a s-8 allowing them to issue another 50 million shares. Two ways to look at this:
1. They have not issued them yet and if merger goes through then it probably wont. 2. If it does go through price would still be .10 with the extra shares money going into cofers to finance the the residential and hotel divisions, which long term might be very good for those of us holding shares in the spin off.

Well I have never seen evidence of that. I call it as I see it and sometimes I'm right sometimes not. CDED got more news today and ended 25% down. Perhaps it was not the news some wanted to hear for an instant 300% gain but IMHO it was good news.

So are all of these companies consolidating under CDED`s ticker symbol? I did a search for them and none showed up on Yahoo`s symbol find. Like to know more about them.

The companies who are merging with cded are privately held. They will have to buy out the shares.

Glassman... with alomost a week and a half of 6,7million+ trading up, one 14.5 mill day of decline is not that major especially when people started to panic and price went down many longs started to buy on the dip.

Hope you do your DD on this one and let the rest of know what you think as I have a lot of respect for your opinion from your work on other companys. After you do your DD good chance you will buy back in IMHO. Take care and good investing.

If they are selling off the S-8 that will be a dilution right? Adding the 50,000,000 M share to the shares outstanding of 70,000,000 should give it a bottom price of .20 if the mkt cap is $25M as in the press release above. And .52 if their mkt cap is $65M as I saw in another press release on yahoo. Correct me if I am wrong.

stocks rocketing for no reason.....stocks dropping on good news...

With the RFID pharmaceutical market heating up fast, four players merged Wednesday to form NEXT GENeSYS Corp., a new public company with a projected market capitalization of $65 million.
Earlier this week, Swedish-based RFID smart packaging startup Cypak announced new R&D funding. Meanwhile, analyst groups released research pointing to stronger growth for RFID in pharmaceuticals than in some other sectors.

Geared toward delivering prescription drugs directly to uninsured minority members, NEXT GENeSYS is an entity that comprises medical and hospitality RFID specialist FutureCom Global; Wi-Fi PDA maker CareDecision Corp.; mail-order pharmacist CareGeneration Inc.; and KCWG Pharmaceutical Solutions, a $100 million-plus wholesale prescription-drug provider.

"We can't really say much about this yet, but there'll be extensive use of RFID and other wireless technologies," a spokeswoman for the company said, adding that more details will be provided over the coming week.

Interesting to me in that apparently there are four companies involved not just Kelly and CDED. This explains statement CEO mentioned a few PR's ago that they were negotiating with other merger candidates (plural) in working out the details. Apparently Kelly and CDED are the operational merge partners and will likely control direction of company.

Howdy!Been awhile!.....Interesting times here now.I can't make any sound conclusions at this point....only guesses!

But-like you,I've been giving this one some thought in regard to how trading will continue.

From what I can gather,CDED is the only publicly traded company of the 4 merger partners.By the way,imo,the merger does make a great deal of sense.All are bringing unique expertise that when all put together,COULD lead to something big.At least,so it seems to me.

CareGeneration is a mail order pharmacist.

KCWG is a 100mm$+ wholesale prescription drug provider.

So,NEXT GENeSYS may become something pretty big.But how will the stock trade?I have wondered about a near term R/M of the entities into CDED along with the associated name change just to keep it public.

However,because of the huge new networth of the company that doing so would provide,there must be some sort of share re-structuring.The shareprice would rocket from where we currently stand if it was representative of 4 companies in one.

I cannot imagine this new co. GENeSYS wanting to continue trading otcbb.However,in the interim,perhaps it will do so.It seems to me that once the new company is fully combined and operational,adjustments to the sharestructure could be made to achieve the necessary higher exchange listing requirements.

I also thought of starting out with a new listing right off the bat,with an IPO target already being set,but agree that it would take awhile,and how would CDED remain trading in the interim?.

Lots of questions!Plenty of speculating!But--it's interesting times!

For all I know---this may prove to be one of those "once in a lifetime" events for the current shareholders.(On the other hand-it may be a flop!),I don't know!But it holds potential imo.

Thanks Mizzoub as I mainly deal with fundimental DD I am always glad to see what the Techies think. Did notice CDED showed as being oversold Friday so concluded we could see strong beginning of week before I read your posts. Could be a very interesting week.

I'll be there. Hope they can clarify things to the extent we have idea on value of our shares and time frame for this to get done. Seems like it is all going on schedule though.

I listened to the confrence call today and i am pretty impressed by the information that they disclosed. Of couse i am not happy with the sudden drop in pps, but understand that either you are a long, or not at all. I think all the selling is because of what Mr kelly said. He said that he doesn't care about people looking for quick buck, but he wants instead to reward us who are in the long haul.
I am impressed with the merger of kelly into cded. I think that kelly has huge potenial and cded has very important patents that can bring a lot of money to nextgen. There was a lot of information, but the problem was that there was no mention of valuation. they did conclude with a promise of another confrence call in a few weeks, which could be the valuation statement. who knows?
