Motorola and WorldGate Communications Announce Exclusive Agreement for Distribution of Ojo™ Personal Video Phone

TREVOSE and HORSHAM, Pa. – 3 May 2004 -- Motorola (NYSE: MOT) and WorldGate Communications, Inc. (NASDAQ:WGAT)) today announced an exclusive multi-year agreement for the worldwide development and distribution of the Ojo™ personal video phone. The announcement was made at the NCTA 2004 trade show (May 2-5, New Orleans, Ernest N. Morial Convention Center), where the Ojo product is being demonstrated by Motorola (Booth #3323) and WorldGate (Booth #1335).

Under the terms of the agreement, Motorola will market the Ojo personal video phone as part of its “connected home” portfolio of consumer broadband solutions. Motorola will distribute Ojo worldwide through broadband service providers, retailers, and distributors of telecommunications products. The Motorola Ojo personal video phone is expected to be available to consumers and businesses in the fall of this year. Additionally, Motorola and WorldGate will jointly develop future broadband video telephony solutions. The agreement includes a prepayment by Motorola against future product purchases.

“We are excited to have Motorola as a partner for the marketing and distribution of the Ojo personal video phone,” said Hal Krisbergh, founder, Chairman and CEO of WorldGate Communications. “As the leader in the broadband solutions market, Motorola’s potential to integrate Ojo with their extensive array of other broadband products for the home as well as their access to domestic and international markets make them an ideal partner.”

“With products like Ojo, broadband service providers can provide a truly differentiated telephony offering, adding value to subscribers without upgrading their infrastructure,” said John Burke, Motorola corporate vice president and general manager, consumer solutions business. “The unique Ojo solution is one more example of the power of the broadband connection – enabling face-to-face conversations with full-motion video and high quality audio over an IP connection. We’re looking forward to broadly launching and integrating this technology as part of our ‘connected home’ portfolio later this year.”

The Ojo™ personal video phone leverages an enhanced version of the H.264 digital compression standard and high fidelity full duplex speakerphone technology. The 30 frames per second video can be efficiently transmitted at data rates as low as 110 Kbps ensuring that existing broadband infrastructures can easily handle high volumes of video phone traffic with no need for additional network equipment. The technology is based on interoperable standards, including DOCSIS, SIP and PacketCable. These standards enable video calls to be easily transmitted to other video phones as well as other devices that can be used for video communications. Motorola and WorldGate will begin field tests of the technology in Q2 2004.

President Bush’s Technology Briefing on “A New Generation of American Innovation” Features the Motorola Ojo™ Video Phone and Home Monitoring Technologies

In a discussion on broadband policies, acting Assistant Secretary Gallagher uses two “connected home” products to demonstrate the benefit of broadband access and technology innovation.

HORSHAM, Pa., 25 June 2004 — Motorola, Inc. (NYSE: MOT) announced today that the company’s home monitoring and control and personal video phone technologies were used in a demonstration on promoting innovation and economic security through broadband, as part of a briefing to President George W. Bush by acting Assistant Secretary of Commerce Mike Gallagher regarding the administration’s “Spectrum Management for the 21st Century” initiative.

Promoting the widespread adoption of broadband is an essential element in the President’s technology agenda. In a March 2004 speech announcing policy changes to ensure a broadband-friendly climate, the President stated that “we ought to have...universal, affordable access for broadband technology by the year 2007, and then we ought to make sure as soon as possible thereafter, consumers have got plenty of choices when it comes to [their] broadband carrier.”

As part of the presentation, the President experienced first-hand how ubiquitous broadband access can provide innovative new services to all Americans, keeping them informed and connected as never before. Using Motorola’s broadband home monitoring and control system, Secretary Gallagher was able to show how a consumer can activate the monitoring system in their home remotely using a mobile phone, and receive a text alert back to the handset when a motion sensor is triggered in the home.

An additional illustration of the power of broadband included a demonstration of the Motorola Ojo Personal Video Phone, manufactured by Worldgate Communications, Inc. Using an ordinary high-speed broadband Internet connection, the President participated in a brief face-to-face conversation from the Department of Commerce in Washington, DC to Trevose, PA, experiencing streaming full-motion video and high-fidelity audio.

“By creating an economic and regulatory climate in which broadband can flourish, the President has enabled technology leaders such as Motorola to create and bring to market innovations that can benefit all Americans,” said Ed Zander, chairman and chief executive officer, Motorola. “We are proud to support this important program by previewing two of our most exciting broadband innovations for the Administration as part of this briefing.”

About the Motorola Ojo™ Personal Video Phone
The Motorola Ojo™ Personal Video Phone enables face-to-face conversations over a broadband network, complete with full-motion video and high quality audio. Part of Motorola's 'connected home' product portfolio, the Ojo produces pictures and sound that are true-to-life, without any of the break-up and distortion normally associated with video phones. The wireless display unit houses a high-resolution 16:9 LCD display, a state-of-the-art miniature camera, and advanced speakerphone technology that, when combined, produce an optimal personal video phone experience. The Ojo helps to bridge physical distances better than a voice-only connection, creating a richer, more personal exchange.

Through an agreement with Worldgate Communications (Nasdaq: WGAT, www.wgate.com), Motorola is the exclusive worldwide distributor of the Ojo personal video phone. WorldGate is in the business of developing and manufacturing video phones for personal and business use.

About the Motorola Home Monitoring & Control System
The Motorola HM1000 provides everything you need to install a do-it-yourself home monitoring system for security and protection and offers consumers an alternative to high priced custom installed systems.

Motorola’s home monitoring and control solution gives consumers the ability to monitor activity even when they’re away from home by getting real-time notifications when trouble occurs with a broadband connection via Email, cell phone, or pager. The Motorola Home Monitoring & Control System is the next-generation answer for consumers to be aware of what’s happening in and around the home and provides consumers peace of mind in knowing they can check on their family even while away from home.

The Motorola HM1000 Easy Start Kit includes everything a consumer needs to get started including: Home Monitoring & Control software, a USB Gateway controller, and a Wireless Camera. Consumers can customize their system to fit their lifestyle needs by simply adding devices such as Wireless and Wired Cameras that capture still images and video with sound, Wireless Door and Window sensors to monitor entry points, Wireless Temperature sensors for energy management, and Wireless Water sensors to detect water and problematic leaks.
