UniverCell Announces Letter of Intent Thursday September 14, 10:40 am ET
MIAMI BEACH, Fla., Sept. 14, 2006 (PRIMEZONE) -- UniverCell Holdings, Inc. (OTC BB:UVCL.OB - News) and Pure Romance, Inc., a privately held company with its principal headquarters located in Loveland, Ohio, announced today that they have signed a letter of intent with respect to Pure Romance's proposed acquisition of UVCL in a reverse merger transaction. Under the non-binding letter of intent, Pure Romance and UVCL will endeavor to negotiate a definitive merger agreement. Under the merger agreement, Pure Romance would merge into UVCL, and the shareholders of Pure Romance will maintain controlling interest of the outstanding capital stock of UVCL after the merger. On October 10th, we contacted Pure Romance Inc, of Loveland, Ohio to inquire about the possibility of the company going public. well all in just a waiting game now, but when the merger happens this will explode, however, even if there is a last minute glitch with the merger this shell is very clean and will eventually find a merger sooner or later, this is an excellent stock to keep building on and adding extra change to until it does merge. Hey - it was 3 years ago this month we hit .173 on 'air'! The sex toys are a HUGE business. Maybe we'll see a quarter! Hee Hee! HAve anyone seen a penny7 stock run for 3-5 days recently? 10Q is out: We currently have no operations. During the last quarter of 2005 we entered into a letter of intent with Daytona Brands to acquire that corporation in a reverse merger. In July 2006 we mutually cancelled the letter of intent and definitive merger agreement with Daytona Brands. We entered into a letter of intent with Pure Romance, Inc. during the third quarter of 2006. We are moving forward with the intent to enter into a definitive merger agreement by the end of the month and to close the merger by the end of January 2007. Alternatively, the company may raise capital and start a new operating subsidiary. We will continue to seek a merger candidate as long as we have the financial means to continue operating.

UVCL is basically a clean shell, ceo has been shopping it around for a rev merger. this was prior website i think.

I think this POS still has life.. 200 mill OS and light vol today moved this big.. that shows me that resistance was BS, and hallow walls and mirrors like a fun house.. and a sign MM's wound this like a coil lately. charts still oversold, and nice MACD cross coming on the weekly now. if the merger happens, then we hit the lotto, Im only giving that a 10% chance, regardless, its a clean shell, with a decent chart. and I'll hold for over .015 at least..

I have a sell in at .02 for almost 500,000 shares. I have a Dr. app't. at 9am - and probably won't be able to even check the price on my cell phone until 10am. (Heart Dr. - can't have phone on in his office). I hope there's pre-market news and I come out and find it SOLD at .02 and back down to .013-ish to load up again! (That's how are runs have been the past year - 20-30 minutes..then CRASH back).

Cactus - I made a typo - it went to .173 (for all of maybe 2 minutes) in Oct. 03 - It dropped to .01 on the Monday morning - and hit .173 about 11am Wednesaday morning, closed around .10 - the next morning, it dropped to .07 and hit .14 - by Friday it was in the single digits and was in the .05 - .08 range til mid-Nov; I believe - it continued to drop and then hit .054 around Jan. 5th or so - hasn't been anywhere near there since except in May '05 when the Big String thing was supposed to happen - and even then - it hit there around 9:40 am on the news and was at like .027 by 11am. That's why I said - maybe a 30 minute run.
Back in the Oct. - Dec. '03 there were a TON of HUGE runners that ran 3-5 DAYS, This one, NEOM, CYBR, MSEV, CESY, QBID and on and on..... I just never knew when to sell....... Oh well, one thing is guaranteed, they ALWAYS come back down in Pennyland. ARGY went from .15 to $2.92 and now it's .06! Ugh..... The Pain of the Pennies! HeeHee!
We're at .0135! After the B/A of .012 x .0135 it gets weak though - next is .01 x .014 - 40% spread is SICK! NITE hasn't been much of a player here since we've gone up 100% from the low of .007 the other day.....Hmmmmmm I sure would love to see us hit like .017-.02 and THEN have GREAT News hit! HeeHee (Hey - we hit .173 3 1/2 yrs. ago on 'air'! It's FUN to Dream)!

This things on fire, and weekly macd just crossed. may still have life running into next week
Cactus - I just noticed final vol. was just under 3 mil! Like I said - I'm NOT versed in Techs... Any idea how high we may go - and/or WHY? Unless news comes out early, I'm leaving my sell in at .02 .....WELL.....MAYBE I'll raise it to .024 or so if it's running HARD and FAST at .018-ish.....LOL and then be patient til it comes down again...which COULD be VERY QUICK based on the past history of this puppy. Who knows - I have to run out at 10:45 for about an hour - but I'll be checking it on my sell. Hell - it could do NOTHING tomorrow - we've seen THAT too here after a run based on nothing..... But 3 mil. was a good start.

Im glad you are around, b/c you have followed this for so long. i think it still stays bullish, but its gonna test the charts soon, b/c we are getting a little oversold. but, the MACD just crossed on the weekly under the center, and that i like. so i think it still has life
Im not surprised that it bounced from .0075 b/c I thought that was bottom, but i am a little surprised at just how eager mm's were at wanting our shares still at this level. If they know something we dont then charts are off the table and this stays bullish, Ive seen this has a history of running big time, as you have brought up. 200 mill OS, which is low imo. and as I've seen in the past these shells can catch on fire. an update should be coming soon from this company.. I notice that SPX has been wound up like a super coil though.. that interests me.. we shall see,
looks like we are getting a little more heat, as people want in before the end of week, speculative buyers..

I have a buy in for more at .012 but it hasn't gone that low today. .0125x.013 now. I'll wait til around 3:15 and if it's not filled - I may raise it to .0125 - Seems they (MM's) always drop it quick before they run it.....

One Completed Merger! Load the boat!
The reality here that this is a shell that has been pursued by companies that desired to go public. That's how it works. Bigstring choose a different route to become public and the last company that pursued the shell was dropped by UVCL because it "wasn't there" financially, and Pure Romance "entered the picture."
UVCL is doing what is in the best interest of its shareholders. If a merger with the last company for example had been completed the stock would still have been pretty much worthless as Daytona Brands was a "Dog." So we applaud the CEO for at least having something in the works that can make a lot of "real" shareholders a "real" return for their patience. The only reason you have the chance to buy at the lows now is because this is off the radar of many.
Dont let those who say, "Hey it didn't happen in the past, so it never will" discourage you. It's on the annoucement that the deal is complete that those shareholders will be the "ones" buying your shares at higher levels. Let them buy on the news.
We shall buy on SPECULATION, when speculation is "in our courts." It's easy to speculate when the stock is trading at or near it's 200 day moving average. That's where it is now. In other words as a shell, with no new developments the stock has traded at this price for a very long time. Therefore your downside on any investment is limited. However, moving forward - as the market anticipates a merger with a (MONSTER) 60 million dollar company more investors will realize the potential here, scoop up shares, and lock them in. Hence, the stock will continue to climb, and if by chance our speculation is followed by an annoucement of a complete merger, then we will be rewarded possibly 1000 Times over.
When the downside is limited to a small percentage and the upside is almost unlimited, WE CAN SPECULATE in our favor and make a solid decision to pick up a few shares. That's pennyland and that's how we "reap the greatest rewards." If you don't believe and or understand that, then you shouldnt be trading pennys. Lock and Load!

Hmmmm. Cactus: I use Ameritrade and always thought that SOB NITE was my MM - but I just upped by bid to .0145 and it was shown instantly by SBSH. Damn, now I wish I just paid the .013 Friday instead of playing around..... Oh well. At least I stayed true to my personal commitment not to chase it this morning. I don't think we'll see .013 again unless some sort of yukky news came out.... Seems to have a new bottom for now.... See how those emails and rumors created buying pressure out of air this morning?
I have to leave at 12:15 for 2 hours.... If I don't fill by then - maybe I'l go the .015! (I was actually thinking of buying more at .008 about 10 days ago. Woulda, Coulda - SHOULDA LOL

Cactus, When UBBS matched SBSH at .0149, I caved in and went .015 and got filled in a 1/2 second. My avg. is .0138666 now, so I'm still ahead! HeeHee
I just put in to sell 250,000 at .045 (that makes me even plus about $800 for years of aggravation - lol), and more at .08, .16 and .25 and I'd keep 125,000 shares and hope they go to NASDAQ some day! If merger doesn't happen - Uh Oh - it'll be 'wait until next time' all over again.... I hope we hit .05 when Mach announces to the public!

There have been a few kooks, and a couple of P & D plays a couple of years ago, but's there are 98% decent people there with no agendas. I think once we get rid of these .017 sellers we fly. I think a lot of people have been waiting for a dip, and it may or may not happen, however if it eats away at that wall, people are going to chase it very fast. So be strong longs.
Love the Market. I was just agitated by the person who stated that because it never happened, it wont. Post like that do not make sense. I suggest this being a great speculative play with considerable upside potential then suddenly this person calls me a pumper.

I've spoken to Sean on many occasions about the progress of the merger and the expected time of completion... at the start shortly after the LOI he was very open about information and giving times frames but more recently he's been up tight and refuses to give any information directly or indirectly, this could mean 1 thing, the merger is near completion now and he can not give any information due to regulations. Also in my times of speaking to fulda previously they were in whats called a "quiet" period a time in which no PR's can be made regarding the company and its work in progress when its attempting a merger, along with this Fulda also nformed that Pure Romance is in the process of completing all audits and proper statements from the LOI till about 2-3 months after.. so my take on that is that this is what will happen, at end of month they will issue a Def Merger Agreement, Shortly after a week roughly they will have completed the merger since Pure Romance is taking care of all the paper workign and audits now, then we will see the CUSIP and Symbol change in about another week....THIS IS JUST MY OPINION, I HAVE NO MORE INFORMATION THEN ANYONE ELSE. What you see is: A couple of times when it was trading around .01 - .015 rane, some people hae screwed up when they put in their sell orders and sold 1 order for .0011 and .0012 and .0015
It's NEVER been lower than .006, and that was only for a couple of minute when another possible merger deal was canceled. Crap like that happening just screws up charts.

Holy crap Batman! I go outside with my daughter's puppy for 1/2 hour (it was boring from open) and see we're in the toilet. My acc't's down over $5K from .023 yesterday! I was hoping to get some free shares this morning - but I wouldn't have tried 'flipping until at least .027 anyway. (If I did - Mach would have made his announcement while I has out trying to get back in, with my luck) I never would have guessed we'd be trying to fill the gap (.0145 - .015) today. I figured.... that sucks market, hate to hear that.. i took some profits at .018, but only sold half then. i was worried this was gonna happen, a lot of people front run with this type of stuff, then take quick profits. this has been used and abused a little lately and mm's are correcting. its worth more than it is right now if its a clean shell. I hate the chart, but if we get some news, then it will rebound, ask is thinning out again.. stay tuned.

Looks like this went from .008 to a high of .023 on almost 22M in volume. It's now retraced almost 50% from the high on only 8M. Initial profit taking about over? Could be trying to form a base here around .012 until news. Ask looks a little thin. Maybe a late Friday run in anticipation of possible news next week?

If we DON'T get a merger-done PR by Thursday, I wouldn't panic. These dates were "hopeful-approximates" back in Sept. and in the 10Q in Nov.
Even if everything is on track - things can take much longer than expected, and it's not anyone's fault- it just happens. And if that's the case, and we ARE moving forward, I don't even know if Sean can legally issue even an 'update' PR, due to 'quiet period' rules of the SEC. Does anyone know the correct answer to that?

Has anyone considered the possibility that Sean makes a killing selling stock to people like us everytime he announces a new 'Letter of Intent' to merger? And that he has zero intention of actually closing one of these deals?
I hope this is not the case since I'm in this too, but it seems plausible especially since this is the third time (that I could find) that they have announced a LOI.

someone had mentioned that the 2nd loi w/ daytona brands was mutually agreed by both parties to back out of , something about daytona's financials not really being that good. but after being a bag holder of cshd I think anything is possible.

1. On 5/18/06 a def. merger agreement with Daytona Brands is announced.
2. The 10Q of 5/19/06 states: During the last quarter of 2005 we entered into a letter of intent with Daytona Brands to acquire that corporation in a reverse merger.
I'm not sure when the pr for the LOI was released but being sometime in 2005 Q4, it took 5 to 7 months before the merger agreement was announced.
3. UVCL pr's a LOI with Pure Romance on 9/14/06
The last 10Q on 11/15/06 did say they expect to enter a def. merger agreement by the end of the month, but applying the same time frame of 5 to 7 months before the Daytona def. merger agreement was announced, a February or March announcement would not be unusual. I have no idea why they thought an agreement would be reached by the end of November (2 months after the LOI) but based on the length of time it took for the Daytona agreement, the process is obviously tedious and slow.

I called pure romance on friday and the secretary picked up and I asked if the merge was going to go through soon (tried to catch her off gaurd) she said she was not sure but would direct me to the person that was in charge of it, but only got a voicemail..
seemed positive to me, she knew what I was talking about. patience.. FWIW and IMO

No it did not in the end, but a defintive merger agreement was signed and announced and it took 5 months after the LOI.
Just looking at the timeframe between those two dates to compare to the Pure Romance LOI since we haven't seen that def. merger agreement announced yet.

its been like that off and on, i think they are drawing out selling on the uncertainty of the situation. Lately they have been biting away at the ask though and bid was strong friday.. the thing about the spread is there is more selling when they tighten it, when the spread gaps the selling halts and the resistance thins... buying starts up again. chart does look interesting.. merger play.. I wouldnt get greedy at these levels, but the vol and mm interest raises my eyes. been here since .0075.. it may bust thru .02 this week. nice clean shell, already undervalued if you ask me..
