From their latest 10Q (8-14-2006)

“The Company recognized revenue of $68,500 during the three months ended June 30, 2006… Revenue is recognized from management advisory services the Company provides to one of its portfolio companies.”

Translation: For the last three months this company has generated no revenue. It’s only revenue has come from the CEO selling himself out to other companies I’m sure he has an interest in.

“Sales, general and administrative expenses were $450,673 for the three months ended June 30, 2006”

Translation: They spent almost half a million dollars and generated no revenue. How do you spend half a million and have nothing to show for it?

“For the reasons above, the Company's net loss for the six months ended June 30, 2006 was $985,296”

Translation: In six months they have lost a million dollars. They have no new assets and no new equipment and yet they lost almost a million dollars? What exactly are their expenses?

“We have experienced losses from operations as a result of our investment necessary to achieve our operating plan, which is long-range in nature. For the years ended December 31, 2005, 2004, and 2003, we incurred net losses from continuing operations of $3,538,300, $62,591,443, and $3,308,609, respectively.”

Translation: In three years they have milked investors out of 69 million dollars and have nothing to show for it.

Check this out! Notice who the owner was at the time of foreclosure... (Mark Ellis, CEO of WNSH)

Clients' money removed instead of hair
July 28, 2006
THE ISSUE

Ronda Scheil's son paid nearly $1,400 to Charlotte Laser Center near Ballantyne for a series of hair-removal treatments, but the center suddenly closed this month after he'd made only one visit. Scheil said she got bounced between two owners, who blamed each other for things going wrong. "My son delivered a lot of pizzas for this money," she said. Another laser business that specialized in hair removal, Bella Voi in Carolina Place Mall, unexpectedly closed last month with a number of customers out money.

WE INVESTIGATE

Both Charlotte Laser Center and Bella Voi have racked up complaints with the Better Business Bureau and N.C. attorney general's office since closing -- about 85 between the two this month.

Charlotte Laser Center is going through foreclosure, and customers have little chance of getting their money back, said Chuck Lewis, attorney for one-time center owner Gary Hamilton, who's owed money from the sale of the business last year. "You're dealing with a corporation that ... has no assets to pay (customers)," Lewis said. The owners at the time the center closed, Mark Ellis and Barry Lubitz, did not return calls and e-mails.

Bella Voi owner Rick Bagley said he closed the Pineville center he bought in January because it was losing money from mall construction. Bagley suggested customers request charge-backs on their credit card bills for unfulfilled services, though he declined to say how he would repay the card companies.

From a March 2006 PR by WNSH

"Charlotte has turned cash flow positive ever since we instituted the Nu Image model there 6 months ago," stated Winsted CEO Mark Ellis. "Revenue and net cash flow are both on the rise. Even with extraordinary items like paying off the previous owner, Charlotte still managed to bring in a healthy 10% net profit. Given the fact that we have only been there for about 6 months, our staff has done a remarkable job. It took a concerted effort by all concern to achieve this enviable success. Going forward, our goal is to reach 30% net without the extraordinary items in the calendar year 2006. For the first two months of this year, it appears that this goal is attainable."

How do people get away with stuff like this? One month he PR's how much profit he is making there and a few months later it is in foreclosure? This guy is a piece of work...

You know, I think I actually owned this at one time. I see that about 5 reverse splits ago its name was InDigiNet. Sounds awfully familiar. Hell, I might still own a tenth of a share or so.

Check this out. Prior to any knowledge of the ticker or before I watched it, I took over advertising for many companies in 04. Nu Image Med Spa was one of my clients and I did many ads for them until mid 05 when they could pay the bills, I remember hassling with them and never receiving phone calls, finally got paid. Since then the store locations in my area are under new management, I have grown with them in their business and they are making money now. Mark Ellis is not a part of my client base anymore and I am grateful, unfortunately I am stuck with a couple of shares, sell orders at the limit come back at the end of the day as expired. It's okay with me cause I found a winner somewhere else. Plus another thing that is wierd is Winstead says its out of Newport Beach but still also bases itself out of Texas, fishy & funny. Don't have time for companies that play games with our money.

I'm on "will advise" status. and whats up with the Oceanside CA. Realtor entreprenuer that signed a contract with Winstead. One announcement with no detail or follow up. Gotta be more professional than that, people see thru the BS pretty easily. WNSH better get ligit after all the 8-K's the chuck at the SEC.

Still could be good for the .0001 buy especially since they had to cancel the r/s, just keep an eye on it. Plenty of POS's run. Just get in, get out.
