Silver Screen Studios, Inc. (OTCBB:SSSU) www.silverscreenstudiogroup.com announces more details of its restructuring progress. Our restructuring is a strategic move to inject a positive synergy into our business model.
Our restructuring plans consist of the formation of several new business units that will be capitalized via Reg. D-Rule 504 offerings and listed on pink sheets with a distribution of a portion of the equity to the shareholder base of SSSU.
We are creating new business units in:
1. Entertainment
2. Financial Services
3. Real estate
4. Technology
Each of the new units will seek a pink sheet listing and dividend of up to 15% of its equity to the shareholders of SSSU.
The entertainment unit once capitalized will produce and distribute three (3) feature films budgeted at $333,000 using the GA Film Tax Credits as well as the capital raised in the Rule 504 Offering. The same financing strategy will be used to fund each of the business units in their respective lines of business. Once capitalized an experienced team will be hired to oversee the portfolio companies.
The restructuring is designed to increase shareholder value and prepare SSSU to migrate to the NASDAQ Small Cap market and remove itself from the OTCBB.
Several major companies have recently undergone restructurings: Viacom, (NYSE:VIA), splitting into two separate companies, Apple Computer, (NASDAQ:AAPL) with the sale of Pixar Entertainment to Disney (NYSE:DIS), we are confident our plans will be successful upon the capitalization of each unit with necessary financial base to develop its business model into fruition.
Real Estate Unit
We are very pleased with the development of the REO unit as a strategic part of the restructuring plan. We believe a vertically integrated Real Estate unit consisting of a REO Fund as well as commercial finance and investment banking unit to structure distressed assets purchased with structured financial products will provide stability of cash flow to the business group. Our business model is based on Goldman Sachs (NYSE:GS).

This isn't stopping. I mean 2 or 3 spinoffs and a move to NASQ. I think this will be getting a lot of interest even beyond today

This was awesome guys. But in my case, I was looking to sell and gain back some money I lost sitting on this for some time.
Here's a little DD for ya:
According to their Form 10QSB (3/31), they had 145,459,888 shares O/S. My concern would be they show 0 revenue for the quarter. Just check this out if you have a little time:

Juice I don't see a repeat of Friday but I do see this continuing upward. There was very little selling during the shakes today. Check out the T&S. This is shaping up to break a penny on Monday and maybe retrace to .008 to .009 area. They are talking 15% dividends in each of 4 different subs, all Pink's. Then preparing the parent company for a move to NASQ. IF taken for face value, a lot of upside. Especially in the short term.
Of course it could drop Monday but I saw a lot of buying going on above where it closed today. Will be interesting to see where this goes.

Our Strategic Business Initiatives ("SBIs"), following our restructuring, are to move aggressively into the operations of our new business units of Entertainment, Real Estate, Financial Services and Technology.
We are currently in preliminary discussions with a potential joint venture partner with expertise in the film and video production business. Our discussions are very preliminary and no final details have been discussed. However, we are actively seeking and have several scripts under review that fit within our budgetary restraints.
The entertainment and real estate business units are in the process of being formed and the Reg. D Rule 504 offering memorandum is being prepared for filing. Upon the capitalization of the business units, we intend to seek a listing on the pink sheets and declare a dividend to the shareholders of up to 15% of the equity of the business units.
Our long term plan is to retain, as a liquid investment, a majority of the equity of a listed business unit in preparation for migration to the NASDAQ Small Cap Market.
In succession, each business unit will undergo the above process as we develop and mature in our business strategy.
Frequently Asked Questions:
Why Restructure?
We are restructuring now to position the company for strategic growth and increasing shareholder value. We have developed expertise in the operations and management of the publicly traded process and we are committed to moving the company to the next level of development.
Will the current shareholders be able to participate in the equity of the new business units?
Yes, we will allocate a percentage of the equity of a new business to the shareholders of a certain record date and they can purchase shares once the offering is effective.
Conclusion:
We've modeled our restructuring on Viacom, (NYSE:VIA), splitting into two separate companies, Apple Computer, (NASDAQ:AAPL) with the sale of Pixar Entertainment to Disney (NYSE:DIS), and the strategic position of Goldman Sachs (NYSE:GS).
