ZKid Network Company Acquires Web Safe Technologies, Inc.; Acquisition Contains Search Engine Technology to Enhance Internet Safety for Children

CHICAGO & PLANT CITY, Fla., May 3, 2004 (BUSINESS WIRE) -- ZKid Network Company (ZKID), a software company dedicated to providing a safe, on-line environment for children, and UTEK Corporation (UTK), an innovative technology transfer company, announced today that ZKid Network Company has acquired Web Safe Technologies, Inc. (WSTI), a wholly owned subsidiary of UTEK Corporation, in a stock transaction.

WSTI holds a worldwide exclusive license to a software package that can assess the safety of Internet sites utilized by children. The patent-pending software, entitled Mozart(TM), was developed at the U.S. Department of Energy's Pacific Northwest National Laboratory. This automated intelligence analysis system can be used to evaluate sensitive information found on the Internet or an Intranet such as inappropriate communication that could result in potential threats to children. Information is gathered from websites, newsgroups, broadcast mail and other types of data available on the web using a specified web domain or a search string targeting a specific topic, phrase or word. Like search engines, Mozart(TM) uses a specialized algorithm to find and rank web pages containing specified information. Mozart(TM) will quickly archive and analyze entire websites based on search terms provided by ZKid and built-in search libraries containing key phrases designed to find sensitive or inappropriate information.

According to Jon Darmstadter, President and Chief Executive Officer of ZKid Network Company, "We are seeking to build the safest place on the Internet for kids and we are enthusiastic about adding Mozart(TM) to enhance our ability to provide the level of security parents want for their children to safely use the Internet. We believe that Mozart(TM) is a complimentary technology to our mission and by helping to expand our layers of security, we hope to bring added value to the child-safe Internet environment we are developing."

"We are very enthusiastic about working with ZKid Network Company as it utilizes and helps to commercialize the Mozart(TM) software. We believe that the use of the software to help protect children on the Internet is an excellent application of our web-based information analysis system," said Gary Morgan, Commercialization Manager at Pacific Northwest National Laboratory.

"UTEK is pleased to consummate this technology transfer with ZKid Network Company. We are enthusiastic about the potential of the Pacific Northwest National Laboratory developed technology to contribute to ZKid Network Company's mission of protecting children who use the Internet," commented Clifford M. Gross, Ph.D., Chief Executive Officer of UTEK Corporation.
