Any opinions on this???? My thought is this could be very good for stock holders.......looking for other opinions from people here who might have seen this type thing happen before. Good or bad????


ASHEVILLE, NC--(MARKET WIRE)--Feb 7, 2006 -- Homeland Integrated Security Systems, Inc. (Other OTC:HISC.PK - News) announced today it plans to pursue possible merger and acquisition candidates in order to speed up its move to uplist its stock to either the NASDAQ Bulletin Board, the NASDAQ, or AMEX exchange.

Homeland Integrated Security Systems, Inc. has begun to pursue other merger and acquisition opportunities with companies already listed on a larger exchange. The desired result would be for Homeland Integrated Security Systems and ActSoft to be traded on that exchange.

"We believe that it is in the best interest of our shareholders to have found a faster way to reach the goal of placing our stock on a larger and more regulated exchange," said Homeland Integrated Security Systems, Inc. CEO, Frank A. Moody, II. "We believe this move will be better for our company and our shareholders."

The identity of the target company, as well as the exchange on which it is traded, has not yet been released.

Last year, the Homeland Integrated Security Systems, Inc. board of directors decided to uplist the company's stock from the Pink Sheets to The NASDAQ Bulletin Board, and filed an SB-2 with the Securities and Exchange Commission in December 2005 to begin that process, which takes several months to complete. Since then, Homeland Integrated Securities has completed and filed its two years of audited financial statements.

"In plain English, the reason we are doing this is we are in a hurry to get some things accomplished," Moody said. "We're small, we have a chance to grow right now, and we want to seize the opportunity."

"In the past few weeks we have found significant opportunities, both in the United States and in the Middle East, which require us to take some actions that could not be taken if we were restricted under the rules of the 'quiet period' that accompanies our SB-2 filing," Moody said. "One advantage of a small company is that it is nimble, and we need to reclaim that."

Homeland Integrated Security Systems, Inc. has filed notice with the SEC to withdraw the SB-2, effective immediately.

"The reason for the withdrawal is simple," Moody said. "The rules wouldn't allow us to pursue both the SB-2 and the acquisition at the same time, so we had to choose.

"Negotiations for the proposed acquisition should be completed with an offer tendered to the shareholders during the 2nd quarter of this year," said Moody.

That acquisition is in addition to the Homeland Integrated Security Systems, Inc. merger with ActSoft.

Homeland Integrated Security Systems, Inc. is arranging for a nationwide teleconference with its shareholders to discuss this and other issues relating to the business. This teleconference also will include a Web-based demonstration of the company's Cyber Tracker, which is now in full production.

Details of the teleconference and Webcast will be announced within the next couple of weeks.

LOL....funny guy.
At this point I would say it is a good thing. If they have a candidate in mind for acquisition/merger and can vault past the OTCBB straight to the AMEX or Nasdaq, thats great. It would open alot more doors for the company. But, and there's always a but, alot more info is needed before a true determination can be made. The promised SH teleconference to be announced within the next couple weeks should shed alot more light on the situation. Since they have withdrawn their SB-2, they may already be in negotiations with a candidate company, and the upcoming teleconference may just be an announcement of a done deal. Hard to say at this point, but definitely worth watching IMO. GLTA!!

Uprightdeb....

Still seems people are skeptical.....it's still a pink and merger news is still to vague. Still a big gamble until people know whats going to happen and some real financials are given!!!

All my opinion, though I look to the possibilities:


Definitly alot of potential with HISC.... Time will tell.

Just for an example: I've looked at Company's with similar products. This one even seems to me as a possible merger possibility. Trades on Nasdaq BB, (ATTG) trades over $2.00 and there product line does not have as good capabilities. IMO..... Take a look at their website and recent news. They are based out of the U.K. and recently announced moving an office to the US. (Could it be to HISC office????) They also have tracking device contracts in Jordan!

All just things to ponder.....The merger news soon to come will explain all, I can only believe it will be good. IMHO
