I have an "S" Corp which has 10,000 shares. I have also located a clean and reporting shell which is willing to merge with me. I can have 95% of the shell for a reasonable price.
My question is since I own 51% of the "S" corp and the company owns the remainder 4900 shares am I able to legally sell the 4900 shares at a price which would enable me to purchase the shell? And after I did have the shell would I be able to file a regulation "D" for capital raising to purchase 2 companies which are complimentary to mine?
Time is of the essence here and would be beneficial if anyone had some experience on the legalities of having the corporation setting the valuation of the shares and how to obtain a market maker for a new shell?

Not having any luck with any sites other than ones which want me to purchase a shell from them as well. I have the shell in line for the merge at a better price than anywhere else offered. This is also reporting and recording. I was thinking I would have to ammend the share count then raise the funds to buy the shell for the merge. The handling of the closing on such is where I would need the help as well as to market to a market maker. The core of the business and merging of the other companies is all in place just trying to get rest of the parts needed done for launching.

When you read this it also states THEY have shells or that they represent sellers of shells for as little as 120K.
I have found a shell. That isnt the issue. I have a clean shell lined up for substantially less money outlayed than that.
The problem I have is that I am not sure if it is legal to sell shares from my "S" Corp to raise capital in order to purchase the public shell. And if it is legal than to be able to do so what restrictions would apply. If I raised enough from my sale of the shares and purchased the shell I am unsure on how to get a marketmaker to be willing to market it for me as I am understanding it takes 4 to have your stock sell. I do not want to spend the time to indulge to take the company public and merge in the other competitors without being able to raise capital ffor future growth and not create a paper printing press as I have seen in others while lurking. I have had several willing to do reverse mergers with myself BUT they are not the most reputable which is not what I am looking for. I am trying to do a honest reputable book style set up with growth and integrity.
I am looking here for some more in depth answers as well as knowledge on where would be a good start on more reading materials without costing me a small fortune as this is a start up business and I have put all my reserve funds into the building of the inventory and equipment purchases. All the research and plans are in place for a growth rate which is nothing short of amazing if I can get into a shell and get capital raised from such.
As I stated I am new to the public venue and I am only investigating a further option.

I have already put 110K of my own money into this building the equipment and inventory up as well as a prototype.
