I did every DD on this to see what the OS is on this and I am getting 29Million. This stock has traded over 32Million today. Does anyone know anything about share structure? I also couldn't find anything about dilution.

I appreciate your input folks.

I called transfer agent "First American Stock Transfer", and they say its their policy not to disclose the information to public unless persons affiliated with the company or officers. Thanks the first time I heard that.

That happens all the time in penny land- generally not the most encouraging sign.

SMWF used to be SLWF... before the R/S. After following this stock for the last 3-4 years, (yes, I'm a bag holder), I wouldn't recommend buying it. It may be good for a quick "in-out" if you time it right.

IMO management is just following the standard "P&D, R/S and repeat" strategy so common in Pennyland...

Shame, considering the "S-XGen" was a big hit at the 2006(7?) Las Vegas Consumer Electronics Show and was even featured on "TechTV".

No idea on the share structure tho, sorry I can't be of help there but I'd imagine it's been dilution city since the R/S which was maybe 6 months or so.. I can't recall. Maybe, I'll dig up the PR's later if I have time.

Per 10Q May08

quote:

The Company is authorized to issue 10,990,000,000 shares of common stock , par value $0.001 per share, 4,000,000 shares of convertible Series A Preferred Stock, par value $0.001 per share, 1,000,000 shares of convertible Series B Preferred Stock, par value $0.001 per share, and 5,000,000 shares of convertible Series C Preferred Stock, par value $0.001 per share.

I noticed Yahoo Finance shows an EPS of 0.385 on a stock worth roughly 0.0033/shr. After looking at the 10Q I ran across this entry....

quote:
OTHER INCOME

Other income for the nine months ended March 31, 2008 was $1,111,496 increased by 302 % compared to the other income of $549,452 for the same period in 2007. Other income consists primarily of debt forgiveness from prior operations due to the fact that certain debts were not paid within the prescribed time as required by law and we now have to report that debt as income.

Maybe I am reading this wrong, and one of you veterans out there can help me out, but they are reporting previous DEBT as INCOME because it was NOT PAID "within the prescribed time as required by law"?

I may be wrong, but I think it means this (for example):

They borrowed $100, so it's a debt.
Then they defaulted on the loan, so instead of owing $100 it's the same as someone gave them $100 no strings attached, so they have to classify it as income.

Make sense?
