The below piece is from Note 10 of the recent SSWC 10Q referencing a 3 year deal with Cornell: …Cornell may not convert the Debenture into shares of Class A Common Stock if such conversion would result in Cornell beneficially owning in excess of 4.99% of the then issued and outstanding shares of Class A Common Stock. …
The company appears to had done that deal in such a way so that Cornell would not be allowed to smash them. They can sell, per year, no more than 4.99% of the current OS per year which equates to .0499 x 207,090,861 (OS) = 10,333,834 Max Shares Cornell can Sell.
Something else very important to note from Note 11 of the recent SSWC 10Q is that Cornell should be spending $10 Million to buy shares of SSWC on or before 12 Dec 07. Please read below from Note 11:
