ATTACHMENT A New language is underlined. Deleted language is in brackets. * * * * * [6545]6660. Trading and Quotation Halt in OTC[BB-Eligible] Equity Securities (a) Authority for Initiating a Trading and Quotation Halt In circumstances in which it is necessary to protect investors and the public interest, NASD may direct members, pursuant to the procedures set forth in paragraph (b), to halt trading and quotations in OTC Equity Securities (as such term is defined in Rule 6610) [the over-the-counter (“OTC”) market of a security or an American Depository Receipt (“ADR”), that is included in the OTC Bulletin Board (“OTCBB”)] if:
(3) NASD determines that an extraordinary event has occurred or is ongoing that has had a material effect on the market for the OTC Equity Security or has caused or has the potential to cause major disruption to the marketplace and/or significant uncertainty in the settlement and clearance process. [the issuer of the OTCBB security or the security underlying the OTCBB ADR fails to comply with the requirements of SEC Rule 10b-17 regarding Untimely Announcements of Record Dates.]

From link (6) there is significant uncertainty in the settlement and clearance process for the security;
Notably, Rule 6660 will not be used in cases solely where NASD suspects that corporate fraud or manipulative activity is occurring with respect to a security, because NASD does not believe this authority is the appropriate tool for addressing allegations of fraud.
Rule 6660 increases the maximum number of business days that NASD can impose a trading and quotation halt from up to five business days to 10 business days. A halt for a period of up to 10 business days is consistent with the SEC’s authority to temporarily suspend trading in securities in accordance with Section 12(k) of the Exchange Act. Increasing the maximum number of days from five to 10 business days will allow more time for regulators to act and for the market of the subject security to stabilize.

Not sure that i agree with "this pig being done..." this was halted because of the number of shares being cleared through DTC...AND i see no where that states it will open on the greys... Could still be a good play...time will tell...we have 10 trading days anyways...

wowee, no wonder it was a new one--it *IS* new....just took effect in March, right? Grew out of the 6545 regs...
here's what I get: four or more days' halt is effectively the same as an SEC suspenion--
quote:trading is halted for four or more business days, quoting cannot resume for OTC Equity Securities until brokerdealers comply with the requirements of SEC Rule 15c2-11 and NASD Rule 6640. Such rules require a broker-dealer to review information about the issuer and have a reasonable basis under the circumstances to believe that the issuer information is accurate in all material respects and the sources of such information are reliable. As a result, any trading and quotation halt greater than four business days generally would require broker-dealers to comply with the requirements of NASD Rule 6640 before resuming publication of quotations on the subject security.
man o man...always sumpin...wonder if this is the first time it's been used?

He seemed to be pretty "into" the possibilities of a RM by saying this process "is now accelerated" can't remember if he said greatly accelerated. And that he is already in discussions with other companies.

They were just a co. that got taken advantage of. A crime was committed against them, shareholder's. etc. Unfortunately it is going to take a while to decide who is responsibile for buying back the "fakes" IMO

You can be sure that there ill be a number of entities disputing that. The old T/A put out a PR accusing interim mgmt of 'attempting to manipulate share price through its actions at the expense of a former Transfer Agent' .
This is gonna be a long battle.

I'm trailing John Sparrow. Have meetings today interfering with my research but there are a few of them out there. Even in nevada. looks like a possible canadian connection also.
Did you get your call back zero? -------------------------------------------------------------------------------- Posted by ZeroCool on April 11, 2007 10:50:
Okay, this is what I found out lats couple day's.
1) A Federal Warrant of Arrest for "John Sparrow" a)Looks like false name- FBI looking for him.
2)FBI investigating Select Stock Transfer a)I think that's why they stopped cooperating with BHUB--(taking the 5th?)
3)Also, investigating GRDX,YNTE,ILGY,TCPI,MGLG,KSWJ,EWRX,CBRP,WHKA a)these are related to "John Sparrow"- there are about 12 more I am told-will post when I find
4)BHUB- will post after Darrell returns my call a)waiting to verify some details with him
5)6m shares--check this; they are in CERTIFICATE! a)Held by Investor for over 3yrs
7)Approx. 37 subpeona's issued so far a)should be on-line for verification within next 10 days or so.
That's it so far- I don't think this helps with figuring out when to cut bait- just FYI.
This has been a flipper's dream- hope everyone is making tons of green on this.
might add KSWJ.pk and ABSY.pk to that list, Sparrow doesn't appear active now. Couldn't find a symbol for "EWRX INTERNET SYSTEMS INC" may or may not be relevant.
POSSIBLY adding PKGH also. still researching

I only did a partial search of Nevada and Florida, matching addresses - couple different sets of foot prints. Haven't had time to compare assosiated names of each to branch out further. I hope they do catch him.
gotta be real careful about doing this so i don't get my self in trouble by posting bum info and getting someone innocent in trouble.

50 mil A/S 20 mil. +/- O/S. THe only increase in the future will be for an acquisition, not because of this mess.
He was suprised that a T/A was putting out PR's
Same T/A as ACMG which has some unusual circustances as well.
BHUB feels victomized over this. Said that he wouldn't be working this hard on this problem if he thought the company wouldn't be marketable. In other words, he says it should trade again.
BHUB didn't hire select American and they were suprised when they got their resignation.
BHUB would have no gain in manipulating the PPS. -can't currently issue shares. -Behind in their filings. -Restricted shares can't be sold. -No benifit or loss if the PPS goes up or down. It's a shell.
15c-211 complete, in legal review. Submitted in 24 hours to the mm's.
Can't discuss the conversation with the DTC right now since it is ongoing.
Did i miss anything.
