Item 1. Security and Issuer
This statement relates to shares of common stock, no par value per share (the "Shares"), of eTotalsource, Inc. a Colorado corporation (the "Issuer"). The Principal, executive office of the Issuer is located at 1510 Poole Blvd., Yuba City, CA 95993.

Item 3. Source and Amount of Funds or Other Consideration
All Shares were acquired through cash purchase in open market transactions.
Item 4. Purpose of Transaction
The Reporting Person acquired the Shares for personal investment and invests independently of investment advice given by investment publications or investment relations personnel. The Reporting Person does not have present intentions of selling, granting any participation in, or otherwise distributing the acquired Shares.
(a) The Reporting Person may continue to increase his position if the issuer continues to issue shares though its convertible debenture agreement, with Cornell Capital Partners, LP (Cornell), of which 225,000,000 shares of common stock are to be issued upon the conversion of the November 2005 Debentures, as described in the filing of its SB-2, filed with the Securities and Exchange Commission (SEC) on December 30, 2005. Through November 4, 2006, Cornell has converted $62,500 of convertible debentures into 29,373,865 Shares of common stock.
The Reporting Person has no present plans or intentions which would result in, or relate to, any transactions as described in subparagraphs (b) through (j) of Item 4 of Schedule 13D.

(a) - (b) As of November 30, 2006, Reporting Person was the record and beneficial owner of 8,475,000 Shares, representing 10.57% of the issued and outstanding Shares, as stated in the 10Q, filed on December 21, 2006, for quarter ending September 30, 2006. As of November 4, 2006, the company had 80,168,019 common Shares issued and outstanding. Reporting Person has sole power to vote and to dispose or to direct the disposition of all his Shares.

It's a filing that shows beneficial ownership of shares. If a person owns 5% or more of the outstanding shares, they are "required" to file a SC-13. This allows the company and the SEC to know who has a voting interest in the company.
With an o/s and price as low as SEWC has, I bet there are a few people that easily have 5%+ of this o/s. And, if that is the case, then there has been some naked short selling going on, because theoretically, that shouldn't be possible...
bear in mind, one would only need to own 885,000 shares to have 5% of the current o/s...

I agree with you Skip that many folks probably own more than 5%. with 17mm shares o/s 5% would only be 850000 shares or 2400 bucks at todays prices. I dont understand the NSS comment though. The volume hasnt been that much over the last few months or am I missing something? TMAN...

As of today I now own 3,785,010 shares at an average cost of .0036 Been sitting bid under three everyday for damn near four months now.
I will continue to sit on bid. Anything under three is a gift. I do not understand why this one trades so low like this but one thing I do know is that one day it will be trading in the penny's and I will be there making serious coin.
I was not at my trading desk today. My mother has been sick and I have been taking care of her. She lives in the country no broad band avalible. While she was napping I hooked my laptop up on the phone line to check my account. I saw that SEWC had an ask of .0029 So I immediatly put in an order for 500k . They only gave me 310k and I was also on the bid for 500k at .0026 .0027 and .0028 I noticed that a trade went through at .0028 for 500k but they never filled me at all.
They are very scarce with em way down here.
DOMS ARCA and Citigroup Global Markets Inc. Have been working this one for months now. I believe that our day is coming sooner than later.

Sew Cal Logo approached us with an interesting proposition. They had just bought the rights to the merchandising of Pipeline Posse, a famous Hawaiian surf crew, and they needed a website. They would trade us t-shirt printing in return. Having long been wanting to revive StolenShirts, and eyeing field-trips to Hawaii, we figured what the hell.

I know another person that owns about 16% of the o/s.
Note that with a float of 13mil, these 2 folks own about 45% of the tradable float. Now, I am sure they aren't the only ones with significant holdings. Heck, even guys like me are holding 2-3%. And I know there are many others with few hundred thousand shares as well.
TMAN asks why I mention naked short selling. Well, my thought is that if there are only about 5-7mil shares tradable out there (assuming that the big holders aren't selling, and that is a high estimate) when we have 2mil trading days, shouldn't the price skyrocket, or plummet? Either the company is dumping (which I am sure that they are selling some, but not tons), or someone is not playing fair. DOMS always has plenty of shares to sell. Considering that the public is holding a considerable amount of the o/s, where is DOMS getting those shares?
SEWC is one of the few stocks out there with a low o/s, and a really low price, with virtually no dilution present. It could possibly be the stock to expose what really goes on in the penny markets...
This is just my opinion, and in any case, there is no debate that SEWC is very undervalued. It is the only penny I always have a position in...

Jonus, you have have some ballz coming out with your share count. i find this really interesting b/c i own 2.1 mill shares, looks like you have me beat, lol.. seems we own a substantial amt of the float looking at the last filing. I would never come clean on how many shares i own, but on this one i am intrigued, i'll risk it..
not sure if they have added shares to the OS. DOMS is really aggressive on this one, i would think dilution, but i notice how he swings from the ask to bid in a heartbeat. DOMS had the spread in a headlock today. might be some dilution before this roll-out, dont know. regardless, with this much of the float tied up it should fly on buying pressure, thats been my thought all along. and i really think skip is onto something, but never know. this is more than a flip for me, i want much higher.. well jonus, i am thinking we hear something soon too, this recent info makes things interesting. You two own 3.78 and 2.1 million shares each, respectively. That is a total of 5.88 million shares. That's 33% of the o/s and 44% of the reported float. That's pretty amazing.
SEWC is good, but not perfect. I mentioned that they don't have much dilution, and that's true, but they have some. They have a 26mil sb-2 out there from 5/06. At that time the o/s was 5.9mil. So, fully diluted, they would be at approximately 32mil. The o/s a year later (April) was 17.7mil. So, they diluted about 1mil shares per month over the year. I assume they are doing the same thing now. So, the o/s is likely around 20mil in my estimation, with a float of around 16mil. Again, a couple of traders here have 5.88 mil, just between two of them. That is a significant portion of the float. Someone else comes along and dumps $5-10k into this, and it's gone. Not sure where the market makers would get the shares to fill that kind of dollar volume?
I'm not trying to read too much into this, don't get me wrong. I understand the short selling is a part of a market maker's job, they have to keep the liquidity of the market. Moreover, I am just interested that a stock down here is cheap enough that folks can own a voting interest in the company for a few grand. That is pretty amazing to me. And, they aren't that bad of a company either, go check the Q, there are pretty significant revenues there.
This one has intrigued me for some time, very interested to see what happens with this one. Definitely a rarity.

Thanks Skip for the explanation of your idea of the nss. The total trade volume for the year according to the otcbb web site is 61,770,660 with sbsh and doms leading with 20mm shares traded each, and nite behind at 15mm. For the OS to trade 3 1/2 times nss could be the issue or dilution. Dont get me wrong, even if they doubled their OS to 34mm it is still a very low OS for an OB stock, but it still reduces the amount the stock is worth. I would love for it to be short selling but I guess we will know what the new share structure is when they file. Thanks again for all the information and for the record I am bring up the rear with a measley 200g shares. lol. TMAN...

Her turn will come soon. I have been watching SEWC for several weeks, now it fits the Bottom-plus-volume model very well. The DDs of Will and Skip are very helpful.

I am first to say pennies don't move on fundementals, but good financials sure can't hurt. This looks like it could be a real company. If you don't believe that, then at least believe it shouldn't be trading at .01 or less. It's one of the better Form 10's I have ever seen for a penny stock. Closed at .009, I'm in it, any weakness in the PPS and I will double my position. If this doesn't run, and if this deserves to be at .01 or less, then their isn't ANY level or fair playing field left in pannyland.
This is what a penny player should look for : Low O/S Lower Float Increased volumes Declining price Oversold condition No history of dilution (Grant it, there is an open SB-2 fo 27M, but it doesn't appear to be active, yet) (Saw the increase in A/S, means nothing right now)
This will run before they dilute. If it doesn't, then I will own a WHOLE BUNCH of nothing, and have egg on my face.

Hey, cactus, just be patient and wait for SEWC's turn. They started the thread of IVGR in early April. So they have been patiently waiting for IVGR's turn. The level 2 for SEWC is very thin up to 0.035.

Jim, i was actually very familiar with ivgr, flipped it many times.. i just bought it at .0011 and sold at .0017.. i thought i did great, lmao.. green is green i guess, I appreciate it, you are keeping me cool on this one, and i am trying to clear some money.. i will go head on into that .004 ask, SEWC.. it is risky.. but it may be all it takes.. be well

Last year' 10Q was filed 5 days late. It is due on the 15. Maybe we will see it Monday. Dont be surprised if there is more OS than the 17mm listed in the last 10q imo. TMAN...

The MM's are funny on this one. I put in a small order at .0026 they bumped the bid to 26. I changed it to 27,28,29 and each time they bumped to my price. They did that yesterday as well. Oh well no cheapies today. TMAN...

yup. My guess is that the small amount of dilution on file will be 90% done. I expect an o/s close to 30mil (31mil would be fully diluted)
