Man...tough crowd, you guys have to admit, there is a little cause for concern going long here.
Two mostly...Inc. out of Wyoming...and Sandy Winick...Does a leapord change it's spots?
At least those are what concern me. People seem to talk about BKMP as if it IS...TFN...it's not.
On the other hand, if you can get free shares, no harm, no foul really.
Not bashing, before you all jump on the "Lo, he is talking bad of my beloved stock" bandwagon,
just IMO...being realistic.

Seems that the residents here are somewhat uninterested in anything that doesn't blindly promote the stock... Odd
I always thought DDing a stock involved finding out the negatives as well as the positives...
Would hate to get blind sided by a diluting pinksheets company.

With regards to Wyoming incorporation, Microsoft incorporated there as well. Thats not too much of a concern really.

With regards to BKMP not being TFN, you are correct. Sandy did a Press Release on December 7, 2005 stating, "is in discussions with Blackout Communications to acquire additional interest in The Fight Network and its related media assets."

Before December 7, 2005.....Sandy did a Press Release stating that The Fight Network is 'wholly owned' by Blackout Communications aka: B.O.C.. BKMP....is Blackout Media and should not be confused with B.O.C.

TFN is wholly Owned by Blackout Communications

(1)
[January 18, 2005]

"First Canadian American Holding Corporation Announces it has purchased an interest in a new digital specialty channel in Canada - The Fight Network
TORONTO --(Business Wire)-- Jan. 18, 2005 -- First Canadian American Holding Corporation (Pink Sheets: FCAH) announced today that it has completed its purchase of a working interest in BlackOut Communications Inc. of Toronto, Canada owner and operator of a new specialty digital channel called TFN-The Fight Network.
The Fight Network is a******wholly-owned subsidiary****** of Blackout Communications ("BlackOut") a progressive media company dedicated to provide new and innovative products in the television, radio, publishing, music and interactive spaces, to the masses."

(2)
(December 7, 2005)

Sandy Winick announces through SEC regulated PR that he is attempting to Increase Share-Holders interest in Blackout Communications aka: B.O.C. and % interest in The Fight Network.

"First Canadian American Holding Corporation Announces Further Negotiations With Blackout Communications
Wednesday December 7, 2005 9:00 am ET

TORONTO--(MARKET WIRE)--Dec 7, 2005 -- First Canadian American Holding Corporation (Other OTC:FCDH.PK - News) announced today that it is in discussions with Blackout Communications to acquire additional interest in The Fight Network and its related media assets."

(3)
(January 9, 2006)

Sandy Winick announces Name Change.

First Canadian American Holding Corporation Announces Name Change Effective Today to Blackout Media Corp. First time ‘majority ownership’ is used.
Monday January 9, 8:45 am ET

TORONTO--(MARKET WIRE)--Jan 9, 2006 -- First Canadian American Holding Corporation (OTC BB:FCDH.OB - News) announces that effective today its name is Blackout Media Corp. and will start trading under its new symbol (Other OTC:BKMP.PK - News).
"The change to Blackout Media Corp. is a another step in the direction of aligning ourselves closer to our core asset which is our working interest in Blackout Communications Inc. which in turn runs and owns the ******majority****** of The Fight Network," says Sandy Winick, President of Blackout Media. "We are very excited by this change which better reflects the future of our company."

"The next step will be to finalize our new web site under the URL www.blackoutmedia.com, which should be completed in the next few weeks," states Sandy Winick.

+++++++++++++++++++++++++++++++++++++++++++++++++++++++++
Summary:

(A)
January 2005

The Fight Network is a Wholly-Owned subsidiary of Blackout Communications. BKMP has 20% interest in B.O.C. and The Fight Network.

(B)
December 7, 2005

Sandy Winick through SEC regulated PR announces Negotiations to increase our % holdings of B.O.C. & thus The Fight Network.

(C)
Now from here to the next PR's purpose announcing FCDH's name change to BKMP, we see for the first time the use of 'majority'.

Detractors would have us believe between Dec 7, 2005 & January 9, 2006 because of the use of 'majority', B.O.C. sold a portion of The Fight Network to an unknown entity for an unknown portion. Thus B.O.C. is thus reduced to owning now only a ‘majority’ instead of ‘Wholly Owning’ TFN. Ha-

As you will see from Sandy announcing negotiations December 7, 2005 attempting an Increase of our % holdings in B.O.C. & TFN to the January 6 Name Change, we see no PR that announces B.O.C. selling any portion of TFN and any portion of our % interest in TFN to an unknown entity. Further, if B.O.C. had sold a % potion of TFN & a % portion of our interest in TFN, they did not give BKMPers the windfall from that sell.

(D)

So as you see, w/o a PR disclosing a 'material change' of our % interest in The Fight Network as previously PRd by SEC regulations on January 2005, the word 'majority' is fleeting...it is moot to BKMP share-holders.

If the detractor’s position was brought up before the SEC, they'd laugh! You cannot secretly sell BKMPers portion of % interest in TFN unless they get the windfall from such sale. Further, this material change would have to be disclosed. [Wink]

This is my opinion and should not be used for your investment strategies.

MUST READ! NEW STORY ON TFN!!!

http://slam.canoe.ca/Slam/Wrestling/2006/07/06/1672009.html

THE SCOOP:
Fight Network reaches the top

Channel top of Canadian digital pile
By BOB KAPUR - SLAM! Wrestling

Charlie Johnstone, President of the Grand Prix of Toronto, left, Bret Hart, centre, and Mike Garrow, President of The Fight Network.

The Fight Network has got to be considered a true Canadian success story. Since its launch last fall, the network has expanded in terms of programming content, its customer base, and its market availability. And according to Mike Garrow, President and CEO, they have even greater plans for the future.

"Things are going great," Garrow told SLAM! Wrestling. "We're really happy about where we are right now. We're up on pretty much every system in Canada, including Rogers, StarChoice, VideoTron, and will be launching on Cogeco (later this month). I'm confident that we'll be up on any of the remaining systems in the next couple of months."

In addition, Garrow is making headway into the vast American market as well. It's a key step, he says, in achieving his goal of making The Fight Network an internationally-recognized brand.

"We launched a service in the U.S. called Fight Mobile. It's up on the Verizon network now, and we're hoping it will be up on a few more carriers soon. With Fight Mobile, you get all of the latest information, including round-by-round coverage of live boxing, wrestling and mixed martial arts events, delivered right to your cell phone. As well, we've had a series of talks with a number of cable and satellite providers down south. We've got a deal with CanCom, which is a Canadian satellite provider that 80% of the US providers can see, so hopefully we'll be on down there really soon."

The other new feature Garrow is proud of is the online streaming video content called Insider that fans can access through TheFightNetwork.com.

"With Insider, you can get loads of free content. In addition, for five dollars a month, we offer premium content that you can access anywhere and anytime you want. We have all sorts of interviews that were done through our other division, Live Audio Wrestling. And you can see content from MMAWeekly.com, an amazing MMA website that we've brought into the family."

It's Garrow's dream to duplicate the success they've had in Canada -- TFN is currently the number one sports specialty channel in Canada -- on an international front. To this end, he says, they look to the fans to help them achieve that.

"The people at The Fight Network are all passionate fans, and we want to provide content that fans are equally passionate about. We want to know what fans want to see. Anyone who wants to e-mail us can certainly do so at info*thefightnetwork.com. We really listen to our fans, and we'll do our best to try to get that content."

For wrestling fans, that content includes multiple hours of programming, including TNA, Ring of Honor, FMW, Pro Wrestling NOAH, and the classic Wrestling at the Chase shows. In addition, Garrow is also hoping to land the new ECW on Sci-Fi show.

"We've approached WWE and discussions are ongoing," Garrow revealed. "Given the reach we have and the audience following we have, we think it would be a good programming fit for us, particularly since it doesn't have an outlet in Canada yet. We'd like to see it happen -- hopefully it does."

In the meantime, wrestling fans will be able to get their fix at this weekend's Molson Grand Prix of Toronto. The Fight Network and MGPT announced the joint promotion last month, which will see TFN put on multiple exhibitions at the race grounds. On hand for autograph sessions will be Bret "Hitman" Hart and the Phenomenal A.J. Styles.

Echoing his comments from last month's press conference, Garrow encouraged all fans to attend the Rumble at the Race. "This will be a good opportunity for The Fight Network to showcase what we're all about to a new fan base. We're going to have some great talent there for the fans. It should be a lot of fun -- which is what The Fight Network is all about."

Straight through the heart of them righteous MM blights
Drop kick me Sandy through the goal posts of life.

Make me, oh make me, TFN, more than I am
Make me a piece in your master game plan
Free from the earthly MM Nazis below
I’ve got the will, TFN, if you’ve got the toe.

Drop kick me Sandy through the goal posts of life
End over end neither left nor to right
Straight through the heart of them righteous MM blights
Drop kick me Sandy through the goal posts of life.

Take all the stocks that’ve gone on before
And all of the shares who’ve knocked on your door
All the departed dear money of mine
Stick’em up front in the offensive line.

Drop kick me Sandy through the goal posts of life
End over end neither left nor to right
Straight through the heart of them righteous MM blights
Drop kick me Sandy through the goal posts of life.

Rasica, the CEO of Microsoft didn't have a questionable past though...hence motive. I've always thought it a little strange that he (Winick) changes the name to sound like the company that owns TFN, that is sorta funny and he gets an "F" for originality. The larger stake "could" be just a carrot, seven months later, where is it?
Jan. 9th "finalize our new web site"...still not up and running. For me it all still reads the same as it did since acquiring a piece of TFN, they own 20% and the question remains...will there be dilution? All these things can be considered "not too much of a concern" by some, some may WANT to overlook them, but I guess that would depend on how much you were willing to invest long term. If the longs here haven't contacted the TA for current share structure, one has to wonder, just who these longs really are. Sandy could drop you alright, like a bad habit.

MagicK......Like your post!

You started your post with 'conclusion'...(Sandy's questionable past). Your post is fine if true!

Secondly, January 2006 contained two interesting releases....'majority' & '2 week new internet site'. Its also important not to 'ruminate' but to disseminate.

Third, Share structure is made very very clear as of March 31, 2006...the T/A thing is secondary and also fodder for 'buy on rumor sell on news' scenarios. Wait for the Official Press Releases!

As far as longs are concerned...it should be self evident as of today...no one in this world sold/bought at .0009!

GLTY! [Wink]

Good Morning,
Well,
I missed a little bit of the commentary last evening but RD, who seems to be stuck in March, or is so convinced that this will end a share selling scam that it is HE who is BLINDLY "dumping" on BKMP. I, for one, am not a little boy and I fully recognize the risks and potential rewards of gambling (investing) in this arena........BUT........."blindly promoting with no interest in the negatives".......uh...NO
Lets talk about what we can SEE.
1. 20% of Blackout Communications
2. Mobile affiliations with Verizon,Cingular/Canada,USA
3. Radio on highest ranking Canadian talk show
4. Penetration of Canadian cable markets..huge success
5. Successful launch of online retail store
6. Piece (20%)?? of forthcoming Wagering Network
7. Successful cross promotion with Molson Grand prix.
8. BRAND GROWTH>>>>>>most important and valuable $$$$$$$$$....for future reference
9. Sandy W...checkered past ??
Share buyback 1B.......can't see it....yet
Further dilution...and to what extent..can't see it yet
TA .......not sure I care in light of what I can SEEEEEEEEEEEEEEEEEEEEE
So if there are 10 to 15 B shares out that would be a market cap of 10 to 16 M +/-
Now those (1-8) are the VISIBLE NOW.......FACTS
We will not project.................BUT the BRAND growth will enable/is enabling new opportunities at a mind boggling pace!
OK................What are the facts..the NEGATIVES.. specific please and current!!
ALSO: 2 questions
1. What do you think of recent accomplishments of parent co. Blackout Communications???TFN
2. What value would you put on the TFN BRAND?? and how would you value it??
because I think I quote correctly ..company is "close to worthless" ?????????????????
I know this is redundant but RD and his ilk refuse to acknowledge any fundamental growth in their negative diatribes.

Jimmy Mac
DYODD.......I did my own and I see enough..I recognize the risk/reward and am high on the upside..................I can take a "smackdown" if one is forthcoming.
