You know when I click on a new thread, I expect to see some DD or something about the company being posted by the thread originator. Enough of this entering in a ticker and asking "What does everyone think?" crap. It's like you want other people to do your own homework for you.

Here is some dd for you! LOOK at the 2005 sales! This company sucks!
The company was incorporated in 1947 as a New Jersey corporation. Company focus has historically been the design, manufacture, and sale of rotary switches. Switches were a significant part of revenue for five decades. In 1995, to augment revenues, the Company sought business in transformers and contract manufacturing.
While previous management tried to shift out of the subcontracting and transformer business, and tried to gradually shift product offering from less profitable to more profitable proprietary products, these business strategies did not result in a sufficient increase in business prospects or revenue.
Plan of Operation
On July 11, 2005 (the "Effective Date"), we finalized a Settlement Agreement and Release (the "Agreement") with Bernard Ciongoli and Earl Bjorndal (the "Settlement Parties"). In connection with the Agreement, Mr. Ciongoli resigned from his positions as President, Chief Executive Officer, Chief Financial Officer, and member of the Board of Directors of the Company, and agreed to the cancellation of 17,931,806 of his shares of our common stock. Earl Bjorndal resigned from his positions as Vice President and member of the Board of Directors of the Company, and agreed to the cancellation of 8,044,445 of his shares of our common stock. The parties agreed to the transfer of all of the Company's assets, including all technologies and product lines, to the Settlement Parties in exchange for the cancellation of all outstanding obligations owed to the Settlement Parties, including past due salaries and loans due to them, the cancellation of the above mentioned shares, and the assumption of certain liabilities of the Company and the lease by the Settlement Parties. As part of the Agreement, we agreed to transfer of all of the issued and outstanding shares of common stock of Tech Logistics, Inc., our subsidiary to Bernard Ciongoli.
Pursuant to the Agreement, the Settlement Parties granted us a seven year license in the transferred technology, pursuant to which we shall have the right to sell the products developed from the DynaTraX technology as a dealer to its customers at a dealer price of 25% off list price. We will also receive a royalty of 5% of the profits per year for the sale of DynaTrax products. In exchange for all of the Company's assets, the Settlement Parties agreed to the cancellation of all outstanding obligations owed to the Settlement Parties, including past due salaries and loans due to them; the cancellation of the above mentioned shares; and the assumption of certain liabilities of the Company and the lease by the Settlement Parties.
The Registrant is continuing its efforts to locate a merger Candidate for the purpose of a merger. It is possible that the registrant will be successful in locating such a merger candidate and closing such merger. However, if the registrant cannot effect a non-cash acquisition, the registrant may have to raise funds from a private offering of its securities under Rule 506 of Regulation D. There is no assurance the registrant would obtain any such equity funding.
We will attempt to locate and negotiate with a business entity for the combination of that target company with us. The combination will normally takethe form of a merger, stock- for-stock exchange or stock-for-assets exchange. In most instances the target company will wish to structure the business combination to be within the definition of a tax-free reorganization under Section 351 or Section 368 of the Internal Revenue Code of 1986, as amended. No assurances can be given that we will be successful in locating or negotiating with any target company.
A business combination with a target company will normally involve the transfer to the target company of the majority of our issued and outstanding common stock, and the substitution by the target company of its own management and board of directors.
No assurances can be given that we will be able to enter into a business combination, as to the terms of a business combination, or as to the nature of the target company.
Results of Operations
Sales were $91,280 for 2005 as compared to $259,761 for the year ended 2004 for a decrease of 64.9%.
For the year ended 2005 cost of sales were $30,557 compared to $784,153 for the year ended 2004. The Company's gross profit percentage was negative in 2005 and 2004 due to inventory write-offs of slow moving and obsolete inventory totaling $-0- in 2005 and $265,358 in 2004.
Selling, general, and administrative expenses decreased by $422,014 in 2005 as compared to the prior period. This decrease was due to the Company's efforts to restructure its management.
Losses from operations of $1,642,786 in 2005 were a direct result of the loss of the stock conversions and restructuring

IMO if you bought at the current PPS you would have to hold for quite a while to even get your $ back. I think this ones going to continue to slide down for a while before an up trend, I would wait and see before buying in. If I am wrong don't get caught trying to chase this one up. Relatively low volume for an "active" penny. not enough interest to excite me.

For all you geni, (that would be the plural of genius), that think this company sucks, and you could be wating a long time to get your money back, I have news for you. The last time this ran it started at .002, and ran to .013, (550%). It only took 13 trading trading days to go from its low to .013.

That was kind of harsh...IMHO When you click on a new thread and expect to see some DD aren't you asking that someone else have your homework done for you?
I don't mind when someone just posts a "ticker" makes me do MY homework and perhaps I will find something that will make me jump in or something that will make me stay away.

dbrown, I like your observation much better than Mr. this stock sucks and Mr. you'll wait forever's perpestvie. I will say at least Mr. this stock sucks posted something to support his position, even though it ran for 550% after that sterling review was written. These are the pennies, the subpennies, they mostly all suck.
I posted this elsewhere after close yesterday :
"Not a bad day. Nothing spectacular, but was able to flip for 30% free shares and rebought at .0025 again. Today we had decent volume, 3,640,000. Better than averages, but it didn't qualify as an UHV, because the price closed up .0004. Still it is encouraging, and the chart probably looks better for those that use them. Looks like it will have a time breaking the 50MA, (.004), but if it does, next stop .0095. If you were in/got out, and want to re-enter they are very generous with letting you in at Bid, if it weakens again you just might be able to rebuy at .0025, or make your first buy there if you haven't tested the waters yet. Not promising a run, and it might take sometime to mature to a decent PPS, but .0025 seems right to me."
If the stock closed down even a tick yesterday I wouldn't hesitate to recommend getting all over it. There is definately some renewed interest in it though. I have no idea why. It can be just as easily bad news as it can be good news, but when I see them falling and jiggling around like that my experience and instincts tell me something good might be about to happen. Do I get surprised once in awhile, and something negative happens? Not often, but there is always the chance of it ocurring.
You might have found one, dbrown, you didn't have to ask "what does everyone think of this one?", they don't know anymore than you do, and some know less. You don't need anyone to validate your picks, besides half will like it, and half won't. Do a little DD, it won't hurt you to learn, find the O/S, read a few filings, check threads here at allstocks, look at price history, look at volume history, review the news, look for patterns/cycles, and after sometime you will never have to ask what anyone thinks, your thoughts will be enough.

I have no idea what a couple with a handle is. All I know is that if you accuumulate this at .002 / .0025, (if it sees those levels again). That you will be very happy with it. This is enough reason to like this one at these levels :
O/S : The number of shares of common stock outstanding as of December 31, 2005: 141,446,880

Well, well, well, just read on another thread that someone named "pennybuster" is recommending, (euphamism for pumping), TCHL, but he appears to have a strong following and can move them. He helped me out on VNBL Monday. Hope you guys were paying attention. ....and no, I have no idea who or what a "pennybuster" is.

OK. I'll tell Ameritrade to take all the free shares I collected out of my account, and throw them in the garbage, or would you like them crowman?

rock the frees and flip it but i just got burnt on JPHC so im not a basher just doing some DD. i was looking at TCHL to see what the deal was. I will prolly still buy it if i can dump my JPHC shares because it sounds like there is some good hype behind it to push the PPS. but honestly, your defending the legitimacy of a company who's CEO heads a PUBLISHING comany (total failure) and a TECH LAB?
I feel like once someone posts negative news on a company they are automatically a basher. just doing the DD that is available to all. do what ever you want with the free shares, your making more money than i am with my not free shares of JPHC =/

OK. I apologize for being a wiseass. I just have a different view of things an obviously a different startegy then you do. My number one and primary assumption regarding penny stocks is they are pieces of crap. Secondly, the MM's control the whole game by having power over the B/A process, thus controling the price. Lastly, 99.9% of the CEO's are cheats, liars, and thieves, who own these pos companies to dilute through printing shares, pay themselves a salary, R/S, and do it all over agian, until revoked. I see you have been a member here since March 23, 2006, doesn't preclude you from having experience, but leads me to believe that you still might think the penny world is legit. The other thing I have a rule about is not buying diluted issues and/or listening to other people's hype. I used to tell people they were nuts for buying into any diluted company, but the USXP & RSHN runs broke me of that. If diluted issues run they are very most lilely doing it without me being a participant. Sorry to hear about your trouble with JPHC, but even if you were warned, would you have believed. I completely understand though, it is easy to get caught up in positive hype, I used to be a victim of it myself, broke myself of that too. You may bash any pick I make, you have my blessing. You or anyone else bashing my pick isn't going to have any affect or influence over what it will do. Now if you should buy TCHL, make sure you're in early, and out early, don't get caught holding the bag, you might have to wait 8 to 16 weeks to get even again. I'm not even sure this is going to run, I bought it as a bottom pick of mine, and was just minding my own business collecting freebies when this penny person showed up with an email to someone else I don't know. Hey I'm in the catbird seat. Let him have at it. Just made my wait for the run shorter. My only regret is I didn't buy twice what I did.

ya i pretty much learned everything..well not everything from JPHC cause this is a learning process but i ran the gamut with that sucker. from MM tricks, vague PR, Insider hype, forum hype, bashers/pumpers, and cheating lying b*stard CEOs. good luck with your trades, i still have a lot to learn!
