the good news is that our pr company is in california..and im sure they dont open till 9am..all we can do is give it a couple hours..then from there if nothing happens i think im gonna go to the studios and figure our whats going on ..i want answers just like the rest of us

A R/S definatly has a drawback. While it reduces the O/S it does nothing to the A/S. That means the company has more shares they can sell after the R/S then before.

Example: 50B O/S, 50B A/S, company can issue no more shares. After 1 for 5 R/S: 10B O/S, 50B A/S, company can issue 40B more shares!

A R/S only is good for us if the A/S is also reduced by the split amount (going to 10B in the example leaving the company with no shares to sell.) I think compnaies in the penny stock arena use the R/S method primarily because they have issued all the shares authorized and rather than raise that limit (like CMKX did) the do a R/S.

think about this..frank olsens palm springs buddies who invested in this..theyre pacific time so frank might release an audit while they are up and watchin.also our last couple prs were late..wow i hope a pr is coming so i dont have to drive down to burbank

polo, I too hope that shares are being bought back now, and understand why Frank couldn't let a buyback be known, BUT, my point is that, Q might not have the funds available to buy back, and an r/s, if done correctly and at the right time, is not the horrible thing that a lot of investors think it is. There simply may be no other choice.

Balata, your math is correct. And your instinct is right: There's nothing wrong with a r/s. There is an amatuer investor myth that r/s are bad because 'it makes the share price fall.' That's bullsh-t, or more scientifically, that's 'selection bias.' Let me explain:

When a company is in trouble and its stock falls below a certain level ($4 for Nasdaq), it can be de-listed. An r/s will bring the stock price back up above $4. But that company will probably still be having business trouble and the stock will, naturally, resume its descent. So a lot of dummies conclude that a r/s makes a stock price fall. That's not true. It's just that most companies that do a r/s are companies in trouble, simple as that. The myth is driven by what economists and statisticians call selection bias. Saying 'R/S are bad because troubled companies do it' is like saying 'Hospitals are bad, because people die there.'

Just like hospitals are not bad, neither are reverse splits. In fact, for a healthy growing company who has a ridiculously high sharecount, like QBID, a r/s is just what the doctor ordered. (How clever.) It reduces the sharecount and gets the share price up to a level where it can be listed.

It must be done right, however. ALL shares must be subjected to the same r/s ratio. It cannot be used in a manner that dilutes some shareholders to the benefit of others. Example, Frank's shares must be r/s at the same ratio as our common shares' ratio.

Hope that helped. 'R/S are bad' is one of the sillier myths out there.

There actually is a legitimate reason to do a r/s: It qualifies our stock for institutional investors.

Many institutional investors (eg, mutual funds) are not allowed to buy penny stocks or unlisted stocks. This prevents our stock from being accumulated by that class of long-term investor with lots of money to keep the stock price up. We'll remain at the mercy of volatile day-trading and hot money.

And we can't get out of the penny range, let alone listed, without either a r/s or a buy-back.

Daddydog, you haven't made an argument. You have to then explain why the r/s itself makes the pps 'usually return back to the orignal PPS and often drop even lower.' You'll be stumped, because all a r/s does is combine X shares into (Y<X) shares. Those Y shares just represent a higher proportional equity share in the company. There is no reason they're less valuable. Quite the opposite: they're now more valuable, and your ownership value in the company hasn't changed, nor has the value of the company.

You're getting fooled by selection bias, because most companies that do a r/s are in trouble and their share price has been dropping. That's the typical reason most companies do a r/s. It's a half-azzed stop-gap measure to stay listed.

For a healthy growing company like QBID, there's no reason for the share price to drop because of an r/s. In fact, if it gains us a listing on AMEX and allows institutional investors to now buy QBID shares, that increases demand for shares.

But you may have to learn the hard way. So if QBID does reverse split, by all means: Sell your shares. Heaven forbid you own stock in a company whose shares gain a Tier 1 listing and start seeing institutional accumulation. I support your right to sell. In fact, I insist. [Smile]

I sure hope you are on to something DJ, but I would say it's wishfull thinking to cling to the hope that a PR will be released late b/c the PR firm is on the West Coast. They have investors around the country and would be ready for something like this before the market opened.

ok...when i proposed that we start acting tough on frank and find out what is really going on...most of you guys said theres no need for that..theres no need to find out information by sneaky tactics. dont u get it..frank aint scared of us because of the way we talk on this board..obviously he has someone tell him about what were talkin about..and they probably tell him..dont worry there a bunch of puss*es.. u think if franks invesetors were related to bigger things like a mafia he would do this crap to us..like i said once..the only thing that scares people is fear..its that simple..im not talkin about fear like painful..im talkin getting our point across to frank..look who he puts in front of us..richard brown?? who is he?how has he helped us? does he answer our questions? does anybody know whats going on? why are we guessing? am i missing something here other than the fact they think they can step all over us..i dont know where u guys come from but i live in a cold hearted place called la where we watch our backs to not get ripped off..a couple weeks ago i was gonna go to frank and plead with him how we need to know whats going on ..i was gonna use maybe the johnny fairplay tactic from survivor and tell him that i put my life savings on the line ..or something crazy..but a lot of u insisted no..why nop ? from now on were gonna do it my way [Smile] ..im gonna go down to burbank today and talk to someone.. why are we talkin about r/s bullsh$$?

im not talkin violence leo..im not a violent man..im a business man. all i was saying is that someone needs to know that we mean business.whether its takin actions in court,or personally paying the owner a visit..thats all..i have 100 k in stocks and this is the only one where i feel i dont have a clue of whats going on..thats not good.. when we worked our blood into the dollars we invest im not gonna act "mature" and watch my money dissapear.. im gonna do something about it ..instead of "hoping" for something to happen
