Any recommendations on how to tell if a stock is being diluted for example by looking at a chart for a particular day or say the last week?

I ask because I am holding a stock and I am concerned they may be or will dilute soon and want to exit before the price crashes.

heavy volume and a decline in price. Check the filings over the past 6 months or ring the transfer agent and get a share count every week.

Thanks... I found out a recent drop was due either to the filing of a 14C or maybe the dilution began at the same time.

I will check for heavy volume at that time but I think the number of shares they are releasing will crush the price of the stock.

They are raising A/S from 95 million to 450 million though they say they are only doing so to position themselves in case they need money for acquisitions and they even said it was an anti-takover move as well since there would be more shares available to allow share holders to have a louder voice.

The part about business acquisitions sounds sort of ok but I still see 5 times over dilution or do you think the stock will continue to move up as it has been for the last few weeks?

Non reporting companies:

TA gagged, company refuses to answer what it is with numerous excuses like soon. Increase in A/S, Claims NSS, posts PR hypes and after run there is some reason it can't happen, they just dumped shares on you. Forward split, way oversold yet PPS still falling, screaming we are not diluting while refusing to give share count, it's worth repeating twice.

Reporting company:

S-8, SC-13, Form 144 for insider trading. Check one quarter filing to the last (10-Q and 10K's) to see if there has been a increase. Read any 14C for news of future dilution or shares being given away for work preformed. JUST READ THE FILINGS.

Just spoke with Damian for about 20 minutes. It took about 6 phonecalls 5 nasty voicemails and a few choice emails to get him to respond! But he did apologize emphatically, and he was a pleasure to speak with.

Answers from Damian:
1. There is no dilution of the stock AT ALL. (Emphasis included in his statement) It would actually harm us to dilute at this point because we would simply be filling the shorts held by mms, in addition to driving down the stock price. (My first question was whether he held shares, and he stated he owns a significant amount).
2. The forward split serves three purposes.
a. Flush out shorts
b. Reward shareholders that bought in a few months ago at high prices and have seen shorting run rampant. (Damian acknowledged that with a large o/s the co is an easy target for mms, leading to the third point of the f/s)
c. A large o/s in a capital company concerned with aquiring other companies and businesses allows them to leverage shares against the buyout and provides liquidity when they negotiate a stock exchangee with the target company.

3. There has been heavy shorting of the stock to the point where Damian has contacted market maker firms and the SEC, again, one reason for the f/s is to get rid of shorts. He expects the pps to be reflective of the actual value at the end of the month. (which leads to the final topic)
4. Currently they are working on submitting bids for three projects. Two are restoration and cleanup in conjunction with a contractor. The third is with an architecture firm, (I believe he said this bid was for a commercial project). The bids should be done shortly and the contracts finalized by the end of october if all goes to plan.

That is just naive if not a lie. F/S will not effect NSS at all. So many of stated this and did it with no effect other then increasing the NSS position. And he has to know this so to me it is just another pinksheet ploy/ And also increasing o/s never increases pps it just gives shorter more leverage to short more and still be covered if necessary. What a crook.

And a pinksheet that claims short without proof is diluting or getting ready too.

If you want to see a text-book example of dilution, just look at the daily chart of WTVN: Ever-decreasing PPS with ever-increasing volume ..
